i�;::�. WHEREAS, the Parties to this Agreement have been granted,

�yY�: Ruedi Hydropower Project (hereinafter "Project"), and,
�,, �'� WHEREAS, that License requires that the Parties commence

` � construction within two years of the issuance of the License, and

a•.>.,} complete construction within three years from the commencement of

t,.�;.: WHEftEAS, the Parties are, as of September 1, 1983, soliciting

�' to establish a Joint Hydropower Department (hereinafter "Department")

assure the timely completion, efficient operation of, and equitable

` distribution of Revenues from, the Project, including, but not limited '��i:.

I. EVALUATION OF PROPOSALS �� .

tion of the above, as appropriate according to the descrip-
tions and requirements of the RFP and as approved within the ?

B. The Department will solicit and negotiate contracts for any
��' aspect of Project oversight and management not included in

�� including, but not limited to the following:

(2) Financing and Po�ver Marketing consultation

Final contracts will be presented to the Parties, acting
separately, for tkeir approval or disapproval.
III. OTHER DUTIES
A. The Department Aead will act as the Owner's Representative "

on-site engineering and construction oversight and manage- ;t.
