j I. The entity fdentffied above,hereinafter cailed Customer,enters into this agreement with j�{;"�,��.
! AM Gas Markettng Corporetion,hereinafter called AMGAS,ro serve as the sote supplier of natural -

� gas to Customer for the term of this agreement.
� 11. AMGAS has entered into(1)a Gas Sales agreement with GASCO,a subsidiary of KN ��'!;':
Energy,Inc.,for the purpose of gas supply and possibly other gas supply agreements with other
�� suppliers,hereinafter cdlectively called Suppliers,and(2)a Form of Service Agreement with
Rocky Mountain Natural Gas Company,herelnafter called Transporter,For the purpose of mainline
gas transportatlon on a non-interruptible basis. Customer has or will enter into(3)a Distribu[ion .
Transportation Service Agreement with Rocky Mountain Natural Gas Divisfon,KN Energy,Inc.
; hereinafter called Distributor.
} III. Customer agrees to receive gas supplied by Suppliers and transported to Customer by `

s the attached Naturai Gas Purchase Agreement Confirmation Order,whlch is a part of this �'rt�;

associated with delivering gas hereunder to the Delivery Point Customer shail bear and be ' y�:
; responsible for the payment of a11 cosis,fees and charges incurred after delivery of the gas at the

� . IV. CHARGES. The price and terms for gas purchases shall be as spec'rfied in the attached
� Natural Gas Purchase Agreement Contirmation Ordec Customer agrees to pay to AMGAS within
� ten(10)days of receipt of invoice charges for gas as well as all charges made by Transporter for
transportation a�d capacity reservation and appllca6ie sales taxes.
� V. AGENCY. Customer appoints AMGAS as Customers agent for the purpose of executing Y.%`�
the agreements referenced in Paragraph II above. ;�' ''
� VI. TERM. The term of tfiis agreement shall commence on the date of acceptance,remain in �
' i effect for twelve(12)months from the date of commencement of natural gas supply hereunder,
E and shall be renewed for consecutive iwelve(12)mornh periods uniess canceiled by written notice
of Customer or AMGAS at least thirty(30)days prior to the beginning of any renewal period.
During tfie inkial term,but not during any renewai term,Customer may exercise an eady
termination optton at the end of any month wkh 30 days'notice and upon payment of an additional
25%of the cost oi gas del'roered to the date of termination.
VII. COOPERATION. Customer shall give its fuil cooperation to AMGAS in the performance of

,i statemants,and other requested information and documentation on a timely hasis. '; .

VIII. DEFAULT. If Customer fails to pay AMGAS any amounts due hereunder,Customer shall }''
` be responsible for and pay for any collection costs,court costs and reasonabfe attomeys fees.

= IX. CONFIDENTIAU'�Y. The terms of thfs agreemerit,incfuding but not Iimited to the price �1
paid for gas,the identifled transporting plpeiines and cost of transportatlon,the volumes of gas E,
; purcfiased or sold and all other material terms of this Agreement shall be kept confidential by the t'• , �
' parties hereto,except to the extent that any information must be disclosed to a third party for the
f purpose of effectuating transportation of the subject gas pursuant to the Agreement,or for '
; conducting internal business.
