� � 1. THE CONTRACTOR AGREES to furnish ali the�ecessary labor,materials,equipment,tools
and services necessary to camplete in a workmanlike manner all tasks required within the scope of �,

' � a. SUB-CONTRACTORS. The Contractor agrees to 6ind every sui�-contractor by the n,

Z, THE COUNTY AGREES to pay, and the Contractor agrees to accept payment for this r

4. AUTHORITY AND RESPONSIBILITY OF THE PROJECT MANAGER All work shall be done
under the general supervision and direction of the Project Manager or her designee. The Project
Manager shall decide any and all questions which may arise as to the quality and acceptabiiity of
materials fumished, work perfarmed, rate of progress of the work, interpretation ot the Coniract,
change orders lwithin the limits of her authority) and all other qusstions as to the compliance with u
the Contract on the part of the Contrector. �; •

` -1'.�- 5. SUCCESSORS AND ASSIGNS. This Agreement and all oi the covenants hereof shail �
insure to the benefit of and be binding upon the County and the Conuactor respectively and their � ,

_ County nor the Contractor shatl have the right to assign,uansfer or sublet his interest or obligations
hereunder without the written consent of the other party.
6. THIRD PARTIES. This Agreement does not and shall not be deemed or consuued to
confer upon or grant to sny third party or parties,except to parties to whom Contractor or County
may assign this Agreement in acwrdance with the specific written permission,any rights to claim ' •
damagas or to bring any suit, action or other proceeding against erther the County or Conuactor
because of any breach hereof or because of any of the terms,covenants, agreements or conditions '
herein contained. �`
7. WAIVER. Nn waiver of default by either party of any of the terms, covenants or
conditions hereof to be performed, kept and observed by the other party shall be construed, or :�`'

DETAILED SCOPE OF WORK
� A 72 strand mufti-mode fiber cable will 6e pulled tluough 2"innerduct from the City Hatl MDF to a splicing center ihat witl be �
locatecl in a storage room in the parkiag garage. This T2 strend fiber eablo will be spliced witf�smaller strand count Fibec optic
, lines that will go into each of the other facilities. Tho Cowt House will have a 24 strand cablc coming from the spiice center into
� the NIDF for this buiiding. The Jail and Library will have 12 strand cables connecting them to the splice center and the Plaza
building will be connected wiih a 24 strand feber optic cable. This wiii provide a a strand for strand connection for each building
back to tho Couihouse that well yiald maximum flexibility in�tworlc co�guration and design. An additional I2 strand fibtt
optic cabk will be instalied froat the Jail facility!o the Coiut House for added connections between thcse two buildings.
Fusion splices will be used in the splice center to provide the most efftcient and optir,atly cleanest splice availahle. Al!nf the
_� ` temunations in the buildings will be with standard ST epoxy style ceramic connectocs. An extra innerduct will atso be instaLled �
��- from City Fiall to the fust vault to allow for future expansion and growth. Pull lines will also be left in all'ennerducts and conduits '
to be able to pull additional cables tivough thesc pathways. �; ,

- . PERSONNEL: The installation crew for this project will be comprised of two settior fiber op6c technicians and hvo other
installation technicians. The senior techniceans are well versed and Vained in the applicable standards and installation �
requirements for wtegory S UTP,fiba optic,and standard telco plant cabling. This training includes ACC in house training as `
well as Mod-Tap certi£catians,BICSI,ATBcT,&Sieeor fiber optic and sWetured cabling coutses. A pcojeet manager wil!also �
ibe assigned to this job and will be available throughout the installadon W suppoR the install crew and to track and organize the �
� logistics and documentation required.

FIBER TESTING: Each multimode Fiber s[rand wi(1 be tested with a light mettr for attenuatioa at SSOnm in both directions.
Any discrepancy in readings between tha bi-directional readings or between the individual strand readings will be adequate
reason to test the suspect strand with an OTDR to check for micro/macro bends or any other reflective event along the fiber. The
; attenuation readings will be documented on standard oplical insertion Joss fomu and if OTDR testing is required,the OTDR plots
` will also be provided. Any linos that fail any of thc testing will be rcpaircd and retesud to ensure proper perfotmance. k `

Any discrepancies found between the Drawings and Specifications and site conditions or any
inconsistencies or ambigu(ties in the Drawings or Specifications shall be immediately reported
in writing to the County Representative who will resolve such inconsistencies or ambiguities. ��•
Work done by the Contractor after his discovery of such discrepancies, inconsistencies, or
ambiguities shall be done at the Contractor's risk.

2) The Contractor may be furnished additional instructions by the County Representative, as �
necessary to carry out the Work required by the Contract Documents. All additfonal �"
instructions shall be issued to the Contractor by the County or the authorized agent of the _

The additional instructions thus supplied will become a part of the Contract Documents. The
Contractor shall carry out the Work in accordance with the additional instructions.
3► The Contractor shall pay all applicable royalties and license fees. He shall defend all�uits or
claims for infringement of any patent rights, and save the County harmless from Ioss an

4) The Contrector shall be responsible for all the Work under this Contract until completion and
final acceptance thereof,except that the Contractor will not be responsi6le for the damagas
or losses of any nature and from whatever cause that may occur to the Work that are caused

The CoMractor shall supervise and direct the Work. He shall be solely responsible for the ;,

Contractor shall employ and maintain on the Work a qualifled supervisor or superintendent ,

CoMractor and all communications given to the supervisor will be as binding as if given to

The County will charge the Contractor for all engineering and inspection expenses incurred

wheiher incorporeted in the construction or not,and the Contractor shall pramptly replace and ti - '
re-execute the Work in accordance with the Contract Documents and approved construction , � `
plans and specifications and without expense to the County and shall bear the expense of
making good all Work of other Contractors destroyed or damaged by such removal or

this CoMract. No verbal agreement or conversation with any officer, agent or employee of
the County,either before or after the execution of the Contract, shalt affect or modify any
of the terms or obligations herein contained.

br issuance of a certificate of partiai comptetion made under the Contract shall be evidance
of the performance of the Contract,either whoily or in part,and that no payment or issuance

61 The Contractor hereby agrees to pay to the County all attomeys fees in all court actions
brought hy either of them against the other or in which they are both plaintiffs or defendants,

of any doubts,disputes or actions arising out of this Contract,except in the following cases:
a) When the Contractor obtains a favorable net judgment against the County after

a purchase request, influencing the content of any specification or procuremeni standard, .'
rendering uf advice,mvestigation,auditing.or in any other advisary capacity in any proceeding
or application, request for ruling, determination, claim or controversy, or other particular i��
mattar;pertaining to this Contract or Subcontract,or to any solicitation or proposal therefor,
C. Gratuitv means a payment, loan, subscription, advance deposit of money, services, or
anyihing of more than nominal value, present or promised, unless consideration of
substantially equal or greater value is received.
D. Kickbacks Prohibited. It shall be a breach of Contract for any payment,gratuity,or offer of
employment to be made by or on behalf of a subcontrector under a contract to the prime
� contractor or higher tier subcontractor or any person associated therewith,as an inducement i •
`;. . for the award of a subcontract or order. The Contractor is prohibited from inducing,by any
--'-� means,any person employed under this Contract to give up any part of the compensation to

E. Prohibited Confiict of Interest. No officiai,ofticer,employee or representative of the County

B. In connection with the performance of this Contract,the Contrector wilf cooperate with the
County in meeting the County's commitments and goals with regard to the maximum

ity to compete for employment andlor subcontract work, if any,under this Contract.
C. The Contractor will furnish all necessary information and reports and wiil permit access to its

compliance with the nondiscrimination/affirmative action provisions of any resultant contract.
� D. Employment Data and Affirmative Action Plan. If requested,the Con[ractor agrees to submit
on an Employment Data Form to be provided by the County,[he data showing the utilization
of disadvantaged persons, minoTities and women by job category within its organization.
Where the Contractor has fifty(50)or more employees or it is particfpating in contracts with
the County which exceed FiftyThousand (550,000.00) Dollars, an Atfirmative Action Plan
must be su6mitted to the County when requested by the County Attorney's Oftice within ten `
(10)days after selection, ;
. E. Noncompliance. In the event of the Contractor's noncompliance with the
� nondiscrimination/affirmative action provisions of any resultant cantract, Pitkin County shall
impose such contract sanctions as it may determine to be appropriate, including, but not
limited to:
(11 Withholding of payments under the Contract until the Contractor complies,
and/or
,� (2) Cancellatian, termination, or suspension of the Contract,in whole or in part.
( , 4. TERMINATION POR OEFAULT OR FOR CONVENIENCE OF COUNTY
A. The pertormance of work�nder the Contract may be terminated by the County:
i1) Whenever ihe Comraotnr shall default in performance of this Contract in accordance
' with its terms,and fails to cure or show cause why such faiture to perform shou(d be
excused within ten(10�days 4or longer as the County may allow or shorter,but not �
less than three (3) days,for failure to provide proof of insurance or maintenance of �r
any dangernus conditioN after hand-delivery or mailing to the Conttactor of a noUce
specifying the default. If mailed, said aotice shall be sent by certffied mail, retum
i receipt requested,to the address specified herein for the Contractor.
� The Contractor shall not be in default by reasons of any failure in performance of ihis
Contract in accordance with its terms if such failure arises out of causes beyond the ; ,�,�

� days. The notice of termination shall be sent regular fkst-class mail to Lhe address of the
Contractor herein provided. � ;
-f C. Termination Procedure. After the effective date of the notice of termination for default or for ~
� the convenience of the County,unless otherwise directed by the Co�nty,the Contractor shall: �

(1) Stop work under the Coniract on the daie specitied in the notice of termination.

I (4} With the approval or ratification of the County,settle all outstanding liabilities and all �
claims arising out of such termination on orders or subcontracts,the cost of which ��
would be compensable or reimbursable in whole or in part in accordance with this
� Conttact.
D. Terminatinn Payment. After the effective date of a notice of termination for the convenience
! of the County,the Contractor shall submit to the County his termination claim in the form
ot a final invoice in accordance with the provisions in"Method af Payment," including costs
incurred to the date of termination, and costs incurred because of termination, which r;�,,
termination costs shal6 not exceed 10%of the total amount of p�oposal;provided,however, :y�
that in the event of default by the Contractor,no extra costs incurred because of termination
shall be paid to the Contractor and any costs paid shall not be a waiver of any claim,counter-
claim or set-off by the County against the Contractor on account of any default. Such ctaim
' must be submitted promptly, but in no event later than thitty (30) days from the effectiva
( date of termination, unless one or more extensions are granted in wr(ting by the County.
Upon the Contractor's failure to submit a claim in the time allowed,the County may review
� � the information available to it and determine the amount due the CoMractor,if any,and pay
� the Contrector the amount as determined.
� E. Termination Settlement. Subject to Paragrsph 4.D.,the Contractar and County may negotiate
the whole or any part of the amount or amounts to be paid, upon termination for default or
> i for the convenience of the County.

F. Remedies. The Contractor shall have the right of appeal from any determination made by the `�'
} County under "Termination for Defauft or for Convenience of County;"except that if the
� Contractor has failed to submit his claim within the time provided in Paragraph 4.D.,above, �•
and has failed to properly request extension, he shall have na such right of appeal. Irt any
� � case where the County has made a determination of the amount due under Paragraphs 4.D.or ,
i 4.E.,above,the County shaif pay the Contractor. (1)the amount the County has determined � r
if there is no right to appeal or if no timely appeal has been taken, or(2)the amount finally
� datermined on such appeal if an appeai has been teken.
G. Method of Appeal. if the Contrector disagrees with the Couniy's determinafion under �r��
Paragraphs 4.D. or 4.E.,he can appeal this decision in writing to the County. Such appeal 0��
must be made within twenty iz0�days ot receipt in writing ot the County's determination. ,,. '

or to modify the terms of this contract on behalf of the County. Any such contract or

B. With respect to change orders under the Contrect, the County and the Contractor shall
process and approve/disapprove requests for change orders as otherwise provided in this
i Contrect, subject to the requirements of the Procurement Code and the Finance Office. F .

� 8. EXEMPTIONS AND PREFERENCES �I
A. All purchases of construction or building materials for any Contract shall not include Federal
Excise Taxes or Cobrado State or local sales or use taxes. Pitkin County is exempt from such `�
� taxes under registration numbers 98-02624 and 84-78000-5K. 4
B. Pursuant to state statute and to the extent permitted by law, Colorado labor shall be
� employed to perform the work to the extent of not less than eighty percent(80%) of each t.
`� type or class of labor employed on such project; except for highway construction,which is <
subject to C.R.S. 43-2-208, which provides that all laborers shall be bona fide residents of
Colorado with a preference to reside�ts of the County where the work is performed. ,:r,

C. Preference is given, to the extent permitted by law, to: materials, supplies and provisions
�+ produced, manufactured or grown in Colorado, quality being at least equal to materials,
,� supplies and provisions from outside the state;and to local(Roaring Fork Valley►services and
labor of quality at least equal to non-local services and labor.
9. RECORDS

' The Contractor shall maintain comprehensive,complete and accurate books,records,and documents ��
� concerning its performance relating to this Project for a period of three(3)years after final payment
on the Project end the County shall have the right within the three-year period to inspect and audit �

�.. for the purpose of determining,by accepted accounting and auditing standards, compliance with all �
provisions of the Contract and applicable law.

� 10. ANNUAL APPROPRIATIONS �
If the contract awarded as a result of a bid extends beyond the calendar year, nothing herein shall
be construed as an obligation by the County beyond any amounts that may be,fram time to time, �
' � appropriated by the County on an annual basis. It is understood that payment under any contract u�' �
! is conditional upon annual appropriation of funds by said gaverning body and that before providing `
�t services,the Contractor, if he so requests,will be advised as to the status of funds approprlated for '
