j 1. The County is the owner, ogerator and FAA sponsor of the
� Aspen/Pitkin County Airport (Sardy Fieldj, located in Pitkin County ��' `
! in the vicinity of Aspen, Colarado (herei.nafter the nl�irport"), at -
which it has made available certain iand ar.eas and facilities for ' �
� and in support of commexcial aeronautical activity including public ;'�
airfield facilities, an airline terminal and related airline �
facilities, and a general aviatian terminal and related general ;_
aviation and fixed-base operator facilities; and
i �r..
I2. These certaih land areas and facilities are further designated ,;;
- , � as areas and faciZities for public use (subject to rules and �`
regulations for each classification of userj, areas and facilities
! £or exclusive, preferential or non-exclusive commercial use
� (subject to written agreements with the Count �
y) , and certain areas �
� "reserved" by the County for future designation; and
3. The County has the authority to operate and manage the t�`
. Airport, to permit and regulate commercial and certain aeronauticai �
uses and activities at the Airport and to lease, license or permit
the occugancy and use of land areas, buildings, •improvements and �.
� facilities thereon, pursuant to, inter alia, C.R.S. Sections 30-11-
107, 30-15-401, 30-35-201/202, 4i-4-I01 et sev•, as amended, Tit2e ;
IV of the Pitkin County Code, as amended, and Section 8.7 oP the

Pitkin County Home Rule Charter, as amended; and

�� � 4. ABO is the first (of two in seqtaence) fixed-base operator ;
(FBOJ at the Airport, Effective October 1, 1993, the Cpunty and ;
ABO entered into an Agreement for the redevelopment, by ABO, of
certain FSO and General Aviation (GA) facilities at the Airport. :
5. That Redevelopment Agreement set out a time schedule for the '
demolition of existing facilities and the construction of replace- '
ment facilities. In 1994, ABO commenced performance of its
obligations under the Agreement and has completed certain
+ significant demolition and construction projects thereunder. '
6. The Redevelopment Agreement called for a four-unit T-hangar
Facility and an S-FBO Facility (Specialized Fixed-Base operator) to ?�`.
be completed by November 15, 1995. In consultations between ABO ��"�
+ and prospective T-hangar and S-FBO tenants that took place in late � �

' 11. Further, as the redevelopment process proqressed and addition- _
. � al circumstances arase at the Airport (including, especially, the :• ';,,
E withdrawal of a commuter Airline [Continental Fxpress] and the �•
j emergence of replacement direct-flight Airlines [Business Express � ;.
� and Lone Star], which had a greater need for refueling capacity), r
the Airport had additional interests in amending the redevelopment �>�. :-
-_.,,_� schedule, inter alia, to acaelerate the construction of a new

aviation fuel farm. �
12. In response to the foregoing circumstances, the County and ABO g �
� have reached an agreement on the amendment of the redevelopment `,:;

j schedule to meet the needs of the Airport, ABO, the Airlines and a �
�� substantial majority of the GA commercial operators.
NOW THEREFORE, in consideration of the mutual covenants, terms
� and conditions herein, the parties hereto agree as follows:
�� Section i The adopted Redevelopment Agreement provides, in
pertinent part, as foll.ows:
