WHEREAS, this agreement shall only be binding between the parties provided that the Snowmasa Resort Aasociation and the Aspen `�7 Sk•i Company each contribute revenue as provided for in Exhibit "C"; - NOW, THEREFORS, the parties agree as follows: '� ".a sa TfiE COUNTY'S OBLIGATIONS ARE AS FOLLOWS: 1. To provide the ACRA access to an information desk in the arrivals/baggage claim area of the commercial terminal (attached as Exhibit "A"}, and all informational and directional signs, which in the sole discretion of the ?�� Director of Aviation may be necessary therefore, inside and 3"�� outside the commercial terminal building; 2. To provide a public address and paging system with acceas throughout the terminal building, and a telephone system with - three (3) dedicated lines; 3. To provide four (4) hand-held transceiver radio sets and charger units, with one (1) dedicated Airport frequency and ' '1 one (1) County contact frequency; 4. To allow the ACRA employees provided for in this Agreement �' non-excluaive use of all public facilities located at the � terminal; • , . i � 5. To provide at least one (1) person from the County who shall ' � . : . act as the County's authorized representative ("point-of- (� contact") responsible for carrying-out all County obligations, � and assuring ACRA compliance with obligations set forth within this Agreement. To provide training and instruction for all ACRA Gueat ' Services employeea including: airport rules and regulations, �:.,` ' general airport orientation, airport security, and other `�' ' i applicable airport practices and standard operating �' �� procedures. THE ACRA'S OBLIGATIONS ARE AS FOLLOWS: � - 1. To provide acope-of-work and services as follows (within the reasonable limitationa of staff availability) : . a. To provide staff for the airport information desk for the purposes of: answering traveler questions, providing information and directional assistance, answering ' ; � telephones, and providing public announcement/paging � services; . � Information assistance shall include, but not be limited ' to: information on airline schedules, airline delays (when applicable), availability of ground transportation to and from the airport, baggage services and delivery, - lodging accommodations, lift ticket and snow condition information, and other miscellaneous information pertaining to tourist amenities and activities in the Aspen/Snowmass area; b. To provide staff to circulate within the terminal , building for the purpose of answering traveler questions, — __ providing information and direction assistance, and � ' facilitating conflict resolution; c. To provide staff to be stationed at the "arrival" doors _ during air carrier deplaning operations to meet and greet ' deplaning passengers, answer traveler questions, provide information and direction assistance, and discourage j ` and/or report unauthorized access to secured areas; d. To be observant for those persons who may require medical assistance and to call for appropriate medical assistance eithex at that person's request, or as a result of an obvious medical emergency; '`;-; ��.: e. To provide minimum standards of employee performance, ACRA �`-'r' i employees shall: ;� e:�;_1-::` _ ,ti:�. a. Promote among each other and maintain professionalism in all job aspects while engaged in Guest Services activities under this Agreement; i b. Not engage in any manner in disputes or conflicts with r3 � airport travelers, the general public, building tenants, �, or other commercial vendors; �:,. - +�. c. Be friendly, courteous and helpful to all airport travelers and the general public; �' a . � d. Be responsible in the initiation of help and assistance to all airport travelers and the general public to the greatest extent possible; : e. Be required to dress "in uniforms" issued by the ACRA and ;,t. to maintain appropriate personal hygiene and appearance E�.n suitable for a world-renowned, first-class resort; • Uniforms shall be aelected in coordination with, and � input from, the Director of Aviation. ACRA employees shall be required to dress in the issued uniforms during all duty hours. f. Assume relief from job responsibilities only during the ' a, periods identified for employee "breaks", and only when � ---- approved by ACRA supervisory staff; g. Be required to maintain the security of the airport manager's office when being used by ACRA employees, and �, , to be required to exercise ordinary and courteous � cleanliness habits associated with said use. f , � � 3. To provide no less than niae (9) total employees for the Airport Guest Services program, with adequate supervision. Supervisory employees sha11 be responsible for supervising the �, work and performance of all ACRA employees during each �, respective shift. To provide training and instruction for all ACRA Guest Service � .,: �. employees including: Guest Service's personnel policies and ' regulationa and basic airline operating procedures. �'"�� � Confirmation of auch training ahall be provided in writing to !�'�'';�:t r; ` the Director of Aviation. ;-� .� ,'. � �,. 6. The ACRA�s re resentative shall submit a written status re ort � ' ' P P ;,5,?.:' � of the Guest Service program to the Director of Aviation, or ;r.__,,,".,- � his authorized representative, on a monthly basis. This ;1f,1-`'•� " report may be the same as that provided to the President of ';,�:;`i:r: �__ _ the ACRA, i.e., number of visitora assisted, telephone calls '�' answered, wheel chair asaists, etc. �:;`;:,+y`;;,' 7. To be solely responsible to compensate and provide benefits for ACRA employees provided £or under this contract, based on " ACRA personnel policies. `' y:t 8. ACRA (including, by definiCion here and hereinafter, its officials, employees, agents and representatives, subcon- tractors and sugpliers) , shall and herehy does release, dis- ' �:� " charge, indemnify and hold harmless the County of Pitkin and �. its officials, employees, agents and representatives from and against liability for any claim, demand, loss, damages, penal- <<'r ty, judgment, expenses, costs (including costs of investiga- tion and defense) , fees (including reasonable attorney and - expert witness €ees) or compensation in any form or kind � t; whatsoever for any bodily injury, death, personal injury or � I property damage arising out of or in connection with any - { negligent act, intenCional act, error or omission by ACRA, and for any consequential liability alleged to accrue against the '4�`'++° County on account of ACRA's acts, errors or omissions; pro- vided, however, that such indemnity shall not be construed as _ an indemnity for bodily injury or property damage arising from the sole negligence of the County or its employees. 9. To provide workman compensation insurance in the limits �i required by law, commercial liability insurance, personal • injury, and property damage insurance with limita of at least E' ' $1,000,000 per occurrence for public liability, and $1,000,000 , `� for property damage. Satisfactory evidence of all such � --- insurance in the form of a certificate of insurance must be a,� provided to the County. The certificate of insurance shall ( name Pitkin County as "additionally insured" and shall conCain a provision that coverage afforded under the policies will not be canceled unless at least ten (10) calender days prior ' ' written notice is served to the County by certified mail. i' � 10. At the end of the term, any residual monies left over sha1Z be held in escrow and carried over for the following year's �} budget, provided the ACRA and the County elect to continue the ' _ program. In the event the program is not continued the following year, such residual monies shall be refunded to all ' `i parties who have contributed such monies, in proportion to � each party's contribution for that year, within ten (10) days from the date that the decision to not continue the program is '� made and agreed upon. � `� 15. The ACRA, its agents or representatives, and employees shall ' comply with a11 County and Airport rules and regulations and directives as reasonably promulgated by the County. - 16. The ACRA, its agents or representatives, and employees shall `� be required to report any violation of airport regulations, or other local, state or Federal laws immediately to the Director ' of Aviation or his authorized representative. Employees may �-- also be reguired to submit written and/or verbal witneas � �+ testimony on behalf of the County, if such testimony is deemed necessary by the Director of Aviation. I17. To comply with the letter and spirit of the Colorado Anti- � discrimination Act of 1957, as amended, C.R.S. 1973, 24-34-4- � 2, et sea. (1982 Repl. Vol. 10) . � 18. To comply with the provisions of C.R.S. 1973, 8-17-102 (1982 Cum. Supp.1 for preference of Colorado Labor. �. 19. All ACRA employees shall be subject to a five {5) year security background investigation by the County. All employee � w-� ' information shall be held confidential by the County.
