THTS AGREEMENT, is made as of the���day of December, 1995 by ;.��.;;�
and between the County of Pitkin, Colorado, a Colorado home-rule
- (hereinafter the "COUNTY"j and Walter J. Pfanenstiel and Mary F. ''`�.'i,.
Pfanenstiel (^PFANENSTIELS") and Grapetree Properties, Znc. i .._�.�
("GRAPETREE"). �:,�

WHEREAS, the Coal Creek Rbad was built by a coal mining �.�: �
company for the purpose of hauling coal from the now abandoned coal .,
mines in Coa1. Basin and is a very well constructed asphalt road 24 �;;,�,.r.`�
" " - ',: feet in width. �,:�,.,

� WHEREAS, Pfanenstiels and Grapetree own an easement for access
; from State xighway 133 across the property known as the "Coke Ovens �
' Property" for access to psoperty owned by Pfanenstiels and '�,w
y Grapetree along the road known as Coal Creek Road; and
; �"r
? WHEREAS, Pfanenstiels and Grapetree own by fee s.i.mple, or by
; easement, that portion of Coal Creek Road which starts at the ;, . ��
western edge of the Coke Ovens Property and ends at the boundary of
{ the White River National Forest, U.S. Forest Service property; and ,R
� WHEREAS, these portions of Coal Creek Road provide the onZy

j means of vehicular access to thousands of acres of Forest Service
I public lands containing many hiking trails and camping and hunting
, i areas and potential winter sport activity areas and is thus an
essential community benefit which the Pitkin County Open Space and
Trails Soard of Trustees and the Board of County Commissioners
believe must be preserved by the County for the year round ���
recreational enjoyment and use by the public of these extensive
forest lands; and
� WHEREAS, Pfanenstiels and Grapetree aze willing to convey to
the County all of their ownership interest in and to Coal Creek
Road with the intent that the pubiic, national forest persoanel,
and Division of Wildlife personnel are assured of access across
� such road on a year round basis foz public use and enjoyment or for
forest land maintenance and management of such lands and the
,� wildlife in such forest land, and the County is willing to maintain
------ such road for such purposes; and

WHEREAS, Pitkin County will reimburse Pfanenstiels for their
expenses incurred relative to donating the road to the extent set
r forth herein;
�� WHEREAS, Pfanenstiels and Grapetree desire to make a i
charitable donation of the private road to Pitkin County. ;p
I� NOW, THEREFORE, in consideration of the rights and obligations �.
set forth in this Agreement, and for other good and valuable
� consideration, the receipt and sufficiency of which is hereby � i ;�-:

2. Propertv Description. Pfanenstiels will convey by deed �'� }=
of easement or a General Warranty Deed, as applicable, a fee simple .�;; ,,�
interest by general warranty deed and an easement in the entire 24 . .� '
foot wide portion of Coal Creek Road (owned by the Pfanenstiels or `'. ' �
Grapetree or previously owned by the Pfanenstiels or Grapetree and ����',:;� ,
reserved for future conveyance by the Pfanenstiels), which eictends �� .''
from the Coke Oven Property to the United States Forest Service ��:•-
boundary, without reservation or limitation except the lien for �;,,; . `
1995 taxes. Grapetree and Pfanenstiels will convey such fee simple ��:_ t
interest in the road that they own, and will convey the easement '`�"'-'� `
- j reserved by them over property Coal Creek Road crosses which '`.rt'�,
? Pfanensteils and Grapetree no longer own. In addition, the t
' Pfanenstiels will transfer and assign to the County wfthout ,�`,.( :,
� warranty their non-exclusive easement rights across the "Coke Oven
I Property" between State Aighway 133 and the road being conveyed to

Such Warranty Deed conveyance of the road shall be marketable �•r
title, capab2e of being insured by a local title insurance company ,
to the benefit of the County. The County may order a title �;
commitment insuring its interest in Coal Creek Road and pay the
� premium for such policy with funds from the Open Space and Trails �.
; program. Should title to such road not be insurabze by a local ;
! title insurance company, then at the County's option, this '?
agreement shaZl be null and void upon written notice to the
- Pfanenstiels. Alternatively, the County may give written notice to
; the Pfanenstiels of any title defects and the Pfanenstiels shall Z'
have the right to cure such defects, and if cured to the County's
� reasonable satisfaction, the County will accept conveyance of the
I Road. =i�

' The interest conveyed will consist of a twenty-£our (24} foot '
wide paved roadway, as measured 12 feet in each direction from the
existing center line of the road as it traverses the Pfanenstiel
and Grapetree property, approximaCely 1.25 miles long, containi.ng
3.51 acres, and being more fully described on Exhibit A, attached
hereto. in addition, the Pfanenstiels will convey an eiqhteen (18)
foot road mai.ntenance easement to the county on both sides of the
roadway for a total road and easement width of sixty (60) feet.

� conveyances shall not constitute a waiver of claims of any !'
i prescriptive rights the County may have to the road known a� Coal

; 2. Road Classification. Pitkin County will classify Lhe ' � '
! Road as a Rural Access Road under the current Pitkin County Road F
I Standards and will maintain the road year-round, including snow
� removal so that the general public can have vehicuI.ar access and
� utilize the winter recreational activities on the Coal Basin forest
; land, in accordance with such standards and the practices of the
� County with respect to similarly classified roads. It is �

- Management and Maintenance Plan. Pitkin County may reclassi.fy the �' s"
Road to different maintenance standards at i,ts sole discretion as �` '

dictate. At a minimum, the road will be maintained in its present ' " �'�
condition with at Ieast a chip and seal surface or its equivalent .y`,�'.;:1'r
and winter access maintenance for the publi.c shall be performed in �_� •
conjunction with that provided for Redstone Boulevard. c:

3. Parkina. Pitkin County will erect at least one sign at �,:`-�
each end of the road prohibiting parking along the road or on the y�'��;?�. �
easement. ��
� 4. Exemvtion from Subdivision. The County will process an � '
. .,`-> .
application for an exemption from subdivision for public purposes
for Lots 2, 3, 4, 5, Sa, 10 and 11 as shown on Exhibit B attached,
due to the resulting decrease in acreage of such lots below 35
acres resulting from transfer and conveyance o£ this road to the �` `
extent required to make this transaction consistent with the ;�
provisions of the Pitkin County Land Use Code. It is the intent of
' the parties that this transfer not impact the develapability of the `
above referenced lots or other lots created by Pfanenstiels for
investment and resale or the ability oE such lots to qualify Eor 35 ;'�a
acre exempt water well permits as such rights existed prior to Che
transfer to the County of Pfanenstiels, Grapetrees, or their
successors interest i.n Coal Creek Road. The County shall also
grant one road cut permit per lot from the road to be conveyed
hereundez to Lots 1, 2, 3, 4, 5a, 5b, 6, 10 and 11 as shown on
1 Exhibit B pursuant to County 1041 review, for access to such lots. �

� 5. Assum�tion of Costs. Pitkin County, through the Open =,.
� Space and Trails program, will reimburse the Pfanenstiels and '`;;i�`
� Grapetree for the costs they incurxed for this trans£er, up to a +'
! limit of $25,000.00 to cover appraisaZ, survey, 1ega1 and other
• ± appropriate incidental expenses associated with the transfer. All
expenses must be verifiable by receipts or invoices to be reviewed
` and approved by the County and shall be reimbursed to the r�,
yPfanenstiels or Grapetree at closing.

`` 6. Sians. Pitkin County will provide at least one sign at �
, ' � each end of the road to be conveyed hereby informing the public .;
�__ _ that the Coal Creek Road runs through private property and that
� trespassing is prohibited onto that private property, either in
a addition to or in conjunction with the sign identi.fied in paragraph
' 3 ahove. In addition, Pitkin County will recommend to the United �
! States Forest Service that a sign be instalZed at the western end
' I oE the road where it adjoins the National forest boundary infoxmin ' •

� the public that they are entering the White River National Forest ; '
at that point. The signs to be provided by the County will be paid
for by funds from the Open Space and Trails program.
7. Chanae in Name of Road. The County agrees to review a r�
request by Pfanenstiels to change the name of Coal Czeek Road to '��#.

- 9. Charitable Donation. Pitkin County acknowledges that the �
Pfanenstiels and Grapetree are donating the Propezty and easement s.
as herein described as a charitable gift and will obtain federal �
income tax benefits. Pitkin County understands that the
Pfanenstie].s and Grapetree will receive a charitable income tax
deduction on account of the grants herein described.
10. Enforcement. If either party, to enforce any provision �
hereof or to recover damages for breech of this agreement, hires an
attorney to advise them regarding such enforcement, then the �
prevailing party in such enforcement shall be entitled as part af ;
� the settlement of such enforcement or any judgement, to recover
� costs and expenses including attorneys fees incurred. �
