THIS AGREEMENT, made as of the date last below signed, by and �• -•
between the County of Pitkin, Colorado ("COUNTY") and Valle del Rio �';rr
Company Inc. a Colorado Company ("CONTRACTOR") ; �• •

WHEREAS, the COUNTY intends to accomplish the construction of =:`.. r
an addition to the Pitkin County Jail ("PROJECT"), in accordance � :..
with the terms and conditions herein and the Specification and
" Drawings; r;.:
WHEREAS, the CONTRACTOR hereby agrees to complete its portion �;>:
of the PROJECT according to the Contract Documents;

i NOW, THEREFORE, the COUNTY and CONTRACTOR, in consideration �
� of the mutual covenants, terms and conditions hereinafter set �
forth, agree as follows:

l. CONTRACTOR'S OBLIGATION. CONTRACTOR agrees to furnish �
� all of the professional services, sub-consultants, materials, �
- : �� equipment, plans, drawings, calculations, reports and documents +
specified or necessarily implied to complete all tasks required for �
' the completion of the CONTRACTOR's portion of the PROJECT, as set �
out in and in strict compliance with the contract documents herein,
to the standards for its profession in Colorado. �i

2. Contract Time. Services under this Agreement shall be i
commenced by September 18, 1995, and shall be completed no later '
than April 14, 1995. Contractor hereby agreea to pay County �
Liquidated Damages in the amount of $250 per calendar day for each
day or part of a day the Project is not completed by the comple- {
tion date here established. Uncontrollable delays shall be �
documented by Valle del Rio Company Inc. and approved in writing �,
by Pitkin County at the time of the delay. �

3. Payment. The County agrees to pay, and the CONTRACTOR �
� agrees to accept, in full payment for the completion and t •
i performance of this Contract, a top set of $467,000 (Four hundred ;
�,. seventy thousand dollars and no/cents) as listed within the ;

� � � CONTRACTOR's proposal. It is understood that this amount may be �
`, '.� increased by Change Order solely in accordance with the provisions
of the Contract Documents.
4. Contract Documents. The following Documents are agreed
to constitute the Contract Documents. In the event that any ;, �.
provision of a Contract Document conflicts with the provisions of
- another, the provision first listed shall govern, except as '
otherwise specifically stated: t

� 6. AUTHORITY AND RESPONSISILITY OF THE PROJECT MANAGER. t ' l

_. her designee's) general observation. The Project Manager shall * r.
decide any and all questions that may arise as to the quality and kt '�t'-; :
accepCability of materials furnished, work performed, rate of � �'.= •
progress of the work, interpretation of the Contract, Change Orders
(within the limits of her authority) and all other questions as to ,^�
the compliance with the Contract on the part of the CONTRACTOR but {}1,� �
shall have no responsibility to direct or supervise the work or the j� ,�7
CONTRACTOR means, methods and procedures not in conflict with this ��r

' 7. Successors and Assians. This Agreement and all of the �'�;'. .`
covenants hereof shall inure to the benefit of and be binding upon : � "��
the COUNTY and the CONTRACTOR respectively and their agents, i- ,
representatives, employees, successors, assigns and legal E �
� representatives. Neither the COUNTY nor the CONTRACTOR shall have
. the right to assign, transfer, or subleC his interest or
obligations hereunder without the written consent of the other •{
party.

performed, kept and observed by the other party shall be constru- �r
ed, or operate as, a waiver of any subsequent default of any of "

9. WAIVER OF PRESUMPTION. This Agreement was negotiated'
and reviewed through the mutual efforts of the parties hereto and
the parties agree that no construction shall be made or presumpt-
�, ion shall arise for or against either party based on any alleged
- --- unequal status of the parties in the negotiation, review or
drafting of this Agreement.
10. AUTHORIZED REPRESENTATIVE. The undersigned representa- '4
tive of the CONTRACTOR, as an inducement to the COUNTY to execute ,
this Agreement, represents that he/she is an authorized represen- ,. ,
taCive .of CONTRACTOR for the purposes oE executing this Agreement �'
and that he/she has full and complete authority to enter into this .
Agreement for the terms and conditions specified herein. '?_

- A. The Contractor acknowledges that this Agreement is entered into
subject to the requirements of the "Pitkin County Procurement �
Code," iSection 8_5 of Che Pitkin County Home Rule Charter,
Resolution No. 82-37, April 12, 1982) . AS such, the Contractor � .
agrees to compiy with a11 requirements of said Procurement ` �`' '
� Code; and such requirements are incorporated herein by this
reference (copies of the Code are available from the County for ;
- a nominal charge) . The Contractor also acknowledges that this �
Agreement is subject to applicable state contracting law
including, without limitation, C.R.S. Sections 38-26-101 gt �
sea•, 24-92-101 et sea•, 43-2-101 et seQ•, 43-2-201 et sea•
B. The Contractor shall immediately notify the County Manager in 4
writing of any violation of said Code or statutes by the G .
County's employees or agents, which violation(s) is known or '
should have been known by him, and failure to so noti£y the �.
- County of any violation(s) within five (5) days of knowledge
of such violations shall be considered a breach of this Agree- 3
ment. Further, failure to notify the County of any violation $
of the Procurement Code or statutes within five (5) days of �
knowledge shall be deemed as a waiver of any action or defense
that the Contractor may have against the County by reason of �
such violation of the Procurement Code or statutes. ;; '

Code) .
F. Sub-Contract Clause. The prohibitions against contingent fees,

D. Employment Data and Affirmative Action Plan. If requested,
• the Contractor agrees to submit on an Employment Data Form to
be provided by the County, the data showing the utilization of
disadvantaged persons, minorities and women by job category
within its organization. Where the Contractor has fifty (50)
or more employees or it is participating in contracts with the
County which exceed Fifty-Thousand ($50,000.00) Dollars, an
� Affirmative Action Plan must be submitted to the County when

�`� E. Noncompliance. In the event of the Contractor's noncompliance

� 4. TERMINATION FOR DEFAULT O FOR CONVENIENCE OF COUNTY

� A. The performance of work under the Contract may be terminated _ �
j by the County:
` (1) Whenever the Contractor shall default in performance of .t- .
= this Contract in accordance with its terms, and fails to
cure or show cause why such failure to perform should be ,�� ;
� - excused within ten (10) days (or longer as the County may `:'
a11ow or shorter, but not less than three {3} days, for
failure to provide proof of insurance or maintenance of I
any dangerous condition) after hand-delivery or mailing to
the Contractor of a notice specifying the default. If
mailed, said notice shall be sent by certified mail, return ti
receipt requested, to the address specified herein for the
Contractor.

- The Contractor shall not be in default by reasons of any �
failure in performance of this Contract in accordance with
its terms if such failure arises out of causes beyond the
control and without the fault or negligence of the i
- ; Contractor. Such causes may include, but are not
restricted to, acts of God, natural disasters, strikes, or
� M freight embargoes, but in every case the failure to perform :
must be beyond the control and withouC the fault or
negligence of the Contractor. Upon request of the �
Contractor, the County shall ascertain the facts and
failure, and, if the County shall determine that any �
failure to per£orm constituCed a valid commercial excuse, �
the performance shall be revised accordingly and notice of ;•
- default withdrawn; or
(2) Whenever for any reason and in its sole discretion the �;; .
County shall determine that such termination is in its best
interest and convenience.
� —��" B. Notice of Termination. In the event of termination for the �

� Contractor a written notice of termination, specifying the i

G. Method of Appeal. If the Contractor disagrees with the ` r
County's determination under Paragraphs 4.D. or 4.E., he can �
appeal this decision in writing to the County. Such appeal
__ must be made within twenty (20) days of receipt in writing of �,'�
the County's determination. The CounCy shall have twenty (20) � •
days in which to reapond in writing to the appeal. The ��, '
County's response shall be final and conclusive unless within

, 5. METHOD OF PAYMENT
iA. Once each four (4) weeks, or whenever convenient to both the
- County and the Contractor or as otherwise provided in the :
contract documents, the Contractor shall submit to the CounCy �3
a certified Application For Payment for percentage of work
completed. f
B. After receipt and approval of the Application, which approval
shall be reasonably prompt, the County shall make payment
thereon within thirty (30) days of receipt and approval. �,'
C. Prior to a final payment under this Contract, the Contractor
shall execute and deliver:
{1) An assignment to the County of refunds, rebates, crediCs
or other amounts, including the interesC thereon, properly
allocable to cost for which the Contractor has been
reimbursed by the County under this Contract;

(2) A release or waiver discharging the County for all liabil-
,�,� � ities, obligations and claims arising out of or under this ,
-- Contract on behalf of the Contractor (and his successors

'I and assigns) and of all subcontractors and suppliers, and
an indemnity protecting the County againsC any such �
liabilities, obligations and claims;

10. ANNUAL APPROPRIATIONS i"'�

If the contract awarded as a result of a bid extends beyond the
_ calendar year, nothing herein shall be construed as an obligation
� by the County beyond any amounts that may be, from time to time,
appropriated by the County on an annual basis. It is understood
that payment under any contract is conditional upon annual appro-
priation of funds by said governing body and that before providing
services, the Contractor, if he so requests, will be advised as to •�
the status of funds appropriated for services or materials and �,;;3�tx
shall not be obligated to provide services or materials for which
' funds have not been appropriated.
; 11. SUCCESSORS AND ASSIGNS

benefit of and be binding upon the County and the Contractor �;
