Amendment approval to the Aspen County Hospital District. �� `�� WHEREA3, Ttem P7o. 2i of' Resolution No. 92-11 provides that the � Aspen Valley Hospital grant a perpetual easement to the Nordic ' ' � Council for use of a Nordic ski trail across the hospital property, � �� • , ' subject to the terms and provisions hereof. � ,� ,;: I AITNESSETB ��j - i NOW, THEREFORE, for and i.n consideYation of the mutual ( covenants and agreements hereafter set £orth, and for other good + and valuable consideration, the garties agree as follows: � E1. Grant of Easement. Subject to the terms, restrictions +s and conditions hereof, Aspen Valley Hospital hereby grants to the . County for use by members of the public a non-exclusive Nordic trail easement (the '�easement") across certain areas af Aspen Valley Hospital property, as mare specifical2y referred to in Resolution No. 92-11 and described on E�chibit "A" attaahed hereto. The County shall ha�e the right, upon written notice to assign its respective interests in this Easement Agreement to the Aspen/Snowmass Nordic Council, Inc. or any simi2ar or successor � 1 � .�- organization formed or to be formed to operate Nordic trails for � -�-�� public purposes or to a park or recreation district to be ozganized � , � for purposes of maintaining anfl operating public trails; provided however, no such assignment as herein permitted shall release the ; ; County from any of its duties or obligations hereun8er. � , . _ : i 2. Use. Use of the easement shall be limited to winter i i daytime use for cross country skiing. No lighted or night time use ,� r� ( of the easement shall be permitted. Use of the easement shall commence the first � winter following the approval of the easement by the Board of ``?C"�� ' Directors of the Aspen Valley Hospital and the Hoard of County s%;�i'`� � Commissioners, and full and complete execution hereof by the ',;'�:,::-- _ chairman of each such board. This easement shall terminate if the County shall fail to set, operate or maintain the trail over the � Aspen Valley Hospital property for three (3) consecutive years. tI'`� Except as provided in the precediag sentence, this Easement ";��. Agreement shall automatically be renewed from year to year so long as the County shall comply with the terms, provisions and ` • conditions set forth in this Easement Agreement. 5. Non-Profit Pur.poses. The purpose of this Easement � j Agreement is to allow use of the easeraent by members of the public ;�� for non-profit recreational purposes in accordance with the terms, provisions and conditions hereof. The easement shall not be used for'profit or commercial purposes or any other purposes except as Y expressly allowed herein. � ' 6. �iold Harmless and Insurance. The parties expressly ;.� � acknowledge that Aspen Valley Hospital is entitled to the benefits, � protections and limitations on liability a£forded by Colorado law governing recreational easements, Section 33-41-101, e se ., - C.R.S. By granting the easement hereunder, Aspen Valley Hospital shall have no obligation to repair or otherwise maintain the area within the easement, or to insure or indemnify the County for any ] injury, claim or damage to any person or property, whether alleged � E to have occurred while using the easement for any purposes or due f � ta the condition of any trail or otherwise. To defend and hold harmless Aspen Valley Hospital, ,, its agents, representatives, employees and successors and assigns, to the full extent allowed under Colorado law, for any injury, `� claim or damage to any person or property, whether alleged to have � � occurred while using the easement due to the condition of any trail ;� or atherwise; „• � '. i; B.
