' � WHEREAS, the COUNTY intends to retain CONSULTANT for certain consulting o. ��
services with respect to what is known as the Aspen Branch of the Denver&Rio Crande #?• •-

Western Railroad right-of-way("PROJECT"), in accordance with the terms and conditions $`::;
herein and the CONSULTANT's proposal documents; �;.

� WHEREAS,the parties attempted to reach an agreement as submitted and approved #"=

� by the Pitkin County Commissioners at their regular meeting of August 8, 1995,but were
unable to do so. Because of this inadion, this Agreement now represents the complete
� agreement between the parties any previous agreements are null and void;

� � WHEREAS,the CONSULTANT hereby agrees to complete its portion of the PRO)ECT
according to the Contract Documents;
� NOW, THEREFORE, the COUNTY and CONSULTAN7, in consideration of the
' . , � mutual covenants,terms and conditions hereinafter set forth, agree as follows:
1. CONSULTANT's Obligations. CONSULTANT agrees to furnish all of the
professional services, sub-consultants, materials,equipment,plans,drawings,calculations,
reports and documents requested on an hourly or time and materials basis,as set out in and
in strict compliance with the CONSULTANT's proposal herein below listed,to the standards
'; ,a for its profession in Colorado. _
2. Contract Time. Services under this Agreement shall commence on the date
this Agreement is signed by the Chairman of the Board of County Commissioners,and shall
be completed no later than December 31, 1995. It is understood that this completion date
may be changed by Change Order solely in accordance with the provisions of the Contrad
�`�.
Documents. �
' 3. P�ment. The County agrees to pay,and the CONSULTANT agrees to accept,
in full payment for the completion and performance of work under this Contract,payment
in the amount specified based upon the hourly rates listed in the ConsultanYs Proposal,not
� to exceed Twenty-four thousand, five-hundred and twenty-four and 78/100 ($24,524J8)
dollars. It is u�derstood that this amount may be increased by Change Order solely in �1
accordance with the provisions of the Contract Documents.
4. Contract Documents.The following Documents are agreed to constitute the
Contrad Documents. In the event that any provision of a Contract Documeni conflicts with
the provisions of another, the provision firsY lisred shall govern, except as othenvise ;,;,;�

5. Sub-Consultants. The CONSULTANT agrees to bind every sub-contrector by ;.

6. Authority and Res�onsibilitv of the Project Manager. The County's `�*-

be done under his(or his designee's)general observation. The Project Manager shal I decide s:��-:
any and all questions that may arise as to the quality and acceptability of materials j; �
furnished, work performed, rate of progress of the work, interpretation of the Contract, �;
Change Orders (within the limits of his authoriry) and all other questions as to the ��
compliance with the Contract on the part of the CONSUL7ANT but shall have no
� respansibility to direct or supervise the work or the CONSULTANT's means, methods and ; �
� J procedures not in conflid with this Contract. i
I7. Successors and Assi�ns. This Agreement and all of the covenants hereof shall ��
' inure to the benefit of and be binding upon the COUNTY and the CONSULTANT �'
� respectively and their agents, representatives, employees, successors, assigns and legal
representatives. Neither the COUNTY nor the CONSULTANT shall have the right to assign,
transfer, or sublet his interest or obligations hereunder without the written consent of the
other party.
: � 8. No Waiver of 7erms. No waiver of default by either party of any of the terms, �
covenants or conditions hereof to be performed,kept and observed by the other party shal(
� be construed, or operate as, a waiver of any subsequent default of any of the terms,
covenants or conditions herein contained,to be performed,kept and observed by the other '+

9. WaiverofPresumption. ThisAgreementwasnegotiatedandreviewedthrough �, �
• � the mutual efforts of the parties herero and the parties agree that no construction shall be i
-�--.- -= made or presumption shaN arise for or against either party based on any alleged unequal � `
status of the parties in the negotiation, review or drafting of this Agreement.
10. Authorized R�resentative. The undersigned representative of the I
� CONSULTANT,as an inducement to the COUNTY to execute this Agreement, represents
that he/she is an authorized representative of CONSULTANT for the purposes of executing �
! this Agreement and that he/she has full and complete authority to enter into this Agreement

1 1. COMPLIANCE WITH PROCUREMENT CODE AND APPLICABLE STATE CON-
TRACTING LAW

A. The Consultant acknowledges that this Agreement is entered into subject to the �:'1
requirements of the"Pitkin County Procurement Code,"(Section 8.5 of the Pitkin F ,
� County Home Rule Charter,Resolution No. 82-37,April 12, 1982). As such,the �:
" � Consultant agrees to comply with all requirements of said Procurement Code, �����3
and such requirements are incorporated herein by this reference (copies of the '
i Code are available from the County for a nominal charge). The Consultant aiso �r
acknowledges that this Agreement is subject to applicable state contrading law
. including, without limitation, C.R.S. Sedions 38-26-101 et sea•• 24-92-101 et

B. The Consultant shall immediately notify the County Manager in writing of any �
violation of said Code or statutes by the County's employees or agents, which ��`�

violation(s) is known or should have been known by him,and failure to so notify
the County of any violation(s) within five (5) days of knowledge of such
' violations shall be considered a breach of this Agreement. Further, failure to
notify the Counry of any violation of the Procurement Code or statutes within five �
(5)days of knowledge shall be deemed as a waiver of any action or defense that ;
the Consultant may have against the County by reason of such violation of the
Procurement Code or statutes. ' '

B. Gratuities Prohibited. The Consuitant a rees not to �-`"

employee of Pitkin County a gratuity or any offer of employment in con�ection ��- �
with any decision, approval, disapproval, recommendation, preparation of any '.,;��
` �' part of a program requirement or a purchase request, influencing the content of
any specification or procurement standard, rendering of advice, investigation, .�`,t r-
auditing, or in any other advisory capaciry in any proceeding or application,
j request for ruling,determination,claim or controversy,or other particular matter, �'`

pertaining to this Contract or Subcontract, or to any solicitation or proposal ',

+ C. Gratui means a payment, 1oan, subscription, advance deposit of money, � �
� services, or anything of more than nominal value, present or promised, unless �� ' '
consideration of substantially equal or greater value is received. ;-

D. Kickbacks Prohibited. It shall be a breach of Contract for any payment, gratuity,
� or offer of employment to be made by or on�behalf of a subcontractor under a
. � contract to the prime contractor or higher tier subcontractor or any person associ- °
ated therewith, as an inducement for the award of a subcontract or order. The
Consultant is prohibited from i�ducing, by any means, any person employed
under this Contract to give up any part of the compensation to which helshe is
� � otherwise entitled. The Consultant shall comply with all applicab(e locat, state �
• � • and federai "anti-kickback"statutes or regulations. i

E. Prohibited Conflict of Interest. No official,officer, employee or representative of
i the County during the term of this Contract or one(1)year thereafter shall have ;
any interest, direct or indirect, in this Contract or the proceeds thereof.
(Additional restrictions on present and former employees of Counry are found in �
_ ? . Articie 7 of the Procurement Code).

F. Sub-Contract Clause. The prohibitions against contingent fees, gratuities,
kickbacks and conflict of interest prescribed in this Contract shall be made a ;'s�
condition of conspicuously set forth in every sub-contract and solicitation ; .

6. INTEGRATION AND MODIFICATION �

and its officials, employees, agents and representatives from and against liabiliry c}
for any claim, demand, loss, damages, penalry, judgment, expenses, costs (in-

� and expert witness fees)or compensation in any form or kind whatsoever for any
� bodily injury, death, personal injury or property damage arising out of or in
connection with any intentional act or negligent act, error or omission by the
i Consultant, and for any consequential liability alleged to accrue against the
County on account of the Consultant's acts, errors or omissions; provided, how-
. ever,that such indemnity shall not be construed as an indemnity for bodily injury
or properry damage arising from the negligence of the Counry or its employees.
B. 7he Consultant further shall investigate, process, respond to, adjust, provide
defense for and defend, pay or settle atl claims, demands, or lawsuits related
+� hereto at its sole expense and shall bear all other costs and expenses related '
� ,_i thereto,even if the claim, demand or lawsuit is groundless, false or freudulent.
� C. To fund this indemniry, in whole or in part, the Consultant shall secure and ' �'

. County is exempt from such taxes under regisfration numbers 98-02624 and 84-
78000-SK.
( B. Pursuant to state statute and to the extent permitted by law,Colorado labor shalt ��{'
be employed to perform the work to the extent of not less than eighty percent
,• + (SO%) of each type or class of labor employed on such project; except for r `
,e�_ , highway construction, which is subject to C.R.S. 43-2-208, which provides that ,

The Consultant shall maintain comprehensive,complete and accurate books, records,and �;'��

herein shall be construed as an obligation by the Counry beyond any amounts that may � `
� be, from time to time, appropriated by the County on an annual basis. It is understood f
that payment under any contract is conditional upon annual appropriation of funds by
said governing body and that before provading services, the Consultant, if he so requests, � �`` '
will be advised as to the status of funds appropriated for services or materials and shall j
- not be obligated to provide services or materials for which funds have not been appropri- �

11. SUCCESSORS AND ASSIGNS ';
