� "County'�}, the TOWN OF SNOWMASS VILLAGE, a Colorado home rule i-�';��
* municipality (the "Town��), the ASPEN SRIING COMPANY, a Colorado �� �
� general partnership (the "Skiing Company"), SNOWMASS CLUB �
p ASSOCIATES, a Colorado general partnership ("SCA��}, the SNOWMASS i � :`
� LAND COMPANY, an Illinois corporation ('�SLC"), and the SNOWMASS
WATER ANb SANITATION DISTRICT, a Colorado special district (the �: •.
� "District"). �-

W I T N E 5 S E T H: �
� WHEREAS, on or akaout April 6, 1995, the parties entered into
a Settlement Agreement (Water Settl.ement), hereinatter reEerred to
� as the "Settlement Agreement"; and �.
� :

WHEREAS, the provisions of Paragraph 2.9(c)(i) required the
District to propose to the County a method to determine the ,
� duration of the rate of flow of Snowmass Creek on or before July 1,
� 1995; and
WHEREAS, the parties contemplated that the Colorado Supreme
�' Court would issue a ruling in the Aspen Wilderness Workshop v. �
! Colorado Water Conservation soard, Case No. 93SC740, prior to June
, 19, 1995; and
WHEREAS, the parties also contemplated that the Colorado `
Division of Wildlife would assist the District in proposing the �
method to determine the rate of flow of Snowmass Creek; and
• WHEREAS, the Colorado Attorney General is prohibiting the � �
,� Colorado Division of Wildlife from assisting the District until a
�;-
- - final disposition of Case No. 93SC74o is reached; and
WHEREAS, due to the inability of the Colorado Division of
Wildlife to assist the District as contemplated by the parties, an
estension of time to allow the District to timely perform its
' obligations is required. '
NOW, THEREFORE, in consideration of the premises herein, and
Eor other good and valuable consideration, the adequacy and
sufficiency of which is hereby acknowledged, the parties agree as �

`! (c) (i) For purposes of triggezing the Di.strict's � �',�a

� the county does not accept the District's proposed method, the '�,-`
� County shall in good faith attempt to resolve its differences � `
