WHEREAS, the County seeks an Operator (Independent Contractor) �

who can provide high quality, safe operations at a reasonable cost �
- and in an efficient and workmanlike manner for the construction, �
� operation, and maintenance of the Pitkin county Landfill located in
�`' Pitkin County, Colorado; and,
' + WHEREAS, the Operator is desirous of undertaking such work
�� upon the terms and conditions as hereinafter set out:

:� ' OPERATOR�S EXPERIENCE
. 1. The Operator hereby represents to the County that it has
had experience in constructing, operating, and maintaining a
landfill; that it is equipped to perform and is knowledgeable in

3. The County hereby grants the Operator exclusive right to
operate, construct and maintain the County's existing Landfill y
during the term af this Contract, and the County hereby represents

� 4. LANDFILb OPERATIONB: The Operator will be responsible €
for providing all the tooTs, equipment, Eue1, labor, maintenance �
and any other necessary materials and supplies to operate the
land£ill portion of the Pitkin County Solid Waste Center ("SWC"}.

For the purposes of this Contract, the landfill operation of the
Solid Waste Center refers to those activities associated with
• covering and compacting of solid waste, construction of new cells,
and other tasks as more fully outlined below.
� . ; AZ1 landfill operations must be conducted in accordance with
'; all federal, state, and local requlations including "Regulations
� ' � Pertaining To Solid Waste Disposal Sites and Facilities," 6 CCR
� 1007-2, and the "Pitkitt Caunty Solid Waste Center Operation and
Maintenance Manual," as approved by the State of Colorado. Copies
of said Regulations Pertaining to Solid Waste, 6 CCR 1007-2, and
the Operations Manual are located at the SWC in the gatekeeper's
office. It will be the responsibility of the operator to be aware
of all app2icable laws pertinent to the scope oP Operator�s :
responsibilities hereunder and to comply with these laws.
� The operator will be expected to provide the following '
�`�. ` services in relation to the landfill.

H. NEW CELL CONSTROCTION
i Cells will be constructed in accordance with plans provided by
the Solid Waste Center Engineer, the operations Manual and all
Regulations Pertaining To Solid Waste Disposal Sites and
Facilities. Material excavated as part of cell construction
will be the property of the County and used as cover material s
or other uses as the County sees fit. :

D. ROAD CONBTROCTION AND MAINTSNANCE
. The Operator will be respansible for all internal roads at the
Solid Waste Center beqinning at the gatekeeper's trailer. The
County will maintain the road from Highway 82 up to the
gatekeeper's trailer. All roads will be constructed in
accordance with the "Pitkin County Road Standards and

� 6. SHREDDING OPERATION: Source separated material ��L,�
� consisting of brush, lumber, mixed paper, and other organic

program. Prior to being used in the compostinq program, this z� �
-- � -- material must be shredded using the County owned Mac Saturn
Shredder. The services for operating the shredder, including
labor, fuel, ancillary equipment such as a track hoe, loader, an8 ���
_ dump truck, will be provided by the Operator. Once the material

COMPENSATTON
. 9. The County will pay the follawing compensation to the j '
Operator in consideration of the performance oE the foregoing � '

o£ forty-five thousand dollars ($45,000) monthly that will be

f a change in the designated administrator. The County shall provide !
� notification of any change in the administrator within seven (7} �

17.1. The Operator will submit written notification to the
- County of any personnel changes in the landfill site supervisor
position or the Operator representatives who administer this �
contract. Such notification shall be made within seven (7) days of � ,

�-- 18. Solid waste deposited at the County facilities shall not j

he burned unless approved by the County. The Operator shall, to ;
the best of his ability, attempt to inspect vehicles entering the
landfill and working face area for hot or smoldering loads. Tf � ;
such loads are found by the operator, said loads wi11 be directed I,
or moved to a portion of the landfill that is free of burnable �'
debris and unloaded and extinquished. If a fire should commence,
for whatever reason, the Operator will, to the best of his ability, �,,:;

appropriate changes in nomenclature in referring to parties to such
. subcontract. If any subcontractor shall fail to perform the work
undertaken by him in a manner satisfactory to the County, its { ,
subcontract shall be immediately canceled by the operator upon ! •

cancellation, the Operator shall comp2ete such work by contract or
otherwise. Failing such, the County may prosecute such work to

PURCHASE OF EOUIPMENT
26. Upon expiration or cancellation of this Contract, the
County agrees to purchase from the operator the 816 B Caterpillar
_ Compactor, or other County approved compactor, for its reasonable �S�
value. Purchase price will be determined by a third party appraiser `
to be agreed upon by both parties. Appraisal fee will be spilt & �
� equally between both parties. In the event that the parties cannot �
' agree upon an appraiser, then each party shall designate an
appraiser, and the two appraisers shall designate a third �'

� landfill operation, and any other areas disturbed by its mode ; ,r

32. The Operator agrees to operate and manage the Pitkin the �

the Operator agrees that it will not grant any special privileges
to any commercial hauler.

33. All engineering fees incurred by the Operator sha1Z be
pa9.d directly by the County. The Operator must obtain written
approval for any engineering services to be paid for by the County '�
