- � NOW, THEREFORE, the County and the Cont'ractor, for the
considerations hereinafter set forth, agree as foJ.lows: 'r'
' � 1. THE CONTRACTOR AGREES to furnish all the necessary labor, �`l�
-� materials, equipment, tools and services necessaxy to comp1eL-e in
a workmanlike manner all tasks requixed for the completion of the
Praject, in sCrict compliance with the contract documents herein �,
; I mentioned, which are made a part of this contract.
a. CONTRACT TIME AND LIOUIDATED DAMAGES. Work under this ".�
' Agreement shall be commenced by June S, 1995, and shall be comple-
� ted by August 4, 1995. Contractor hereby agrees to pay County
Liquidated Damages in the amount of ONE HUNDRED FTFTY DOLLARS
($i50.u0} per calendar day for each day or part cf a day the
i Project is not completed by the completion date here establishe�d.

', b. SiP3-CONTR�CTORS. The Contractor agrees to bind every sub-
�: f contractor by the terms of the Contract Documents. The Contract ' , �
�j __� Documents shall noC be construed as creating any contractual t -
�'• „ relationship between the sub-centractor and the County. �

2. THE COUNTY AGREES to pay, and the Contractor agrees to
accept, in full payment for the perEormance of this Contract, the "r;

subject to inarease or decrease in accordance with the provisiona ,

' � 4.- AUTHORITY AND RE5PONSIBILITY OF THE COUNTY EN- '�"•
GINEER AND COUNT'f ROAD SUPERINTENDENT. All work shall be done
� under the general supervision and dizection of the County Engineer �
� and Che County Road Superintendent or their designee, che � ,
Construction Inspector. The County Engineer and the County Road �
Superinteadent shall decide an;� 3nd a71 questions which ,^.;a!� arise ; ;:
� � as to the quality and acceptability of materials furnished, woric ; ``
_ � performed, rate of progress o£ the work, interpretation of the �
� Contract, change orders (within the limits of his authority) and ;
� aIl other questions as to the compliance with the Contract on the
t part of the Contractor. �

5. SUCCESSORS AND ASSIGNS. This Agreement and all =
of tke covenants hereof shal2 inure to the benefit of and be �
binding upon the County and the Contractor respectively and their
agents, representatives, employees, successors, assigns and Iegal
representatives. Neither the County nor the Contractor shall have `
the right to assign, transfex or sublet his interest or obligationa �
hereunder without the written consent of the other paxty.
6. THIRD PARTIES. This AgYeemen� does nat and shall
not be deemed or constzued to confer upon or grant to any third
party or parties, except to parties to whom Contractor or County
may assign khis Agreement in accordance with the speciEic written
permission,' any' rights, to claim damages or Eo .bring any suit,
�. action or other proceeding against either the County or Gontractor '
-- - � because of any breach hereof or because o£ any of the terma,
� covenants, agreements or conditions herein cantained.
7. WAIVER. No waiver of default by either party of
, - any of the terms, covenants or conditions hereo£ to be performed,
kept and observed by the other party shall be construed, or operate
as, a waiver of any subsequent default of any of the terms,
covenants or conditions herein contained, to be performed, kept and ' � ,
observed by the other party.
