The County and AspenAero are parties to that certain License . and Use Agreement effective as of November 1, 1992, ("Agreement"} that provides for the commercial occupancy and use .of Airport property by AspenAero for the purpose of operating the necessities and gift shop concession. 5. The County and AspenAero have agreed on a release of that � Agreement throuqh a Settlement Agreement and Mutual Release of All i Claims (^Release Agreement") and have agreed to assign AspenAero�s " rights under the Agreement to Flight Deck. THEREFORE, as further consideration of the mutual covenants, terms ; and conditions contained in the Release Agreement, the undersigned � parties hereby agree and undertake as follows: � . ,� ASSIGNMENT { :, ' `� 1. AspenAero hereby assigns, transfers, bargains, sells, grants and conveys all of zts right, title and interest in and to the referenced License and Use Agreement, pursuant to Section 22. of that Agreement, and all of the rights and obligations of Licensee ' ' thereunder, to Flight Deck. The obligation of Flight Deck to pay the minimum r' `.i. guarantee set out in Section 3. of the Agreement and to " perform all other obligations of that Agreement shall commence ' �j on June 29, 1995. €;'.,��":., �{ d.
