�XTENSION OP AIRPORT TERMINAL BAR SERVICE AGREEMENT
AND FOOD SERVICE ANB MAGAZINE biF.WSSTAND AGREEM$NT
t�- THIS EXTENSION AGREEMENT is made and entered into this • `

�` ' Zommissoners o t in ounty, Colorado (hereina£ter referred to as
"County") and the POUR LA FRANCE! AIRPORT BAR AND CAFE, a joint
; venture consisting of POUR LA FRANCE!, INC. and LOST BAGGAGE, YFY�

� 'INC, (hereina_°ter referred to as "Concessionaire").

As the basis of this Agreement, the parties recite the following
'� facts:
^'' i. Pour La I'rance!, Inc. ("PLF") and County are parties to
';» an Airport Terminal Bar Service Agreement ("Bar Agreement") expiring
November 1, 1984.

�_�� 2. PLF and County are parties to a Food Service and Magazine
%"�- Newsstrtnd Agreement ("Food Agreement") also expiring November 1, 1984
��`� and relating to the Pitkin County Airport.

3. The parties wish to extend the Bar Agreement and the Food
,'� Agreement on the terms set forth in this Extension Agreement. '
� "� Terms of Agreement

�'?� The parties agree tas follows:

'-;; 1. Effect of Agreement. This Extension Agreement incorpo-
' 4 rates by reference a terms an conditions of the Bar Agreement and Food
�"� Agreement previously in effeci between PLF and the County, subject to
. ���..� the additional terms and conditions specifically set forth in this Extension :;'1
��::� Agreement, To the extent the Bar Agreement and Food Agreement sre �
�- inconsistent with this Extension Agreement, the terms of the Extension
'"� Agreement shall control.
�'�� 2. Term, The Bar Agreement and Pood Agreement are hereby
�� extended for a period of two (2) years commeneing November 1, 1984, and _
.� expiring at midnight on October 31, 1986.

µ�� 3. Substitution of Parties. ,
`� (a) Pour La France! Airport Bar and Cafe, a joint venture
�� consisting of PLF and Lost Baggage, Inc., shall be the concessionaire

;f� under the Bar Agreement and Food Agreement as extended herein and
shall perform all obligations and exerczse all rights in connection there- ��"
',`� with. The members of Pour La France! Airport Bar and Cafe, PLF and
•H Lost Baggage, Inc., shall be individually, jointly and severally liable for
�y all such obligations.

*,Q under the Bar Agreement are subject to, and require, issuanee of a new

Inc, does not qualify or is not approved in connection with the liquor
- license proceedings, this Extension Agreement and the Bar and Food
- Agreements shall remain in effect in the name of Pour lA France!, Inc. �
- alone, and all rights and obligations of Lost Baggage, Inc. shall terminate. �.
__ In the event PLF is not approved or does not qualify for the liquor license
• = (whether or not Lost Baggage so qualifies), this Extension Agreement shall
terrtrinate and be of no further foree and effect. �
4. Premises. The premises Ieased hereunder are as foilows: � � f

• (a) The bar and food service areas and adjacent fenced in
�::r;'r area ull as currently leased and licensed by Concessionaire (°Current
Lease Area"). The Current Lease Area shall be used by Concessionaire as
�-:=' its exclusive premises. Concessionaire's rights and obligations with re-
;�=y spect to the Current Lease Area shall be as set forth in the existing
;=i� lease.

;:�':�; (b) Subject to the contingencies in subparagraph (c), the
;`:',� portions of the main airport waiting area as set forth in Exhibit "A" ("Ex-
`e ' pansion Area"). Concessionaire's rights with respect to the premises
:°;-� outside of the current fenced area shalI be non-exclusive and will not
affect the right of the public to such area, provided that Concessionaire �3
=_;'�j shall have responsibility for performing such control, policing and super-
,r,.;: vision obligations as are necessary in connection with the liquor license on
' .� the premises. In the ewent Concessioneire's use of the Expansion Area is
:_.-.-;� unreasonabIy ciisruptive to fhe public use and occupancy of t.he main
r;:X_ waiting area, County may terminate Concessionaire's rights to the F.xpan-
sion Area upon thirty (30) days' written notice.

(c) The County has unconditionally approved Concession-
aire's liquor license application for the Current Lease Area. The County
�`'�= has approved Concessionaire's liquor license application for the Expansion _;��
Area, subject to approval by state licensing aufhorities for such expan- �
'.��i sion. In the event the Expansion Area license is denied, the lease
�`� approval fur Expansion Area shall expire, but that for the Current Lease ;
�� �
� :� Area shall remain in effect. Concessionaire may pursue state approvai ;'
either throvgh a single liquor license application or through a license
�t��. � application for the Current Lease Area with a separate modification of
R: � premises application for the Expansion Area. County recognizes that
�` : either procedural approach is within the scope of the current County
approval.

:"�' 5. Insurance. PLF will maintain pubtic liability and property
�="� damage insurance w�t'Ti respect to the entire lease premises in an amount of
'�, not less than One Million Dollars ($1,000,000.00). AIl other terms and
< provisions of the Airport Terminal Bar Service Agreement with respect to ��
.::;� indemnification, insurance and liability shall remain as set forth therein.

::� 6. Maintenance and Cleaning. County will continue to provide �
i? maintenance and—cTeaning services to t� waiting area on the same basis as
�! that existing prior to the date hereof. Concessionaire shall maintain the
�+ entire lease premises in a neat, clean and orderIy condition, will ensure
'�� thet no refuse accumulates in the lease premises as a result of its food � �

7. Exclusivity. Notwithstanding any language in the Food
Agreement and a�greement, the rights granted herein shall constitute a
