NOW, THEREFORE, the parties hereto mutually agree and

;y� l. Grand Champions Club shall contract for and pay for �

� �;� the paving of 1,550 feet (and 20-foot width) of Stage Road from �: ,;
� Highway 82 to the entrance to the Club, according to the proposal �- '�
attached hereto as Exhibit "1." The paving shall be done in �•
�
`� .� accordance with County and State standards for that class of road. :�

� payment for the paving upon confirmation that the paving has been

�.:�;, done according to standards and after inspection and written

� approval by the County Road and Bridge Director.
• -" 3. Once Grand Champions Club has accepted the paving � �

under paragraph 2., the County will reimburse GCC to a maxiraum of �

� 4. Grand Champions Club shall require a one-year warranty
on the pavinq and the County shall not finally accept the road

for purposes of maintenance until after this warranty period has
ended or all warranty claims hava been resolved. Final acceptance
t of the Road by the County shall be in a writing siqned by the �

�: ' 5. Grand Champions Club waives and releases all claims
for reimbursement or contribution by or through the County arising
'�` from payments hereunder or later payments received by the County .�
°�� as proportionate shares by other developments using Stage Road. �

6. From and after final acceptance by the County, Stage

' in accordance with the overall County standards and plan for that

7. Grand Champions Club and its subcontractors shall

� comply with 1973 C.R.S. 43-2-201, et seQ•, except for the require-
ment for public bidding, as this contract has been determined to �
be a sole source procurement. ��

8. Grand Champions Club acknowledges that this Agreement

`.,� is entered into subject to the requirements of the "Pitkin County
``� Procurement Code," (Section 8.5 of the Pitkin County Home Rule ,

�,;r� Charter, Resolution No. 82-37, April 12, 1982). As such, Grand
�' Champions Club agrees to comply with all requirements of said

� Procurement Code, and such requirements are incorporated herein �`.

�' � 9. To the extent authorized by law, GCC shall indemnify, �
' save and hold harmless the County, its employees and agents,

s against any and all claims, damages, liability and court awards r .

including costs, .expenses, and attorney fees incurred as a result
;, of any act or omission by GCC or its employees, agents, subcon-
;r.
tractors, or assignees pursuant to the terms of this Agreement. t
l0. This Agreement constitutes the full and complete

agreement of the parties and supercedes or incorporates any prior
� written and oral agreements of the parties. In addition, Grand

� Champions Club understands that no County official or employee, �:

3� other than the Board of County Commissioners acting as a body at �
`l=' a Board meeting, has authority to enter into a contraet or to ` -'

[ � modify the terms of this Agreement on behalf of the County. Any
•,_�� such contract or modifiaation to this Agreement must be in writing

11. This Agreement does not and shall not be deemed or
� construed to confer upon or grant to any third party or parties, -
- except to parties to whom Grand Champions Club or the County may '�
