COMMUNITY HSALTH SERVICES VNA INC - 1986
THIS GONTRACT mode as of the date lest below szgned between
the PITRIN COUNTY BOARD OF COUNTY COMMISSIONERS, hereafter
referred to as "County" and COMMUNITY HIIALTH SERVICES, VNA, INC.,
hereafter referced to as "Contractor." Provisions of this
contract are pursuant to the authority of the Colorado Department �
of Health and include not only basic services which are to be ;.� �
provided by all local health units organized under the Colorado "�
revised statute CRS 25-1-501 through 25-1-616 (County and
aistrict Health Departments} and CRS 25-1-601 through 25-1-667
(Local Board of Health),m but also those optianal services deemed -
basic in Pitkin County. '
WHERfiAS, the County is by statute authorized to provide • '
hasic and optional services to Che residents of Pitkin County ;:, `
sub'ect to the other !� =
J provisions, the term of this contract shall

1 WHBRfiAS, the Contractor is a certified home health and
. community health agency under the direction of the Colorado
� Department of Health and is qualified to provide said services,

agrees to pay $3,800.00.

nutritional, educational) services provided during
prenatal and gustpartum periods to reduce the risks of �
adverse outcome of pregnancy. Prenatal Program, k
Community Maternity Program, Prepared Childbirth i
� - Classes.
Toward the overall conduct of this program, the County `
agrees to pay $2,550.00. `'. •

'+ c. Familv Plannin� Proaram. Medical and educational
• ;=j services to enable men and women to choose the number
and spacing of their children, to reduce the risk of _
� adverse outcome in future pregnancies and to reduce the ,
:� number of "high risk" as well as unwanted pregnancies. •
,� Providing weekly Family Planning Clinics and Birth �;
Control Classes. Providing human sexuality values
clarification and birth control information to 4 '
;� public/private schools and to specific groups upon �
3 request. Providing pregnancy testing and counseling.
� Toward the overall conduct of this program, the County I .
agrees to pay $1,625.00. �. '
1 d. Adult fiealth Maintenance Program. A system of healih
services designed to assist and encourage adults to �!
� assume greater responsibility for the promotion and ;
maintenance of their own health, early detection of _,
disease and prevention of disabilities, and appropriate ,
3 utilization af health services and resources. Conducts
;, � regularly scheduled Adult Aealth Clinics, weekly �
screening programs, Well Oldster Clinic, Health
' Promotion Classes for seniors, special screenings for
cancer, diabetes, hypertension, Volunteer Program for 5
outreach services, substance abuse testing, public
health lab services, jail health services, disaster ,;� ,
planning and emergency response team.
' Toward the overall conduct of this program, the County �
agrees to pay $6,225.00.
e. Health Promotion and Education. fiffective '
comprehensive health promotion and edncation services `
result in a reduction of preventable diseases, ��:;`
injuries, prem�ture disability and death and provide *;;`\�
for the attainment of a higher level of health and life ,;;
quality. The service will:

Since Contractor incorporates health promotion and s
education in all its programs, this area is not singled
out for special funding. Ongoing educational and .

� iii) Freedom From Smoking Class as the need arises; �.
iv) Parenting Class in several locations four to six

Special education and health proreotion efforts are
y offered as needed to update the medical community, to
'' train care-givers and to educate the general ,�
F population.

` f. Certified Home Health Care. Provide skilled nursing �'
� and a wide range of therapeutic, rehabilitative and
? health maintenance services such as occupational,
physical and speech therapy, home health aide services
� and medical social work services to the ill or disabled •
• '"� person who is living at home in as independent a ��
� lifestyle as possible. Included in this program is
Home Care Coordination with Aspen Valley Hospital, ',
; Hospice care, volunteer respite care and companions for
� the elderly and Lifeline.
� Toward the overall conduct of this program, the County
agrees to pay $5,050.00 _
B. County agrees to purchase these services for the following �; •
� .
� targeted groups: All residents of Pitkin County, transient
� or permanent, including visitors, with Redstone and Lenado
i included. , .
C. County agrees to pay: Twenty-Five Thousand Dollars '
� ($25,000.00). � �
f The total amount of this Coritract shall not exceed $25,000 '
� cash and $19,785.00 in kind (being the agreed upon value for
the rent, utilities, cleaning, muintenance and repair for
' the space provided to the Contractor in the Pitkin County _

Contractor shall:

1. Strictly adhere to all applicable federal, state, and local
_ laws or regulations (including County Procurement Code) that •
- have been or may hereafter be established. ��
c¢; 2• Hold and maintain for the term hereof the necessary
�:e license(s) as specified under State law which permits the
"� performance of the service(s) to be purchased herein.
`:�j 3. Shall maintain a sliding-scale fee schedule for , '
;� its services in order to accommodate low income •
individuals.
���� 4. Subcontracts utilized by the Contractor shall be subject to • �
``� the requirements of the Contract as listed here, and the . �
::, Contractor is responsible for the performance of any
���� subcontractor. ' -
5. Abide by all applicable provisions of the Title VI and VII
"."" of the Federal Civil Rights Act of 1964, Section 504 of the
�"! Rehabilitation Act of 1973, and Title RX of the Social
' i Security Act of 1975 as revised.
`� 6. Maintain written requirements for safeguarding client

- liability and loss against all claims and actions based upon ., '

�� ordinance, or regulation and the defense of any such claims

documentation and other records relevant to this Contract '
for a period of five years. The above shall be subject at
`� all reasonable times to inspections, review or audit by
� Federal, State or County personnel, and other persons .

12. Provide a six month and annual evaluation of services.
Section III, { _
General Provisions: . •
1, The Parties to this Contract intend that the relationship �.
between them contemplated by the Contract is that of
' employer-independent contractor. No agent, employee, or ?
"� servant of Contractor shall be deemed to be an employee,
, agent, or servant of County. Contractur will be so2ely and .
'� entirely responsible for its acts and the act of its' i
,�'" agents, employees, servants and sub-contractors during the
'`� performance of the Contract.
�`� 2. Payment pursuant to this Contract, if in County, State, or
Federal funds, whether in whole or in part, is subject to
� and contingent upon the continuing availability and
'.y' appropriation of County funds for the purpose thereof.
� 3. This contraet constitutes the full and complete agreement of ,
*� the parties and supercedes or incorporates any prior written •
and oral agreements of the parties. In addition, contractor
;� understands that no County official or employee, other than ' �
�� the Board of County Commissioners acting as a body at a
;� Board meeting, has authority to enter into a contract or to �
= modify the terms of this contract on behalf of the County.
' '1 Any such contract or modification to this contract must be '
'� in writing and be executed by the parties hereto.

�! 4. Sither party shall have the right to terminate this Contract
"'`� by giving the other party thirty days uotice by registered .
' ' ;� mail, return receipt requested. If notice is so given, this •
'„ Contract shall terminate on the expiration of the thirty
� days, and the liability of the parties hereunder for further :
�a performaace of the terms of this Contract shall thereupon
cease, but perform their obligations up to the date of
r � termination.
� '1 5. In the event this Contract is terminated, final payment to
,.`'� the Contractor may be withheld at the discretion of the
� County until final audit. Incorrect payments to the
' Contractor due to omiss.ion, error, fraud, or defalcaL-ion
'?:t shall be recovered from the Contractor by deduction from
"'1, subsequent payroents under this Contract or other contracCs
i between the County and the Contractor, or by the County as a
:; debt due to the County. The waiver of any violation sha12
