AMSNDMfiNT TO THAT certain Management Agreement (Hunter Longhouse)
�=!� dated December 30, 1985, between the Aspen-Pitkin Hmployee

. ij Houeing, Inc., ("Company"), and the Aspenlpitkin County Housing
=;;�;� Authority, ("Authority"), for the intended benefit of those two ',

:��:="'� parties and Pitkin County, Colorado, ("County).

� WHEREAS, the Company, which owns and operates the Hunter
Longhouse employee-housing rental project ("Project") in Aspen, '�
�;'r;.;;"!
`��: Colorado, has entered into the referenced management agreement ' .

!��"' with the Authority, which agreement limits the size oY the x
<-..
!� Company's Board of Directors to five (5) members and provides for �
_,;;'� immediate acceptance and maintenance of one Director appointed by .
'�
' � the County and one Director appointed by the Housing Authority;
and "="
WH6REAS, the Housing Authority wishes to appoint one (1)
�`'� additional nember to the existing Company Board to a new total of
- six (6) members; and

"� WHEREAS, the Company egrees with the Authority that the

additional member would be appropriate; ,

NOW, TAERBFORE, the Company and the Authority do hereby
.`�� mutually uadertake, promise and agree, each for itself end its
•;� successors and assigns, as follows: •
-� 1. Effective March 1, 1986, end for the term of the
�.� management agreement, one additional member will be added to the ;
� t
exiating Company Board making a total of a six (6) member Board.

The Authority and the County will continue to appoint one
w
Director each.
2. Unless contradicted herein, each and every item of the
above mentioned Management Agreement shall be binding upon all
?:
parties and shall be in full force and effect for the term
