II) INVITATION FOR PROPOSALS
1? EXISTING CONDITIONS
Due to hazardous peak water flows from the Crystal River and Coal
Creek during the past three peak run-off periods, the County has
'J applied for and received a 404 Permit from the 0. S. Army Corps of
Engineers. The area permitted includes the portion of the
Crystal River from Coal Creek to the Redstone Sanitation Plant
and is effective f or three years.
The approved overall project involves the dredging and placing of
approximately 8,000 cubic yards of river gravel and cobble along
approximately 1,000 linear feet of eroded riverbank (see Figure
�:r 1). Approximately 560 cubic yards of large rock rip-rap will be
� placed along the riverward f ace of the filled areas. Three larqe
rock jetties will be constructed to deflect the erosive current
of the river away from the private properties on the east bank of
> the Crystal River.

��`��', The "fill areas" will accommodate the volume of material to be
dredged without damaginq riparian vegetation.
"�� The rip-rap material will consist of boulders from local sources.
The jetties will be approximately 5 feet wide by 8 feet high by
20 feet long and will not effect riparian areas.
The project described above has been planned as a three year
project that will be corapleted in phases. Pitkin County is
requesting bids on the first phase of this project at this time.
2) SCOPE OF WORR
Phase 1 0£ the Redstone Flood Control project will center around
the mouth of Coal Creek as it empties into the Crystal River.
Existing conditions for this area are pictured in Figure 2.
Four jobs must be done to reinforce this section of river:
'' a) The gravel bar pictured in Figure 2 must be removed
and placed as fill along the Redstone Park riverbank.
This will clear the mouth of Coal Cteek and help to
better define flow into the Crystal River.
b) A small portion of riverbank immediately adjacent to and
downstream of Coal Creek will be removed to mer9e Coal
Creek with the Crystal River at an angle that will
cause less impact to the east bank. The Coal Creek
channel will be dredged for better definition.
c) Construction of a jetty directly opposite from the
mouth of Coal Creek. This jetty will serve as rip-rap

nature, necessary to better reconfigure the approach of
Coal Creek into the Crystal River. The contractor will
furnish and man all equiFanent necessary for the execution
of this work. Figure 3 shows the mouth of Coal Creek
as it enters the Crystal River. Approximately 500
cubic yards of gravel and cobble must be removed from
the area immediately downstream f rom Coal Creek (denoted
as "dredge area" on Figure 3). This material will then
be placed on the east bank of the river near the
Redstone Park (denoted as the "fill area" on Figure
3) . The gravel and cobble bar will be completely
dredged to a depth of three (3) feet from its original
height and transported from the dredging site to the
f ill site by the contractor.
f i) Equipment/Materials Needed: A large, front-loading
tractor or similar earthmoving equipment w ill be

contractor shall excavate, within the natural stream bed
i adjacent to the area dredged in the work described above,
� the amount of river and bank material, of whatever nature,
=' necessary to further define the Coal Creek channel (see
!� Figure 4). A small amount material from the west bank
z of the Crystal River will be removed (about 200 cubic
yards) and the Coal Creek channel will be defined.
-+ This will be done by dredging the channel an additional
� I to 2 feet in depth and depositing the material with
the rest of the fill on the east bank.
_ i) Equipment Required: A large, front-loading
,.:;�;a' , tractor and a back-hoe tractor, or a combination
� of both, large enough to move this amount of
.- material from the dredging site to the area of fill.

ii) Estimated Man-hours Required: 2 men for 1.5 days
or 24 man-hours.
c) Placement and Construction of Jetty: This portion of work
� consists of furnishing and placing a protective covering
.,,,_� of erosion resistant material specifically for slope
�t� Ya� � protection and current deflection. The f311 area on
�< ��• g Figure 3 shall be dressed smooth to the slope required
� by the County representative and be free from stumps,
j tree limbs and other organic material (see Figure 5 for
f: detail of this work). The jetty itself will measure 5
+ feet wide, 8 feet tall and at least 60 feet long and
f require approximatel 250 cubic
; y yards of rock and
; boulder. A toe trench shall be excavated in the river
bottom to the depth where solid rock is reached, after
i which the bottom course of the jetty will be layed.
All rocks and boulders used for jetty construction
shall be clean and free of organic matter, durable,
angular and nearly rectangular in shape with a thickness
at least one-third (1/3) its length. The rocks must be
sized so that the current of the Crystal River will not
= move or alter the final placement after construction
' (see Figure 5 for rock and boulder size).
The existing jetties located downstream from the project
site near the Redstone Fire Station can be used as
- examples of desired construction.
Placement of boulders for the jetty shall be done in a
manner which will produce a reasonably well graded mass
- of rock with a minimum percentage of voids, and shall be
constructed to the lines, grades and thicknesses as
directed by County staff inembers at the site. The
jetty shall be placed to its full course thickness at
+ one operation in such a manner as to avoid displacing
; the underlying material. Placing the rock in layers,
by dumpinq into chutes or by similar methods could
cause segregation of materials and will not be permitted,

The larqer rocks shall be distcibuted throughout the
structure with a majority of the larqer rocks being
placed at the upstream portion of the jetty. Smaller
rocks will be used to fill in gaps and areas in the
backwater of the structure. The intent of these
specifications is to produce a fairly compact jetty
� construction in which all sizes of materials are placed
� in their proper proportions. Rearranging the rocks
with mechanical equipment may be required to the extent
necessary to secure the zesults specifiec3 above. The
� desired distribuY.ion of the various sizes of rock may
be obtained, at the option of the contractor, by
selectfve loading at the quarry, or controlled dumping
� of sucessive loads during placement, or by a aombination

�. Below is a listing of available sources for rocks and

e are 13sted as known, useable sources that are available

� o McClure Pass: Amounts of sizable rocks are
located on the east side of the pass approxi-
mately one mile from the summit. Materials
� have been deposited adjacent to the roadway
� during recent rock slide activity.

� � suitable for jetty construction can be found
� up the Coal Creek drainage on the south side
I o£ the road approximately 2 miles from the
( State Highway 133 intersection. These rocks �

� o Paonia Reservoir: Large amounts of matezial
� are located approximately 12 miles west of

d) Development of Ffsh Habitat: Placement of 3 to 5

for this purpose shall consist of durable, angular
bouldets of approximately the same size that will be
placed at the mouth of Coal Creek. This will perf orm
; two f unetions: First and foremost these large rocks
will be used as fish habitat, and secondly to act as a
buffer reduce the force of the current against the
newly constructed jetty. The 3 to 5 bouldecs used for
this part of the project shall be rectangulaz in shape
. with a thickness at least one-third (1/3) the length
(see Figure 5). These boulders must be large enough to
� withstand the mid-stream current of the Crystal River
and shall be glaced in such a fashion as to maximize
't the performance of the two functions mentioned above.

A? ACCESS.

k Access to the work site will be via the entry road adjacent to
Colorado State Hi9hway 133 north of the Coal Creek Bridge. This
'� access road has been used in the past by the State Department of
Highways and othezs for dredging of the confluence of Coal Creek
_ ;s: and the Crystal River. it will allow access to the riverbed
r: without significantly distu=bing existing negetation. Use of any
�" other access point must be specifically approved by the County
� � Representative.

e.,� �: B) MAmERTALS SOURCE TRANSPORTATION AND STOCRPILING
��.. ` Large rocks for riprap and fish habitat are available at the
;- � . locations noted in the INVITATION FOR PROPOSALS section. The ;
� �, Contractor will be responsible for notifyinq the owners/managers
� , of those sites o£ his intention to remove rocks from those sites
and f oz complying with any conditions imposed by those parties. '
��i � ! These conditions may include traffic flagging, signing, and other
�} ,� restrictions or conditions. The Contractor is required to notify

Material will be removed to the minimum depth necessary to
� allow f or free passage of the river channel through the dredge
site. Dredge depth will range from three to six feet measured

' D) FILLING PROCEDURES
Fill will be placed in accordance with the specifications included
;; in the Invitation for Proposals and in accordance with the
on-site instructions of the County's Representative. Fill will be
accomplished uaing the lowest-impact techniques to include direct
placement from the dredge site(s> by scoop bucket or transport of
materials acound the rivercourse and dump3ng from riverbanks
adjacent to Eill sites. Transportation of dredged material from
dredge sitea to fill sites through the rivercourse will not be
_ allowed. Fill will be placed in designated sites only and will
not be stockgiled or placed tempotarily in any undisturbed �
or unauthorized locations. The County Representative will be �
�;�� responsible f or locating and flagqing fill areas.

Material to be used for riprap will have a minimum circumference
of ten (10) feet or a minimum diameter of four (4> feet, whiahever
is more easily measured, and will be angular, durable and free of
major cracks or faults. This material is to be placed on the
� rt� r3ver face of all filled areas and the jetty, and sufficient .
�`" _ material wi11 be placed as to completely cover £illed areas. Mat-
erial will be placed and dressed to present a relatively smooth
sutface so as to encourage free river passage and minimizwe �_-
deposition and siltation.

F) JETTY PLACEMENT �?�
�� The Jetty will be installed at the location indicated in the
INVITATION FOR PROPOSALS section and at a slight angle to the
filled area so as to deflect the mazn Crystal River cu=rent and
the Coal Creek current to the west. Both faces of the jetty will
be completely covered with riprap matecial. The interior space of
the jetty will be £illed with rivei cobble material with a
minimum diameter of six t6> inches. The outside face of the jetty
will be founded in a toe trench o:f at least ten inch depth or on
bedrock if be8rock is found at a sha].lower depth. Placement of
boulders and other jetty material wi21 be carried out in accazdance ,�z
with the specifications of the INVITATION FOR PROPOSALS section.
G) BOIILDERS FOR FISA HABITAT
Five large boulders will be placed at or near the Coal Creek/
Crystal River confluence as fish habitat improvement, Exact
location of the boulders will be determined by the Connty's -
Representative on-site and will consider ease of placement, size "
of materlals and possible siltation or debris buildup potential.

` The Consultant/Contractor shall be subject to the following
provisions: '
1. COMPLIANCE WITH PItOCUREMENT CODE AND APPLICABLE STATE CON-
TRACTING LAW
A. The Consultant/COntractor acknowledges that this Agreement is
` �" y - entered into subject to the requirements of the "Pitkin
� Gounty Procuzement Code,° (Section 8.5 of the Pitkin County
Home ltule Charter, Resolution No. 82-37, April 12, 1982). As
such, the Consultant/COntractor agrees to comply with all
�'���'w'� requirements of said Procurement Code, and such requirements
aze incorporated herein by this reference. The Cansultant/-
Contractor also acknowledges that this Agreement is subject
to applicable state contracting law including, without limita-
tion, C.R.S. Sections 38-26-101 et sea•, 24-92-101 et se .,
43-2-101 et sea., 43-2-201 et sea.

warrants that no person or selling agency has been employed
or retained to solicit or secure this Contract upon an agree-

established commercial or selling agencies maintained by the

g. Gratuities Prohibited. The Consultant/Contractor agrees not
to give any employee or former employee of Pitkin County a.
gratuity or any offer of employment in connection with any
decision, approval, disapproval, recommendation, preparation
of any part of a program requirement or a purchase request,
influencing the content of any specification or procurement
standard, rendering of advice, investigation, auditing, or in
� any other advisory capacity in any proceeding or application,
request for rulinq, determination, claim or controversy, or
� other particular raatter, pertaining to this Cantract or
- � Subcontract, or to any solicitation or proposal therefor.

C. Gratuitv means a payment, loan, subscription, advance deposit
of money, services, or anything of more than nominal value,
present or promised, unless consideration of substantially
equal or greater value is received. �
�i� D. ICickbacks Prohibited. It shall be a breach of Contract for
any payment, gratuity, or offer of employment to be made by

contractor or higher tier subcontractor or any person associ-
ated therewith, as an induaement for the award of a subcon-
tract or order. The Consultant/COntractor is prohibited from

employee or representative of the County during the term of
this Contract or one (1) year thereafter shall have any
interest, direct or indirect, in this Contract or the proceeds

fees, gratuit3.es, kickbacks and conflict of interest pre-
scribed in this Contract shall be made a condition of con-

format, print, or manner that a reasonable person against
whom it is to operate ought to have noticed it.
H. Remedies. Zn addition to other remedies it may have for

have the right to:
(1) Terminate this Contract without liability by the County;

(2) Debar or susQend the offending parties from being a
contractor or sub-contractor under County contracts;
(3) Deduct from the contract price or consideration, or
otherwise recover, the value of anything transferred or
received by the Consultant/Contractor; and
(4) Recover such value from the other offending parties.
3. EOUAL EMPIAYMENT OPPORTUNITY AND DISADVANTAGED/MINORITY/WOMEN
SUSINESS ENTERPRISES (DBE/MBE/WBE)
4 A. In connection with the execution and administration of this
Contract, and any subcontracts, the Consultant/Contractor •
shall not discriminate against any employee or applicant for
,` employment because of race, religion, color, sex, national
` origin, age, handicap or status as a veteran. Affirmative
� action to prevent such discrimination shall include, without
?� limitation, employment, upgrading, demotion or termination,

; B. In connection with the performance of this Contract, the
� Consultant/Contractor will cooperate with the County in
` meeting the County's commitments and goals with regard to the �

cable opportunity to compete for employment and/or subcontract
work, if any, under this Contract.
C. The Consultant/Contractor will furnish all necessary informa-
tion and reports and will permit access to its books, records,

D. Employment Data and Affirmative Action Plan. If requested,
the Consultant/Contractor agrees to submit on an Employment
Data Form to be provided by the County, the data showing the

job category within its organization. Where the Consultant/-
Contractor has fifty (50) or more employees or it is partici-
patinq in contracts with the County which exceed Fifty-Thous-
and ($50,000.00) Dollars, an Affirmative Action Plan must be
submitted to the County when requested by the County Attor-
ney�s Office within ten (10) days after selection.
E. Noncompliance. In the event of the Consultant's/Contractor's
noncompliance with the nondiscrimination/affirmative action
provisions of any resultant contract, Pitkin County shall
impose such contract sanctions as it may determine to be
appropriate, including, but not limited to:

� 4. TERMZNATION FOR DEFAULT OR FOR CONVENIENCE OF COUNTY

� A. The pezformance oE work under the Contract may be terminated

A; {1j Whenever the Consultant/Contractor shall default in
�:. petformance of this Contract in accordance with its
�� terms, and fai2s to cure or show cause why such failure
' to perform should be excused within ten (10) days (or
� longer as the County may allow or shorter, but not less
� than three (3) days, for failure to provide proof o£
insurance or maintenance of any dangerous condition)
� after receipt of a notice specifying the default from the
!' County. Said notice shall be sent by certified mail to
� the address specified herein for the Consultant/COntrac-
tor, but if the Consultant/Contractor shall fail or
�� refuse to accept the notice, the 10-day (plus or minus,
`f� as specified) period shall commence three (3) working
��,�? days after mailing by the County.
�' The Consultant/Contractor shall not be in default by
' reasons of any failure in performance of this Contract in
accordance with its terms if such failure aTises out of
causes beyond the control and without the fault or negli-
gence of the Consultant/Contractor. Such causes may
l��. include, but are not zestricted to, acts of God, natural
+ disasters, strikes, or freight embargoes, but in every
� ' �'i� case the failure to perform must be beyond the control
` and without the fault or negligence of the Consul.tant/Con-
tractor. Upon request of the Consultant/Contractor, the
County shall ascertain the facts and failure, and, if the
County shall determine that any failure to perform consti-
tuted excusable delay, the construction schedule shall be

(2) Whenever for any reason and in its sole discretion the
County shall determine that such termination is in its
best interest and convenient.
B. Notice of Termination. In the event of termination for the
convenience of the County, the County shall deliver to the
Consultant/Contractor a written notice of termination, speci-
fying the reasons therefor, and the effective date of such
termination. The effective date shall not be earlier than
the date of mailing of the notice, plus three (3) working
days. The notice of termination shall be sent reqular first-

C. Termination Procedure. After receipt of the notice of termi-
nation for default or for the convenience of the County,
unless otherwise directed by the County, the Consultant/COn-
tractor shall:
(1) Stop work under the Contract on the date specified in the
notice of termination.
(2) Place no further orders for materials, services or facil-
�' ities.
- � (3) Terminate all orders and subcontractors to the extent
; that they relate to the performance of work terminated by
the notice of termination.
fs (4) With the approval or ratification of the County, settle
�, �: all outstanding liabilities and all claims arising out of
� such termination on orders or subcontracts, the cost of

r D. Termination Payment. After receipt of a notice of termina-
tion for the convenience of the County, the Consultant/Con-
tractor shall submit to the County his termination claim in

IIpon the Consultant/Contractor's failure to submit a claim in
the time allowed, the County may review the information

E. Termination Settlement. Suhject to Paragraph 10.D., the
Consultant/Contractor and County may negotiate the whole or
� any part of the amount or amounts to be paid, upon termination

F. Remedies. The Consultant/Contractor shall have the right of
appeal from any detertnination made by the County under "Ter-
mination for Default or for Convenience of County;" except
that if the Consultant/Contractor has failed to submit his
claim within the time provided in Paragraph 10.D., above, and
has failed to properly request extension, he shall have no
such right of appeal. In any case where the County has made
a determination of the amount due under Paragraphs 10.D. or
10.E., above, the County shall pay the Consultant/Contrac-
tor: (1) the amount the County has determined if there is no
right to appeal or if no timely appeal has been taken, or (2)
the amount finally determined on such appeal if an appeal has
been taken.
G. Method of Appeal. If the Consultant/Contractor disaqrees
�' with the County's determination under Paragraphs 10.D. or
10.E., he can appeal this decision in writing to the County.
Such appeal must be made within twenty (20) days of receipt
- � in writing of the County's determination. The County shall
have twenty (20) days in which to respond in writing to the
� appeal. The County's response shall be final and conclusive
unless within thirty (30) days from the date of receipt of

C. Prior to a final payment under this Contract, the Consul-
tant/Contractor shall execute and deliver:
(1) An assignment to the County of refunds, rebates, credits
or other amounts, including the interest thereon, properly
allocable to cost for which the Consultant/Contractor has
been reimbursed by the County under this Contract;
(2) A release or waiver discharging the County for all liabil-
ities, obligations and claims arising out of or under this
Contract on behalf of the Consultant/Contractor (and his
successors and assigns) and of all subcontractors and
suppliers, and an indemnity protecting the County against
any such liabilities, obligations and claims;

i 6. INTEGRATION AND MODIFICATION

;. A. This Contract constitutes the full and complete aqreement of
the parties and supercedes or incorporates any prior written
and oral agreements of the parties. In addition, the Consult-
ant/Contractor understands that no County official or employ-
ee, other than the Board of County Commissioners acting as a
;:- body at a Board meeting, has authority to enter into a con-
;cT� :, ` `x� tract or to modify the terms of this contract on behalf of
the County. Any such contract or modification to this con-
tract must be in writing and be executed by the parties

4 '. B. With respect to change orders under the Contract, the County
and the Consultant/Contractor shall process and approve/dis-
approve requests for change orders as otherwise provided in
this Contract, subject to the requirements of the Procurement
Code and the Finan�e Office.
7. INDEMNITY/INSURANCE

78000-SK.
B. Pursuant to state statute and to the extent permitted by law,
Colorado labor shall be employed to perform the work to the
' extent of not less than eighty percent (803) of each type or
class of labor e�ployed on such project; except for highway

appropriated by the County on an annual basis. It is understood
that payment under any .contract is conditional upon aanual appro-
priation of funds by said governing body and that before providing
services, the Consultant/Contractor, if he so requests, will be
advised as to the status of funds appropriated for services or
materials and shall not be obligated to provide services or

VI) GENERAL CONDITIONS
= 1) The intent of the Drawings and Specifications is that
� the Contractor shall Eucnish all labor, materials,
� tools equipment and transpo=tation for the proper
execution of the Work in accordance with the Contract
Documents and all fncidental work necessary to complete
the Project in an acceptable manner, ready for use.
The Contract Documents are intended to provide a
general definition of the requixements for the project
and standards f or material and workmanship which the

Any discrepancies found between the Drawings and
Specifications and site conditions or any inconsistencies

be immediately reported in writing to the County

All equipment used on the Work shall be of such type,
size and amount, and in such mechanical condition as to

factory quality of Work. The Contractor shall replace
unsatisfactory equipment andfurnish additional equignent.

Upon completion and before final acceptance of the

9) The County for its convenience may suspend the Contract
in whole or in part any any time by written or telegraphic
notice to the Contractor, Such notice shall state the � ,
extent and the effective date of such suspension, and

Contzactor in the progress of the work oi any portion
