DIRECTOR. All services shall be performed under the general
direction arid observation of the Public Works Director or his
designee. Consultant agrees to fully cooperate with the Director
and to promptly respond to his inquiries and requests for infor- '

charges to the Contractor.

tiate with the Bidder for contract terms not specified in the

d. To provide evidence of the required insurance coverages,
copies of Certificates of Insurance in a form acceptable
to the County shall be filed with the County (through the
Project Manager) no later than ten (10) calendar days
prior to commencement of operations affecting the County. •
Failure to file or maintain acceptable Certificates of
Insurance with the County is agreed to be a material _
breach of any contract and grounds for rescission or �::,�;:;.
termination. These Certificates of Insurance shall :i'`:'��c:;
contain a provision that coverage afforded under the ;�--:= .
policies will not be cancelled or materially altered ��;:
unless at least thirty (30) calendar days prior written �~

' e. In addition, these Certificates of Insurance shall contain

' (1) IInderwriters and insurers shall have no right of

,_ recovery or subrogation against the County of Pitkin,
{ it being the intention of the parties that the insur-
ance policies so effected shall protect both parties
' and be primary coverage for any and all losses covered
by the above-described insurance. To the extent that
the County�s insurer(s) may become Tiable for second-
, ary or excess coverage, the County's underwriters and -
' insurers shall have no right of recovery or subroga-
j tion against the Contractor.
(2) The clause "other insurance provisions," in a policy
in which the County of Pitkin is named as an insured,
i shall not apply to the County of Pitkin.
(3) The insurance companies issuing the policy or policies
ishall have no recourse against the County of Pitkin
i for payment of any premiums or for assessments under
. any form of policy.
