The Pitkin County Fair Board and Pitkin County Livestock
Commission, c/o Mary Sue Kennington, 506 E. Main, Aspen, CO

Arthur 0. and Elizabeth Pfister, of P.O. Box EE, Aspen,
Colorado 81612, owners of the Lazy Chair Ranch, who have agreed ���`

to permit the Fair to be held on a portion of their ranch and to t�:`;�"'
use certain equipment and facilities; ��'' -

' NOW, THEREFORE, in consideration of the mutual covenants and ' r'�
; the terms and conditions contained herein, the perties agree as '�
� follows: i:
1
i 2. TERM. The term of this License and Agreement is to be
August 5-11, 1987, inclusive. It is the acknowledged intention
of the Fair Board to conduct the public portion of the Fair on
August B-9, but to reserve the additional time for set-up and
j clea� up, subject to agreement by each party hereto.
�
2. AREA LICENSED. The Fair Board is hereby granted an
! exclusive Iicense for the use of the property depicted on Exhibit
' "A," attached hereto and incorporated herein, for the purpose of
� conducting the 1987 Pitkin County Fair.
�
� 3. EqUIPMENT AND SERVICES SUPPLIED. The Pfisters agree to
+ supply the use of the roping arena, watering facilities and
� "goose-�eck" flat bed trailer and to consent to the use of the
Tiehack access road.
� ASC agrees to supply to the Fair Board the "Romeo's"
• restaurant structure, parking lots, picnic awning at Tiehack,
1 picnic tables, plastic trash cans, grass mowing, pay telephones, �--;
and electric power, as appropriate and practical, and to consent
to the use of the Tiehack access road. In addition, ASC agrees
to permit the parking lot at Main Buttermiik to be used for ;�
� additional parking for the Fair. ASC, in its discretion, agrees
to essist the Fair Board in such additional areas as may be -�,�
reasonably requested by the Fair 8oard.

Unless otheraise agreed, the Fair Board will be responsible
for pickup and re-delivery of any equipment or facilities used
and will return the equipment in cleanliness and condition at
ieast equal to that in which they received it, reasonable wear
and tear excepted. ,
Sand supplied by the Fair Board may be moved in its dis- ,
cretion to a new location if the roping arena is relocated at any

4. ACTIVITIES PERMITTED. The parties agree to permit �
activities as part of the Fair as listed on Exhibit "B" attached F`,
hereto or incorporated herein by this reference. If an activity
for the Fair not on the list is later proposed, it shall not be �''
� conducted without the prior consent oP the PPisters and ASC,
I which consent shall not unreasonably be withheld.

y d. The food vendors shall be required to comply with the

`3 e. The main tent will be leased according to the Agreement

' S. PAYMENT. The parties agree that the land, equipment and i�
j services provided to the Fair are being donated by the various
•� parties and that no payment shall be due therefor, except as
otherwise expressly provided herein. The Fair Board acknowledges
the generosity of the other parties and agrees to co-operate in
� any way possible to prove the value of the donations for tex
purposes.

' b. INDEMNITIES AND INSURANCE. The Fair Board agrees to
rj indemnify, hold harmless and forever defend the other parties, to
jthe limits of its insurance, against all suits, claires, demands,
,� expenses, including reasonable attorney's fees, liabilities or
actions for damages for personal, property, bodily injury, or t

j death arising directly or indirectly from the organization,

� conduct or operation of the Fair.

� To wholly fund its indemnity, the Fair Board agrees to
purchase s special event comprehensive general 1lability policy
l in the aggregate amount of 51,000,000, including all the parties �
� as nemed co-insureds, covering all of the public Fair activities ' >
� on August 8-9 and including the following endorseme�ts:

During the non-public set-up and clean-up periods during the
term hereof, the parties will be named as co-insureds by the
County's 540U,000 aggregate liability policy and worker's ^':'z;"

Prior to commencement of Fa,ir operations hereunder, all �'� `
' parties will supply Certificates of Insurance evidencing these (
� coverages to all of the other parties, together with copies of `�' .`',: :

� 7. SECURITY. 7he Fair Board agrees to provide security
watch for the Fair property and the ad,joining Pfister and ASC �
property, in conJunction with the Pitkin County Sheriff, ASC �
'' Security and Lazy Chair Ranch personnel, from 7:OU a.m. on August (
'.j 8, 1987 until 11:00 pm on August 9, 1987. +�r�.;y, -

� :� 8. CO-OPERATION. 7he parties agree to affirmatively co- r!�t�'.
operate with each other in all things necessary to effectuate � '
;� this Agreement and to set-up, conduct and complete the Fair as a �
; first-class Colorado rural county fair.
,,?� 9. CLEAN-UP. 7he Fair Board a9rees to undertake the clean
up of the Fair site, including the daily removal of trash and
'_:� garbage and the post-Fair removal of all trash, garbege, improve- �

ments, structures and equipment.
;.; 10. ADVERTISING. The parties agree to permit their �
`� individual names and corporate titles and corporate names to 6e �
used as donors ih advertising for the Fair. The Fair Boerd will �
name the other parties as donors when appropriate in its promo- }i
,,� tions of the Fair. F
rJ 11. IN7EGRATION AND MODIFICATION. This constitutes the �
_:� full agreement of the parties, and no prior Written or verbal �
,,� agreement may be used to vary the terms hereof. This agreement
may be modified only by writ#en amendments signed by the parties �
and made a part of this agreement.

to khe sale of 3.2 beer at the 1987 PitS�in County Fair.

Fitkin County Fair L-'oard and k:SNO FM Radio/YTYE AM Radio agree to
� ti�e follottiing terms and conditions:

f 1. The Fit(:in County Fair Board is willirig to contribute a
mar.imum of two hundred antl seventy-�five c+ollars <3275) from the
� net receipts of the 1987 County Fair beer sales t❑ rover KSNO's
expense of ac4uiring a non-profit corporation iicense ard a
! special events 3.2 beer license.

1 2. F:SNO will be responsible for applying -for the special events
'} liquor litense; recruiting, training and supervising the wnrk

� force to sell the beer; ordering the beer; and paying far the ;.'

� 3. In the event that the PitS:in County Fair continues far tfie
;;1 next tfiree years, KSNO/F:TYE will manage/supervise the beer
3 corrcessions at the 1988, 1999, �nd 1990 Pitkin Caunty Fairs.
