PITKIN COUNTY CONSTRUCTION DSSIGN CONSULTANT CONTRACT
(AGRBfiMSNT)
THIS AGRCsEMSNT, made as of the date last below signed, by
and between the County of Pitkin, Colorado ("COUNTY") and Banner
and Asaociates, Inc., a Colorado Company, ("CONSULTANT");
WHSREAS, the County intends to accomplish the engineering ';';-�'" _
� and design of the Culvert Replacement Program Project :�`'tw"�;:':>
("PROJfiCT"), in accordance with the terms and conditions outlined "
in the Request for Proposals (and the associated Task Order/Scope
5 of Work) and the Consultant's Proposal Documents; -
� WHHREAS, the Consultant hereby agrees to complete it's
� portion of the Project according to the Proposal and COntract
i Documents; �

� NOW, THEREFORB, the County and the Consultant, in considera-
,� i tion of the mutual covenants, terms and conditions hereinafter f?•''

1. CONSULTANTS OBLIGATIONS. Consultant agrees to furnish

� aIl of the professional services, subconsultants, materials,
equipment, plans, drawings, specifications, calculations, reports _
' ',� and documents specified or necessarily implied to complete all
tasks required for the completion of Consultants portion of the
i Project, as set out in and in strict compliance with the Proposal �
,,� and Consultant Documents herein below listed, to the highest

standards for its profession in Colorado.
�,I 2. CONTRACT TIME. Services under this Agreement shall be
i commenced by September 1, 1987, and completed by October 1, 1987.
;j 3. PAYMSNT. The County agrees to pay, and the Consultant
;.,] agrees to accept, in full payment for the completion of perform-

..� ance of this Contract, the Contract amount of Four-thousand,
( five-hundred and 00/100 dollars ($4,500.00) with the understand- t

� ing that this amount may be increased or decreased by Change

6. AUTHORITY AND RSSPONSIBII.ITY OF THE ROAD AND BRIDGE •,'t;_':.',.
PROJBCT fiNGINEER. All servicea shall be performed under the `F:I'�

general direction of the Road and Hridge Project Engineer or his - ; �.,
" � designee. Consultant agrees to fully cooperate with the Project
Bngineer and to promptly respond to his inquiries and requests

for information. The Road and Bridge Project Engineer shall
decide any and all questions that may arise as to the quality and
! acceptability of services performed, materials furnished, rate of
j progress of the Project and related services, interpretation of ;
j the Contract and all questions as to the acceptable performance
j and completion of the Contract on the part of the Consultant.
� 7. SUCCBSSORS AND ASSIGNS. This Agreement and all of the
covenants hereof shall inure to the benefit of and be binding
� upon the County and the Consultant respectively and their agents,
I representatives, employees, successors, assigns and legal
representatives. Neither the County nor the Consultant shall
'� have the right to assign, transfer or sublet his interest or
; obligations hereunder without the written consent of the other _��.

8. NO WAIVER OF TGRMS. No waiver of default by either
party of any of the terms, covenants or conditions hereoF to be

The selection of a consultant will be based upon the criteria � �

1. Detailed plans for the structures, bearing a ,; r-.'_
" Professional Sngineer's Stamp. shall be eubmitted (
� to the county. The details ahall be furnished on

standard dimensional sheete, drafted to con-
� ventional scales and shall include tabulations of _
i quantities of all appropriate items of con-
i
atruction work. It is understood that the final
design will conform with "Colorado Highway t
Specifications - 1986" and "Geometric Design Guide
' for Local Roads and Streets" as published by the
Colorado Department of Aighways and the AASHTO,
reapectively, and amended to the date of this
contract, and also with current State safety
criteria. Any deviations from these standards
shall be approved by the County in advance of
final aubmittal. ,i�-.
2. The Psngineer/Consultant shall be responsible for
the plans being accurate and complete to the best t ,
of his knowledge. At the time the fingineer/-
Consultant furnishes plans and specifications for
final review, it will also provide: ,

PROJECT APPROACH
The first step in our design approaeh will be to review the ,
Pitkin County Road Design Standards and evaluate the -:r;,;`,:,_ �
appropriateness of the culvert design criteria for this �".=-'-• "
application.

The County Standards recommend a minimum design capacity of a 100 � � '
year storm event. While this may be an appropriate standard for �s�'''`
a dam or large bridge structure, it is not always the most cost- -
effective for smaller structures like the culverts being
' • prepared. For example, if a culvert designed for a 50 year event �
is 1/4 of the cost of a 100 year frequency event culvert, then �,,:.;'..•;
the cost ratio sides toward the smaller installation. Moreover,
the flood eharacteristics of major storm events are only ' ��"
hypothetical of this level of design and do not account ; ,•.
for debris and mud flow which generally accompany the � �;,.
storm and make a specific design more uncertain.
-� If selected we will evaluate the cost-benefit of different
! ' capacity alternatives and recommend a design solution
f particularly suited for these locations.

" Banner currently has the Micro Data Service "Civil Calc" program �
on file. This software is state-of-the-art for culvert and small
. � bridge design. For each of the four culvert applications we will
jrun this program and develop a range of alternative designs for
� each situation.
Field survey data and hydrologic assumptions will input the
, equation and result in a selection of different culvert
materials, geometrics and inlet configurations. The data will
then be reviewed with Pitkin County's engineers prior to .
proceeding with final design.
Different material types and construction methods will be tested
for each location and the initial cost vs. life expectaney will
be compared.

Based on our preliminary field inspection, it appears that the `�,'"
culverts on Snowmass Creek and Sopris Creek should be replaced
with low profile rectangular concrete boxes precast or poured in `{
place. Neither location has the vertical latitude for a round
• seetion nor would• adequate cover be available for a low profile
steel arch. `• '�

For Brush Creek Road design alternatives will include
consideration of traffic volumes and the maintenance of
uninterrupted traffic flow. A construction sequencing plan will
be developed so that one lane of traffic can be open at all
times. For this application the 3-sided boxes may add the
greatest degree of flexibility.
Field work will be performed immediately following a Notice to 'r=j:'��.:
Proceed. If all three projects can be authoriaed this summer, we _
will collect all the field work, prepare plans and bid documents :
and solicit bids this fall. We can specify in the bid documents
' that the County wishes to construct the culverts in 1988 and
reserves the right to cancel the project or modify the schedule �
' at their pleasure.

Field work will include a minimum of 800' of roadway approach
' along the centerline or the distance to the last point of �S' •
; tangent, whichever is greater. Profiles and cross 1
sections will be taken alon,g the stream ehannel for the !� j.�
. hydraulic calculations, for determining if the culvert is !I: �`',:`
�,
under inlet or outlet control and for determining wha: �
(if any) backwater will be generated by the different
,; " design options.

f Final design will carefully consider the approach geometry of the
j "� County roads. Plan will include vertical and horizontal curve -
I data. Special attention will be paid to superelevation rates and
'! engineered transitions into tne existing road. '
!`� Each design solution will include consideration of the ultimate
� traffic volume for that road service area and adequate shoulder
;� -width will be provided to handle future road widening.
;! Utility companies will be contacted early in the design plan to
! locate their facilities and make sure that ample provisions for
their needs are designed into the bridge or culvert. This will '
be done so we do not end up with cables and conduits hanging from
the new structure or culverts extending through the culvert, as
is the case on lower Brush Creek Road.
As part of the final plans and bid documents, revegetation plans t
will be included and additional landscaping and plantings (Brush �t
Creek Road) will be included if desired by the County.
' Finally, our approach is to develop the optimal,.most cost-
• effective design solutions with attention to engineering detail

breach of the prohibitions againet contingent fees, gratui-

(1) Terminate this Contract without liability by the County;

fi. Noncomplience. In the event of the Consultant's

' A. The performance of work under the Contract may be terminated �,;.

i cure or show cause why such failure to perform should be

The Consultant shall not be in default by reasons of any

the date of hand-delivery or the date of mailing of the

C. Termination Pcocedure. After the effective date of the �,� �

D. Termination Payment. After the effective date of a notice of -
' termination for the convenience of the County, the Consultant
=! shall submit to the County his termination claim in the form �
of a final invoice in accordance with the provisions in
"Method of Payment," including costs incurred and profit to
the date of termination (but not future profit, which ahall
� not be paid), and costs incurred because of termination,
I which termination costs shall not exceed 10� of the total
+ amount of proposal; provided, however, that in the event of
� default by the Consultant, no extra costs incurred because of
itermination shall be paid to the Consultant and any costs
� paid ahall not be a waiver of any claim, counterclaim or set-
off by the County against the Consultant on account of any
default. Such claim must be submitted promptly, but in no
� event later than thirty (30) days from the effective date of
jtermination, unless one or more extensions are granted in �

F. Remedies. The Consultant shall have the right of appeal from
any determination made by the County under "Termination for
Default or for Convenience of County;" except that if the
Consultant has failed to submit his claim within the time
provided in Paragraph 4.D., above, and has failed to properly
request extension, he shali have no such right of appeal. In _

(4) A warranty from the Consultant in a form agreeable to the
parties, but with a wurranty period of not less than one

6. INTBGRATION AND MODIFICATION .��.��`

A. This Contract constitutea the full and complete agreement of -
the parties and supercedes or incorporates any prior written �r_;i� "
and oral agreements of the parties. In addition, the
. Consultant understends that no County official or employee, -
other than the Board of County Commissioners acting as a body
at a Board meeting, has authority to enter into a contract or k'- '
to modify the terms of this contract on behalf of the
County. Any such contract or modification to thia contract

release, discharge, indemnify and hold harmless the County of

! tivea from and against liability for any claim, demand, loss,

grown in Colorado, quality being at least equal to materials,

9. RfiCORDS t
� The Consultant shall maintain comprehensive, complete and
accurate books, records, and documents concerning its performance
� relating to this Project for a period of three (3) years after
� final payment on the Project and the County ahall have the right �+
i within the three-year period to inspect and audit these books,
� records and documents, upon demand, in a reasonable manner and at
� reesonable times, for the purpose of determining, by accepted
� accounting and auditing standarda, compliance with all provisions
of the Contract and applicable law. �

providing services, the Consultant, if he so requests, will be
advised as to the status of funds appropriated for services or
' materials and shall not be obligated to provide services or
materials for which funds have not been appropriated.
11. SUCCfiSSORS AND ASSIGNS
This Agreement and all of the covenants hereof shall inure to the `��:�
benefit of and be binding upon the County and the Consultant ���;�`i�" -
respectively and their agents, representatives, employees, "�_,;:_-':'
succeasors, assigns and legal representativea. Neither the �r�
County nor tbe Consultant shall have the right to assign or
transfer its interest or obligations hereunder without the
written consent of the other perty, which consent shall not be ��
