Now therefore, pursuant to and for the purpose of carrying out the provisions of the Airport
and Alrway Improvement Act of 1982, hereln catled the "Act", and/or the Aviation Safety and
Noise Abatement Act of 19T9,and in consideration of(a)Lhe Sponsor's adoption and ratlPication
of the representatlons and assurat►ces contained in satd ProJect Appllcatlon and its acceptance of
thls ofter as hereinafter provided, and (b) the benefits to accrue to the United States and Lhe
publlc [rom the accomplishment of the ProJect and compliance with the assurances and
conditions as herein provided, The Pederal Aviation AdminlsCration, for and on behalf of the
United States, hereby offers and agrees to pay, as the United Statea ahare of the allowable
costs incurred in accompllshing the ProJect, 60 percent of said cosLS associated with the :;^;;;-`_
nonrevenue portion ot the terminal building not to exceed Sb50,583,and 90 percent of sald costs �`'
related to the eliglble work elements in the apron expanslon and the entrance road. .��A"��.�<.-

This Offer ls made on and subJect to the followiag terms and conditSons:
Conditlons
1. The maximum obligation of the United States payable under thls ofler shail be 5862,707.00. � �
For the purposes oi any future grant amendments whlch may increase the foregoing k:'
maximum obligation of che United States under the provisions of Sectlon b12(b) of the �'''� "
Act, the following amounts are be[ng specified for this purpose: ;;�:

� 5-0- for land acquisttion
� 5862,707 for airport development or nolse program implementation (other than land
� acquisition).
2. The allowable costs oY the project shall not include any costa determined by the FAA to
be lneligtble for consideration as to ailowabllity under the Act.
� 3. Payment of the United States share of the allowable project costs will be made pursuant
to and in accordance with the provls[ons ot such regulatlons and procedures as the
Secretary shall prescribe. Unlesa otherwise stated in this grant agreement, any program
lncome earne8 by the aponsor during the grant period shall be deducted from Lhe total °
; allowable proJect costs prior to making the ftnal determination oP the United States share.
Final determination of the United States share will be based on the final avdit oP the
totai amount of allowable groJect costs and settlement will be made for any upward or
� downward a�uatments Lo the Federal share of cosLa.

4. The sponsor shall carry out and complete the ProJect withaut undue delay and in
1 accordance mith the terms hereof, and such regulatlons and procedures as the Secretary
shali prescribe, and agreea to comply with the assurances which were made part of the
project applicatlon.
� 6. The FAA reserves the right to amend or withdraW this otfer at any time prior to its �-.
acceptance by the sponeor.

spent fraudulently,wastefully,or in violation of Federal antitrust statutes,or misuaed In

. purposes ot thls grant agreement,the term"Federal funds"means funds however used or
disbursed by the sponsor that were origlnaily paid pursuant to this or any other Eederal -
grant agreement. It shall obtain the approval of the Secretary as to any determination of
the amount of the Federal share of such funds. It shall return the recovered Federal
share, inciuding funds recovered by settlement, order or judgement, to the Secretary. It '. �

10. For purposes of computing the United States share of the allowable proJect coste, the � :
�` allowable cost of the terminal building expansion included in the proJect shall not exceed
the lesaer amoant of elther abb0,683; or an amount based on 609i of the eligible work as �
determined by a detailed cost analysis, assigning costs to eligible areas under the
� guidelines of Section 561 d.of FAA Order 6100.38;or a prorated percentage based on the
ratio of the square Pootage that the eligible area bears to the total usable square footage
of the huilding.

The sponaor's acceptance of this Offer and ratiflcatlon and adoption of the ProJect Application �'-�•��-�`�
incorporated herein shall be evidenced by execution of this instrument by the Sponsor, as
hereinafter provided, and thla Offer and Acceptance shall comprise a Grant Agreement, as
provtded by the Act,constituting the contractual obligatlons and rlghts oP the United States and
the Sponaor with respect to the accompllshment of the Project and compliance with the
