Wf�REAS, County is the ownez of certain real estate commonly
known ae the Rio Grande Tzail (hereinsfter referred to as the
"Trail°, as recorded in the real property records of Pitkin .��:.•> .
County in Sook 'sc/!, Page .-( (.( ; and -�;'; :

WHEREAS, Grantee is the owner of certain zeal property �"'
located in the Shady Lane area of north Aspen as recorded in the ��� i
real property records of Pitkin County in Book 268, Page 969 and
T" 970: and :

� WHEREAS, Grantee is desirous of obtaining a non-exclusive,
perpetural access easement across the Trail for the purpose of
accessing Grantee's property; and
WHEREAS, the County is desirous of granting a non-exclusive
perpetual access easement across the Trail upon the tarms and
conditions contained herein.
NOW THEREFORE, for Ten Dollars ($10.00j and other good and
valuable consideration, the receipt uad sufficiency of which is �
hereby acknowledged, the parties agree as follows:
� 1) EASEMENT. The County grants to Grantee �aacess easement _
twenty (20) feet in width, as further described in Exhibit "A", �
annexed hereto and incorporated herein, for the purpose of
accessing Grantee's property, over the Rio Granc�Trail.
2) INSTALLATION. Grantee may construct, reconstruct, repair,
change, re-phase, operate and maintain an access easement within t
the access easement of the Trail subject to the approval of the ,-.
County Engi.neer.

3. VEGETATION. Grantee may remove any and all trees, brush, 4
veqetation and obstructions within th= access easement of the �Z. .
Trail when such is reasonably necess:.�_y for the implementation
and use of the rights hereihabove grantEd. ;
4. REPAIR. Gran�tee sha21 pramptly restore the snrface of the � -'�� •

5. TITLE. County covenants that it is the owner of the Trail
and that the lands are� free and clear of encumbrances and liens
which would adversely impact Grantee. �
6. FIXTURES. County covenants that all access facilities
including but not limited to, grading, planking, ditches, and
gates, installed by Grantee at, on or abutting the Trail shall _
remain the property of Grantee, and shall be removable at the `��+'i�;

7. REIACATZON. Grantee covenants and fully indemnifies the "�`��'�.,"`

facilities hinder or preclude improvements ox development of ���' : .

8. INaEMNITY AND INSURANCE. Grantee shall hold County �`,.1.
harmless and indemnify it against any and all claims, liability, ;"�; ;'
loss, expense, damage, suits or causes of action, including all � r•�`
r legal fees, for damages arising after the commencement of the
term hereof, including any orders, decrees or judgments which may
be entered therein for damages or alleged damaqes resulting from
any injury to person or property or from loss of life sustained
in or about �he above described premises.
S. NOTICES. All notices, demands and communications required
hereunder shall be served or given to the respective party at its
respective address as set forth below or as otherwise designated
in the manner set forth herein. Any notice, demand or communicat- ' }
ion shall be given by personal service, or by certified mail,
return receipt requested, with first class postage pre-paid
thereon, and unless sooner, received three (3) days after the

9. 1�TTORNEY'S FEES. Should any party hereunder be required
to resort to legal or equitable process for the enforcement of
