MOUNTAIN NATURAL GAS COMPANY ("Lessee") , a Colorado corporation,

its successors and assigns, for a term of ten years from and
after November 1, 1987, of the following described premises: �.

A parcel of ground approximately 3o feet by 30 feet at
the Northern end of True Smith Park in Pitkin County, j
Colorado, the precise location of which shall be shown ( .,
on a plat or map filed for record by T,essee with the ' '
- Pitkin County Clerk and Recorder within ninety (90)
days of the completion of Lessee's fac3lities thereon.
Said map or plat shall be subject to the prior approval
of and shall bear the signature of the Special Project
Engineer of Pitkin County before recording. ( : i

Lessee�s leasehold interest in the referenced lands � �';

be used in conjunction with Lessee's natural gas transmission
line. If at any time during the term of this Agreement, Lessee
shall discontinue use of said line or of the facilities located
on the referenced lands for a period in excess of sixty (60)
consecutive days, this Lease and all of Lessee's rights hereunder :'';:'

shall automatically terminate and Lessee shall remove said ��i�,�':'��"

facilities and restore the lands to their original condition at �.���' ;'•

its own sole cost.
S. Lessee shall have the right of ingress and egress

entrance thereto for the purpose of inspecting, repairing, ==;��`,

maintaining, renewing, or replacing the property of Lessee �

remove any or all of such property at any time. Upon the
termination of this Lease, Lessee sha11 remove all surface �
equipment and property and shall restore Lessor's premises as
nearly as practicable to its original condition at its own sole

C. Lessee shall construct and maintain a six-foot high
wooden fence around the two sides of the referenced lands which
are currently unfenced and sha12, for the life of this Izase,
keep and maintain the entire fence around the leasehold parcel in

good repair at its own sole cost and expense. '�`
D. Lessee shall use and raaintain all of its equipment
and facilities on and under the lands subject to this Lease and I

lands which will unreasonably interfere with the use and enjoy-
' ment by the public of adjoining park lands.
E. In the event that Lessee shall be in default of its

the term of this Lease, Lessor, by written notice delivered to •

; F. At the end of the term set out above, this Lease
shall automatically renew for a period of one calendar year, _
unless either party by written notice, delivered to the other

party at least thirty (30) days in advance of the expiration � � �
date, shall notify the other party of its election to terminate I �

this Lease. Likewise, this Lease shall be extended automatically
from year to year thereafter in the absence of a termination
notice delivered at least thirty (30) days in advance of the date
• of expiration of the extended term. No further consideration
shall be required for any such extension. t

G. Lessee agrees to indemnify and hold Lessor harmless
from any and all damages or claims which may arise out of {
Lessee`s operations on the leased premises, except those claims �
which arise out of Lessor's own negligence.
