5. SUB-CONTRACTORS.(If any) The Contractor agrees to
bind every sub-contractor by the terms of the Contract Documents.
The Contract Documents shall not be construed as creating any con-
tractual relationship between any sub-contractor and the County.

7. NO WAIVER OF TERMS. No waiver of default by either "

! A. The Contractor acknowledges that this Agreement is entered ! l

into subject to the requirements of the "Pitkin County Pro- � �' -
i curement Code," (Section 8.5 of the Pitkin County Home Rule i + r•'
Charter, Resolution No. 82-37, April 12, 1982). As such, the �`.
� Contractor agrees to comply with all requirements oY said
fProcurement Code, and such requirements are incorporated
� herein by this reference. 1'he Contractor also acknowledges

� law including, without limitation, C.R.S. Sections 38-26-101

employee or representative of the County during the term of
this Contrect or one (1) year thereafter shall have any
iaterest, direct or indirect, in this Coatract or the proceeds

F. Sub-Contract Clause. The prohibitions against contingent

C. Terminstion Procedure. After the effective date of the
notice of termination for default or for tlie convenience of
the County, unless otherwise directed by the County, the
Contractor shall:
(1) Stop work under the Contrect on the date specified in the '

Contractor hes failed to submit his claim within the time
provided in Paragraph 4.D., above, and has feiled to properiy
request extenaion, he shall have no such right of sppeal. In
any case where the County has mede a determination of the
amount due under Peragraphs 4.D. or 4.5. , above, the County ,
shall pay the Contractor: (1) the amount the County has
determined if there is no right to appeal or if no timely
appeal has been taken, or (2) the anount finally determined -

8. EXSMPTIONS AND PRSFBRENCES

't� The Contractor ahall maintain comprehensive, complete and accurate 1
! books, records, and documents concerning its performance relating

payment on the Project and the County shall heve the right within
the three-year period to inspect and audit these books, records
{ end documents, upon demand, in a reasonable manner and at reason-
� able timea, for the purpose of determining, by eccepted accouating
and auditing etandards, compliance with all provisions of the
`� Contrect end applicable law.
10. ANNUAL APPROPRIATIONS
