� 1. Pitkin County,a Colorado home-rule county,is the owner,sponsor and operator of
. - - e ; the Aspen/Pitkin County Airport(Sardy Field),located in the vicinity of Aspen,Colorado,and has
���` ' ! the authority to regu(ate commerciai activities and to lease and license space at the Airport, -.
r ? pursuant to.inter�1i�,1973 C.R.S.41-4-101��q„30-35-202,Titte IV of the Pitkin County Code,
} � and Section 8J of the Pitkin County Home Rule Charter;and
2. Pitkin County conducted a competitive procarement action,pursuant to the requirements f
F ; of the Pitkin County Procurement Code, for the occupancy and use of Ground Transportation
- � 2 Booth#l,located in the Airline Terminal at il�e Aspen/Pit[tin County AirpoR;and

• � 3. Silver Limousine Service, Inc. was determined by the Selection Committee to be a
'- qualified Proposer for the occupancy and use of the booth;and � ,

• . ; ; 4. Pitkin County desires to enter into a Letter of Intent with Sitver Limousine Service,Inc.
j ' f'or the purpose of the occupancy and use of Ground Transportation Booth#1 at the Aspen-Pitkin
- ; � ' Counry Airport. for purposes of preparing the boofli for the provision of ground�transportauon
7 � services;and `
{ � 5. The term of the Letter of Intent shall be from December 3,1997,until 7anuary 14,1998,
- ; i at which time it is espected that tlre BOCC will consider,for adoption and approva[,an Ordinance j
_ � � ; approving a License and Use Agreement between Silver City Limousine and Pitkin County for the '
� occupancy and cise of the booth for a term of two years. , i

� ; G. Upon the recommendation of Staff and information provided thereby, the BOCC
finds that the Letter of Intent is ia the best interest of the County,the Airport and Airport Users.

Conunissioners(BOCC},subject to obligations of Silver and other terms and canditions as foilows:
� 1. Term: December 3, 1997 through January 14, 1998,on which date it is expected thaf
' the BOCC will considet approval and adoprion of a two-year License and Use Agreement for
; the occupancy of this booth.

•` 2. Premises: Ground transportation booth number one(1); 102 square.feet.

, � 3. Rent: Silver wiLl pay rentai of$275.00/month in advance,pro-rated for any period of
j occupancy of less than one full month.

- ; 4. Security Deposir: 3ilver will deposit$825.00 cash or certified funds;refundable without
interest within thirty(30)days of end of occupancy,if Silver has complied with all obligations ,
hereunder.
5. Allowed Uses: Preparation of tenant space;and conduct of commercial limousine
operations,pursuanc co the Airporc Ground Transportation Ruies and Regulations as adopted in �.
Ordinance No. 199b-47 and the requiremenu of the RFP. Ail uses not expressiy allowed are
� expressly prohibited,except by prior written permission of the Director of Aviation. ��='

- 6. Indemniry and Insurance: Silver shail be bound by tenant obligations found in standard r. ' .
Airport forms and requirements for ground transporation booth operators,with specific ':

amounts,coverages and speci£c requiremenrs per the approval of the County Risk Manager `-' '
� 7. Condition Subsequent. Silver will proceed in good-faith negotiations with the County to � �
, � execute a License and Use Agreement for the occupancy of this booth,with all the rights and
'z;�� .'.� ' � obligations thereof, for a term of two years,to be executed by January 14, 1998.

} I 8. Holdover. If the parties fail to conclude negotiations by January 14, 1998,and Silver
cntinues to occupy the booth with the consent of the Counry,this Letter of Intent shall be
extended as a week-to-week basis on the same terms and conditions herein or as the County, '
f upon seven(7)days written notice,shall impose. �
