THIS AGREEMENT, made as of the 8th day of January, 1997, by �
and between the County of Pitkln, Colorado, a Colorado name-rule county,
(hereinafter called the COUNT� Carpet Connection (hereinafter called the '-.
CONTRACTOR?.
WITNESSETH, that whereas the County intends recarpet the
Courthouse Plaza, hereinaFter called tne PROJECT, in accordance with the
terms and canditions outlined in the Construction �ocuments and the
_ associated Plans and Spec�fications.
; NOW, THEREFORE, the County and tne Contractor, for tne r
� considerations hereinafter set forth,agree as follows:
. 1. THE CONTRAC70R AGREES to furnish ail the necessary labor,
F inateriais, equipment, tools and services necessary to complete in a
- 1 workmanlike manner all tasKs required within the scope of work for the
� completion of the Project, in strict compliance with the contwact
documents herein mentioned,which are made a part of this contract.

accept, in full payment for the performance of this Contract, tne Contract �

documents, subject to increase or decrease in accordance with the provisi-
ons of tne Contract Documents.

4. AUTHORITY ARD PO �S,JBIL,JTY OF THE PROJE�T' MANAGER. ~
Ali work shatt be done under the general supervision and direction of the

� , all questions whfch may arise as to the quality and acceptability of materials
� � furnished,work performed, rate of progress of the work, interpretation of
? tne Contract, change orders(within tne limits of her authorityl and ail other
questions a5 to the compliance with the Contract on the part of the
' cantractor.
� � 5, �icr.FSSORS aND ASSiGNS. This Agreement and all of the
� covenants hereaf shalt insure to the benefit of and be binding upon the
� County and the Contractor respectively and their agents, representatives,
_ � employees, successors, assigns and legal representatives. Neither the
� County nor the Contractor shall have the right to assign, transfer or sublet �
� j ; his interest or obligations hereunder without the written consent of the �
_ ; ; other party. �

r � 6. THIRD PARTIES. This Agreement does not and shaA not be
i ;_ deemed or construed to confer upon or grant to any third party or parttes, ,
., ; except to parties to whom Contractor or County may assign this Agreement
� : in accordance with the specific written permission, any rights to claim ;
. ; � damages or to bring any suit,action or other proceeding against either tne
} :: County or Contractor because of any breach hereof or because of any of
F ' the terms,covenants,agreements or conditions herein contained.

7. �1lyEII. No waiver of defautt by either party of any of the
� xerms,covenants or conditions hereof to be performed, kept and observed
by the other party shafl be construed, or operate as, a waiver of any
subsequent default of any of the terms, covenants or conditions herein
contained,to be performed,kept and observed by the other party.
