corporate and politic(hereinafter refeRed to as the"County'7 and Board of County Commissioners
of Pitkin County,State of Colorado, a body corporate and politic(hereinafter referred to as the �^
"Contractor'). -

WITNESSETH: i
�_, ' � THAT,in wnsideration of the mutual promises,covenants and conditions contained herein, �
f! the parties hereto agree hereby as follows: -

1. SCOPE
�
F i A. The County has awarded the Contractor,as the fiscal agent for the Roaring Fork �
- f i Railroad Holding Authority;grant funds in the amount of One Hundred Thousand �
! �ollars($100,000.00)upon the recommendation of the Board of Directors of the
�'
Eagle County Regional Transportation Authority for the purpose of purchasing the
` Aspen Branch of the Denver and Rio Grande Westem Railroad Right-of-Way for the '•
E i benefd of the residents of Eagie County for transportation purposes as provided in ��
' � Eagle County Resolution No.95-95. �

f ! B. In consideration for the monetary payment described in the preceding paragraph, •
� t Contractor shall utilize and spend the funds provided solely for the following specific
' purpose(s),subject to the general terms and conditions as stated herein: •

i ; i. Purchase(land acquisition only)of the Aspen Branch of the Denver and Rio
? { Grand Westem Railroad Right-of-Way.
_ ! ' �
ii. Funds will.be held by the Courrty until such time as the actual disbursement
� � is required to purchase the Aspen Branch.

! ` iii. The grant does not necessarily commit the Eagle County Regional '
Transportation Authority to implied future financial participation. If future
funding requests were made by the Roaring Fork Railroad Holding Authority, '
they will be dealt with on a case by case basis.

iv. Grant funds must be retumed to Eagle County if the acquisition of the title
in the Aspen Branch does not occur before April 15,1997. ,.

2. CONTRACTOR'S DUTIES '��

The Contractor shall comply with the following Requirements: �+
A. All funds received under this Agreement shall be expended solely for the purpose ','• I
1,' ''
af which granted, and.any such funds not so expended, including funds lost or ;-.
. : diverted to other purposes,wili be retumed to the County without undue delay.

B. The Contractor shall maint�in all records pertaining to this Agreement for a -
minimum of two(2)years and may be subjected to an audit by federal,state,or
county auditors or thei�designees as requested. If misuse of funds is discovered
by an auditor,the Contractor shall retum said misused funds to the County.

. • ! C. The Contractor authorizes the County to pertorm audits and to make inspections
'�:<'� � during normal business hours at the convenience of the Contractor,with forty-eight �
� (48) hours written notice,for the purpose of evatuating perFormance under this
� Agreement.
3. NOTICE
f ! Any nowce provided for herein shall be given in writing by registered or certified mail,retum
I receipt requested,which shall be addressed as follows:

� ; 4: MODIFICATIONS AND WAIVER

� ' The Contractor shall not assign any rights or duties under the Agreement to a third party
without the written consent of the County,which shall determine the acceptability of the third party
to the County. Any effort to effect such an assignment without the written consent of the County
will terminate the Agreement immediately at the option of the County
�

A. This Agreement shall be binding upon and inure to the benefit of the Contractor and � -

the Courny and their respective heirs,legai represenfatives,executors,administra- ' •
tors,successors and assigns;provided,however,that neither party may assign nor '� ''
delegate any of its rights or obligation hereunder without first obtaining the written
consent of the other party. �k`''^ I

C. ln the event that a dispute should arise relating to the performance of the services �� r
to be provided under this Agreement,and shou{d that dispute result in litigation,it �.;'',;.,.
is agreed that the prevailing party shall be entitled to recover all reasonable costs

; incurred in the defense of the claim, including staff time,court costs,attomey's
fees,and other claim-related expenses. �-: '

D. The validity or unenforceability of any particular provision of this Agreement shall f;_
� ` - not affect the other provisions hereof,and this Agreement shall be construed as ii � '

� such invalid or unenforceable provisions were omitted.
E. Contractor shall indemnify and hold harmless the County with respect to any claims, ���.
j Iiabiiity,orjudgments from any acfs or omissions of the Contractor,and any of the
( Cont�acto�s o�cers,employees,agents or volunteers.

. � F. The Contractor shall comply with all appiicable laws,resolutions,and codes of the
I State of Colorado.

� G. No person shall have any personal financial interest; direct or indirect, in this
