THIS CONTRACT is made effective as of January 1, 1997 between Pitkin Couniy herein referred to as 's,. � ,
"County", and G�eld County hereafter referred to as "Contractor". Whereas, Garfield County is � - �

providing services ta its Veterans through the Garfiel@ County Veterans Service o�ce and whereas, � �
Pitkin County wishes to contract for provision of Veterans services for its residents; ":•r� "
Now therefore, it is hereby agreed that in considera[ion oF the mutual undertakings and agreements ?: �
hereinafrer set forth,the County and the Contractor agree as follows:

� Section I. County Sha1L• '

?: 1. County agrees to purchase and Contractor agrees to furnish the following services
F hereinafter referred to as"Purchased Services":
• !
� A. Provides counseling services to veterans and to address a wide vuiety of issues,
;� problems,and co�erns, Cooperates with other County human service agencies
! to arrange for and cootdinate appropriate services to veterans.
. ti B. Assists veterans and others with questions regazding insurance,pensions,loans, �"
. � hospita[ization,disability and other beneFts.

. 3, C. Prepares and submits applications for adjusted compensation,insurance,pensions,
- loans, disability compensation, hosgitalization, vocational training, and other
j; benefits.
`� D. Prepares and submits correspondence,statistics and reports to state,federal and
`� local a encies and officiais.

�� E. Maintains files and records. �
_ s+ F. Other functions as needed relating to the office of Veteran's Service Officer. �

�j Notwithstanding the duties set oui above,the parties agree that the County will not pay for any �
�; services in excess of 4 hours per week(average}over the term of the agreement. �

All Veterans and their families who are seeking assistance and reside within Pitkin
County. � `

3. County agrees to pay as services are provided as follows: . �
County agrees to pay a maximum of$3,770 to furnish services outlined in Section
I.A-F.These services will be provided from the Contractors office in Glenwood �.�.�
Springs. However,space wil[be available on an"as needed basis"in the Schul[z
Health and Human Services Building in Pitkin County at no cost to the contractor. � .
The total amount of this Contract shall not exceed$3,770 cash. �

The rates paid above include all of contractor overhead and administrative costs in complying
with terms of this contract.
4. Counry will pay contractor as contractor bills County.
Section II.Contractor shall:

� E ' 1. Strictly adhere to all applicable federal,state,and local laws or regulations that have been
! j or may hereafrer be established.
! ! 2. Subcontracts utilized by the Contractor shall be subject to the requirements of the
� j Contract as listed here, and the Conuac[or is responsible for the performance of any
subcontractor.
; 3. In relation Yo his performance under this contract abide by al!applicable provisions of the
, Title VI and VII of the Federal Civil Rights Act of 1964, Secuon 504 of the
� � RehabilitationAct of 1973,and Title XX of the Social Security Act of 1975 as revised.
, 4. Maintain proce@ures for safeguarding client information and comply with the same.
5. Maintain service program records, fiscal records, documentation and other records �:
- E relevant to this Contract for a period of five years. The above shall be subject at all
• reasonabie times to inspections,review or audit by Federal,State or County personnel,
�f ', and other persons authorized in writing by the County.

- i - 6. Provide the purchased services at the location as shown as the address of the Contractor
� ! or wherever is appropriate for that service within PiUcin County.
� ' 7. Provide a semi-annua]evaluation of services.

�! Section III.Ge�ral Provisions: ��

� k : 1. The Parties to this Contract intend that the relationship between them contemplated by the
. a � Contract is that of independent contractor. No agent,employee,or servant of Contractor
� l shall be deemed to be an employee of County. Contractor will be responsibte for its acts
? � and the act of its agents,employees,servants and sub-contractors during the performance .
, of the Contract.
2. Payment pursuant to this Contract, if in Counry, State, or Federal funds, whether in ;
whole or in par[, is subject to and contingent upon the continuing availability and
appropriation of County funds for the purpose thereof. Notice shall be given in ,
accordanca with number 4 below.

3. This cantract constitutes the full and complete agreement of the parties and supersedes or 4.•�;%c•1'•.

incorporates any prior written and oral agreements of the parties. In addition,contractor ���
understands that no County official or employee, other than the Board of Caunty
. Commissioners acting as a body at a Board meeting,has authoriry to enter into a contract ;,t',�
or to modify the terms of this conuact on behalf of the County. Any such contract or '� �
modification to this contract must be in writing and be executed by the parties hereto. • .
4. Either party shall have the right to terminate this Contract by giving the other party thirty
days notice by registered mail, return receip[requested at the addresses below ]isted, �' '�
effective upon mailing. If notice is so given, this Contract shal} terminate on the � "' `

expiration of the thirty days,and the liability of the parties hereunder for further perform-
ance of the terms of this Contract shall thereupon cease,but perform their obligaGOns up `•r��'
to the date of termination. The County's conYaci person for this contract shall be the ?�"
Human Services Director. The Contractor's contact person for this contract shali be the --
Garfie3d County Administrator. •
5. In the event this Contract is terminated,final payment to the Contractor may be withheld L
f._��' '� %, at the discretion of the County untiI finai audit which,audit,if required by Ihe County, �
+` shall be completed at the next regular audit period.Incorrect payments to the Contractor

F� due to omission,error, fraud, or defaication shall be recovered from the Contractor by
i � deduction from subsequent payments under this Contract by the County as a debt due to
the County. The waiver of any violaiion shall not be construed as a waiver of any other
or subsequent violation of this Contract or appropriate statutes or regulations. r
