THIS CONTRACT,is made as oF the date last below signed between Pitkin County herein referred �'�,��,
to as "County", and Center for Informaiion and Voluntary Acdon liereafter referred to as �
"Cantractor". Whereas, Center for Information a�id Voluntary Action, a non-profit ageney, � _
identifies human needs and finds creative,effective solutions through leadcrship and use of human ��. `.

Sectiai I.County Shall:
j1. County s�rees to purchase and Contractor agrees to furnish the following services

� To support ihe operations of the Vohmteer Action Center(VAC)in order to
� facilitate vo(unteer recruitment and placement.

. !; 2. County agrees to p�rcchase these services for the following tar�eted groups:

I 3. County agrees to pay Co or cash of$1,722 maximum.The County will pay
� contractor in u payments on the last day of�+4erek�June, �nd
, j December. The contractor will provide County with a first quarter report
identifying[he criteria that wiJl be used to establish perfonnance standazds. These !'
- � perfomiance criteria will be evafuated against actual service numbers in a written `�
+ report by che contractor to be submitted to the County before the second and fourth '�
� quarter payments.

9. Provide the purchased services at the location as shown as the address of the
� Contractoror wherever is appropriate for that service within Pitkin County,
, � 10. Provide the service(sj described herein at a cost not oreaterthan charged to other
� persons. •
� 11. Provide a semi-annual evaluation measurina the actual services provided against set
; performance standards.

Sec[ion III.Generai Provisions: �,�-

1. The Parties to diis Contract intend that the relationship between dlem contemplated ��
by the Contract is that of independentcontracior. No agent,employee,or servant of :'��'::.;
Contractor shaii be daemed to be an employee, agent, or servant of Counry. , c ,. '.
Contractor will be solely and entirety responsible for its acts 1nd the act of its' `
agents, employees, servants and sutrcontractors during the performance of the `

3. This contract constitutes die full and complete agreement of the parties and '��
supersedes or incorporates any prior uTitien and oral agreements of the parties. In �:'z;.

- Boazd of County Commissioners acting as a body at a Board meeting,has authority '�i
to entcr into a contract or to modify the terms of this contract on behalf of the
County. Any such contract or modification to[his contmct must be in writing and �

4. Either party shall have the right to terminate this Contract by giving the other party `
ininety days notice by re�istered mail,return receipt requested at the addresses below �'
- ; listed,et�ective upon mailine. If notice is so given.this Contract shall temiinate on
� the espiration of the thirty days,and the liability of the parties hereunder for further
� perforn�ance of the terms of this Coatract shall thereupon cease,but perfottn their
obligations up to the date of termination. The County's contact person for this
# contract shall be the Human Services Director. The Contractor's contact person for _
• -i this wntract shall be the Center for Informationand Voluntary Action Director.
j 5. In the event this Contract is terminated,final paymeni to the Contractor may be
� t withheld at the discretion of the County untii final audit. Incorrect payments to the
,� Contractor due to omission,error,fraud,or defatcation shall be reeovered from the
,� Contractor 6y deduction from subsequent payments under this Contract or othet
; contracts between the Countv and the Contractor.or by the County as a debt due to
;{ the County. The waiver of:uiy violation shall not be constnied as a waiver of any
t� other or subseyuentviolation of this Contract or appropriatestatutes or reguiations. f
