This lease agreement is made and entered into on the 1 st day of January,1997,by and between the �'•,.-�,;,
City of Aspen d.b.a.Kids First,Child Care Resource Center,hereinafter referred to as Kids First,and the ¢`'*� �

County of Pitkin in the State of Colorado hereinafter referred to as the"County". �; . .

Whereas,from January 1,1997-December 31,1947,Kids First desires to rent an office space in the I,: `
Health and Human Services building approximately 150 sq feet at$16.00/sq ft per year totaling$240U.00
, for one year. •

� Whereas,Kids First is providing access to child care information and resources and promoting the �_ , �
�� availability of quality,affordable child caze services for all residents and visitors of the Roazing Fork '''
Valley by providing support services to parents,children,employers and child care providers. `.r

Whereas,the County wishes to support the City's efforts in this azea by offering the Kids First an in-kind �
_ 1 contribution rent of one year. �
� Now therefore,in consideration of the mutual covenants and promises contained herein,the parties agree `
� as follows:

j 1. Period of Ooeration; The County hereby leases and demises far the calendaz year t 997 to
. = Kids Firsi that area designated office A in the Schultz Building. Said space shall be available at
8:00 a.m.,Wednesday,January 1,1997. Kids First will be prepazed to vacate the office by 5:00
; p.m.on Wednesday,December 31,1997,unless a new lease has been signed.

,; 2. Renairs and Maintenance: During the period of this lease agreement Kids First shall 4
; maintain this office in good shape and repair and retum it to the Counry in substantially the same �
• ;� condition received normal weaz excepted. The County shall provide regular office cleaning `

3. Pavment: The rent for the entir�term for the space rented by Kids First is$2,400.00, �
; however,the County shall provide this amount as an in-kind contribution. r •
4. GoverningLaw: This lease agreement has been entered into in the State of Colorado,and �
the validity,interpretation and legal effect of this agreement shall be govemed by the laws of the
State of Colorado. �: •

5. Non-Assi ne ment: This tease agreement and the rights arising under it shall noY be ; ,� ,
assigned ortransferred by Kids First. ` '

_, 6. Bindin�Effect: This lease agreement shaU be binding upon the parties hereto,their

respective l�eirs,successors and assigns. , +.,.
7. Miscellaneous Services: All other services,copier,etc,will be chazged to Kids First at �`� ''
the rate determined for a!I tenants of the building.
Phones: Kids First will make quarterly payments to the County for use of phones of Y,:.""'" �
$112.88. County will notify Kids First of any significant increases or decreases and Kids ��--�=:r��.�
First agrees to pay or to be refunded any such adjustments. '�k.::;"'-:--_

8. Kids First agrees to undedake its activities in the leased premises in a manner which will ��'` :

not interfere with other tenants and activities in the building. y� .,

' 10. In the event the building or leased premises become damaged or untenantab(e for any �`,r
� reason during the term hereof,the County shall have the right to declare this lease terminated and j�.�%�
j require Kids First to vacate the premises,whereupon the parties shall have no further obligations +" ��'

! 11. Maintenance and cleaning shall be the responsibility of the County with general o�ce

� cleaning(vacuuming and trash removal)Sunday-Thursday evening,annual carpet cleaning and
annual window cleaning. :�s '.

' � 12. Kid's First hereby releases and indemnifies the County from any liability for property loss or
damage and personal or bodily injury to the property or in connection with the use,storage, ;
- movement or maintenance of the property provided that this indemnity shall not be considered to '
indemnify the County from damage or injury caused by the willfui misconduct of the County or its
� employees. To find indemnification,Contractor must provide evidence of the following insurance
� (naming Pitkin County additionally insured)within 10-30 days of execution of contract; � �
a. Statutory Worker's Compensation:
1) Colorado statutory minimums
b. Commercial General Liability

13. This agreement may be terminated at any time for any cause by either party by 30 day written ��.'^�. '�'�`�'

` 14. It shall be the responsibility of Kids First at its own sole cost and expense,wit6in five days '��
