Construcf"�p License
(N CONSIDERATION of the sum of Ten Dollars ($10.00) and other good and valuable ' �`�
consideration,the receipt and sufficiency of which is hereby acknowledged,THE COUNIY OF '� '. -;:
PITKIN,COLORADO,as the governing body of Pitkin County,Colorado(hereinafter referced to �
as the 'Licenser"), does hereby grant to HOLY CROSS ELECTRIC ASSOCIA7fON, INC
(hereinafter referred to as the "Licensee"j, a construction license to use any portions of
Licenser's reai property described in Exhibit A aftached hereto and incorporated herein by this , `
reference.The property burdened by the Construction Lice�se shail hereafter be referred to as t�' '�
the"License Area". +`?" �

Said Construction License is for the purpose of permitting Licensee to upgrade the existing -
- improvements near the Licenses Area, for the surveying, placement and constniccion of fhe i -
new electric line,inc(uding temporary excavation placement,remova!of woody plants,grubbing
and ciearing of the property,excavation of the fand,piacement of tines and poles,placement ot
other above ground facilities,revegetation of the work,and any other activities deemed required
to successfulfy comptete the project. No structures other than those hereinabove provided for
shall be erected, constructed or placed upon the Licensed Area by the Licensee without the
prior written approval of the county through it's representative,the Assistant County Manager. �,;�,
Foliowing completion of the surveying of the new electric line and immediately following a ,�i
determination by Licensee or its employees of the work to be performed upon Licenser's �
property within the License Area, Licensee shall present its ptans for the proposed work ��
involving the Licensed Area to Licenser for approval and Licenser shall have fifteen(15)days in �
which to approve or disapprove the praposed work. ;�
This Construction�icense shall terminate upon the earlier to occur of one(1)year after the date
� of the full execution of this Construction License, or completion of the foregoing construction
work related to the new electric line and conveyance to�icensee of an easement.
- Licensee shall be responsible for,and shall at iYs expense promptly replace,repair,and restore
to L.icenser's safisfaction any landscaping, fences, ditches, woody plants, or other
improvements which may be damaged or destroyed as a result of its use of this license or its
exercise of the r�ghts herein provided.
Upon completion of the new electric fine project,providi�g Licensee has complied fully with the
provisions of this Construction License, Licenser shall convey to the Licerisee by easement '
those portions of the Licensed Area upon which the new electric iine has 6een constnicted and !,
an additional width deemed necessary for future maintenance and upkeep of said power line, 4{
not to exceed one hundred (100)feet in totai width. In no evertt, however, shafl Licenser be f
required to convey,or make the Licensee take,any portion of the LicenseYs property in excess
of what is deemed necessary to facilitate the future maintenance of the new elecfric fine. -
Easement for the Electric iine wiil be conveyed using Licensee's standard easement form, a
copy of which is attached as Exhibit B.
The Licensee hereby indemnities artd releases the Licenser from any liability for properry , �.
damage on or around the License Area as a resuk af the construction activities related to the ��
new electric line, and for personal injury to its property or members of the general public �. , _

associated with the granting of this Construction License,except that which might be caused by r����
gross negligence of the Licenser. Licensee agrees to purchase, maintain and authorize `�
sufficient liability insurance,funding this indemnity to the satisfaction of the Licenser. Licenser ��'` �;�
shall review said liability insurance and confirm the amount of this insurance before work on the ' •
new electric line can commence within the License Area. �' ��,�.
The Licensee agrees to respect the rights of easement holders,if any,across the License Area, i:`;�,•
and agrees to meet with and resoive any conflict of easement use prior to initiating worfc on the
new electric line within the License Area.

All areas disturbed by activities related to power line installation and maintenance will be '"`r�
reclaimed by Holy Cross. Reclamation may inciude seeding the areas with the appropriate '�: � `
native grasses and flowers, the seed mix to be approved by the Pitkin County Land T_..' --
Management DepaRment, or may require restoration of the propeRy to preexisUng condition •
- upon completion of ihe property's use for access. no trees,bushes or other woody plants will ';.
be removed from the County's properties by holy Cross without the expressed,written consent `
of the County. Maintenance of disturbed areas upon completion of any restoration and ��,;"'
, , �< acceptance of such by the County shail be the responsibility of the County. �
THIS AGREEMENT shail be binding upon and inure to the benefit of the parties hereto and ��ti�r
their successors and assigns. In the event of litigation hereunder the prevailing party shall be -'r:r
entitled to collect its reasonable attorney's fees and costs. Nothing herein contained shall be
deemed to restrict Licenser in the use of ownership of the License Area herein granted,except ,�i�
� as any use may be inconsistent with the rights granted hereunder or the existing D&RGW -��
; crossing License fo�the transmission lirye. This License may be amended or modified only by a •I
; writing executed by t��aRies hereto,t/heir successors or assigns. ;,.�
