Counry of Pitkin, Colorado, a home-rule county, (hereinaRer called the "COUNTY") and ���`�:'� �
James Kent and Associates of Aspen,Coloredo(hereinafter called the"CONSULTANT"). 't� '"4

WHEREAS,the COUNTY intends to condud a Strategic Planning process(hereinafter

_ WHEREAS, the CONSULTANT agrees to complete the PRO)ECT according to the �

� Specifications as described in the field by the Project Representative;and .

: NOW, THEREFORE, the COUNN and the CONSULTANT, in consideration of the ;�

' mutual covenants,terms and conditions hereinafter set forth,agree as follows:
i. THE WORK. The CONSULTANT shall fumish all of the labor, materials, ���
" equipment, tools and services specified or necessarily implied to compiete the PROJECT, in j
istrict compliance with the specifications section described above and in a timely, safe and
�' workmanfike manner. In addition, the CONSULTANT agrees to abide by the conditions

contained within the attached Memorandum of Understanding 6etween the parties.
� � 2. �ONTRACT TIME . Work under this Agreement shal( be commenced by
Monday,June 2,1997,and shall be completed by May 1, 1998.
3. PAYMENT. The COUNTY agrees to pay, and the CONSULTANT agrees to
� accept, in full payment for the completion of the PRO)ECT and performance of this Contract,
1 the amount of Sixty-four Thousand, two-hundred and fifty and OOh00 dollars($64,250.00).
Payment of this amount will be made as described on the attached Payment Schedule and
� approval by the County Representative in accordance with Pitkin Counry Finance Depart- �
� ment procedures.
4. CONTRACT DO M NT , The following described documents are agreed
to be binding Contrad Documents and are incorporated herein by this reference. In the
event that any provision of one Contract Document conFlids with the provision of another, ,

iAssistant County Manager shall decide any and all questions that may arise as to the quality '
� and acceptability of materials furnished, work performed, rate of progress of the work, '

! questions as to the compliance with the Contract on the part of the CONSULTANT but shall

have no responsibiliry to direct or supervise the work or the CONSULTANTS means,
� methods and procedures not in conflict with this Contrad. i
� 7. NO WAIVER OF TERMS. No waiver of default by either party of any of the
Iterms,covenants or conditions hereof to be performed, kept and observed by the other party '(

shall be construed, or operate as, a waiver of any subsequent default of any of the terms,
covenants or conditions herein contained,to be performed, kept and observed by the other ��
party.
8. WAIVER OF PRESUMPTION. This Agreement was negotiated and reviewed
through the mutual efforts of the parties hereto and the parties agree that no construction
shall be made or presumption shall arise for or against either party based on any alleged

1. The COUNTY conducted as ftequest for Proposals process to select a qualified �
! consultant to assist them wiYh the development of a strategic plan for the
operations of the county;and,
� 2. The CONSULTANTS were seleded as the top-ranked proposer through the

Request For Proposals process;and,
3. During the selection process,the Seledion Committee expressed a concem
about personnel from the CONSULTANTS consult in other local community
' E efforts or for other local private sector companies. In certain cases,this
additional work could lead to the perception that the CONSULTANTS may
- j compromise their work on the Pitkin County Strategic Plan.
� NOW,T!-IEREFORE,in consideration of the above premises,the parties agree as
� , fo/lows:

� 1. If the CONSULTAI�ITS are requested,either separately or together,to perform
any consulting services for other local public en[ities and/or private companies,
� the CONSULTANTS agree to inform the COUNTY of the scope and nature of �
, ` such services prior to accepting the offer.

2. The COUNTY shall review the scope and nature of the proposed services and I
• , determine if it may compromise the strategic planning services being provided ;
by the CONSULTANTS.
3. If it is determined by the COUNTY that the proposed services may compromise
the strategic planning work being provided by the CONSULTANT,the
� CoUNTY shall work with the CONSULTANT to modify the scope and nature of ;. •
the services so that no conflicts regarding the strategic planning services arise. tj'

Process.The RFP was very thorough and understandable.JKA has developed strategic ?"
; plans for loca!govemments and federal agencies. Most recently JKA has completed
strategic plans for Washoe County,Nevada and the United States Focest Service's '
National Office for the Department of Recreation,Heritage,and Wilderness Resources. '
We appreciate the time and thought that has already gone into your strategic planning
effort.

� �:_ ' County governments have a unique challenge in that they must respond to mandated
services and disparate communities with different issues.When budget issues arise,rnost �;,•�
governments initially respond with cuts in operational expenses.This provides short term "y�.
relief but is unsustainable.The underlying question is,what is the appropriate role for .. �ii
county govemtnent and what services should it provide.Recognizing this,Pitkin County „�
has chosen to embark on a strategic planning process. j�
We agree that a community based SVategic Plan can help identify appropriate priorities �f
for Pitkin County.This then can lead to a budget and revenues which support,and are

j� One of the primary tenants of our work is that most communities are capable of managing
a significant portion of their own environment. Therefore,we ask both govemment and
( citizens to reflect on the following three questions: _

1.What can people do for themselves?
2.What can government facilitate and turn over to its people?
3.What must government do or regulate?

We have found ihat govemments have a tendency to operate from the third precept. �
Through strategic planning,governments can begin to concentrate on the first two 7
precepts.The implementation,in part,becomes an exercise in community empowerment. •
During his consulting work over the past 30 years,3ames Kent has identified[he cycle of
� issues:emerging,existing,and disruptive.Emerging issues can only be discovered in the �'
informal networks of citizens,and at this level they can be addressed efficiently.If an *:� �
issue is not addressed at the emerging stage,then it is said to exist.Existing issues aze in �'�,

usually equipped to deal with because they must be dealt with in the political arena :
However,this takes significant staff and elected official time:reports are written,public ',t.�, ;_ .
' meetings aze held,regulations are debated.While this is an essentia(part of govemance, �
� our goal is to preserve this forum for appropriate issues,not ones that could have been "i
= addressed earlier and in a less resource intensive manner,see exhibit 1.Our approach to '
st[ategic planning involves iooking for opportunities to resolve issues at their earliest
point with optimal citizen involvement.

PROPOSAL ASSUMPTIONS

� This proposal assumes that the consultants will be primarily responsible for designing
and keeping the process on track.Consultants will be the primary workforce for the first
I four Tasks and will serve as facilitators to staff for the final five Tasks. �
� � Since the RFP was so specific about fhe work to be performed,we did not fee]the need to
; ; comment on each of the numb�red work items.We assumed that each numbered work
item would be performed and have noted additional information about our approach to
1 performance.

I Professional fees will be billed at$100 per hour and costs listed are to provide services
� described.We will bill for any additional work for any task at$100 per hour.Any
additional work will be agreed to by the client and consultant.

There are three aspects to an environmental scan for strategic planning: 1.)a pretiminary ; .:,,
assessment of the organization's intemal environment,2.)an assessment of the extemal
environment,and 3.)an assessment of larger trends which are affecting or may soon ��;a;:� ''
affect those environments.The goal of this stage is to shaze information with the public ''=• "
regarding the County's exisGng budgei and services while announcing the beginning of a � '�
public strategic planning process.The first two scan aspects will be addressed in this task : <
and the third wil]be addressed in the second task, ��°.,�'. �

_ Our intemal assessment will rely on guidance from the Steering Committee, Board of
County Commissioners,and previous County efforts such as the 1996 Values ;,r
Conference.Supplemental information will be devetoped from selected interviews with
identified intemal stakeholders. ;; _
; Our extemal stakeholder assessment will involve two tracks:information shazing and £.
issue scoping.The information sharing effort will be centered on identifying informal �/
_ , community networks and on a mufti-page newspaper insert which frames the existing �
situation and explains the strategic planning process and oppoRUnities for involvement. �
The insert will include an opportunity for response and will be developed with significant
staff involvement.A recorded Grassroots TV show with kwo members of the Steering
. �
Committee and consultant will also be employed in this effort. Information about what �
� services the County current[y funds will be placed in the various networks that exisi
1 throughout the county and wil!be supported with hands-on written materials located at "
_ � various informal gathering places throughout the county. Afrer this context is
� established,then county staff can distribute information to county residents via the
i newspaper inserc.

� The issue scoping will be drawn from the above insert responses and stakeholder
� gatherings in seven geographic azeas:Redstone/Crystal River,Frying Pan,Old
; Snowmass,Brush Creek,Woody Creek,Snowmass Village,and Aspen.

A. The performance of work under the Contract may be terminated by the • �'n

(1) Whenever the Consuitant shall default in pertormance of this Contract -�
in accordance with its terms, and fails to cure or show cause why such
failure to perform should be excused within ten (10) days �or longer as
the County may allow or shorter, but not less than three (3) days, for
failure to provide proof of insurance or maintenance of any dangerous
� condition► after hand-delivery or mailing to the Consultant ot a notice
� specifying the default. If mailed, said notice shall be sent by certified
maii, retum receipt requested, to the address specified herein for the
Consultant. �
The Consultant shal( not be in default by reasons ot any failure in
performance of this Contrect in accordance with its terms if such faifure
arises out of causes beyond the control and without the fault or negli-
gence of the Consultant. Such causes may include, but are not ''
restricted to, acts of God, natural disasters, strikes, or freight {
embargoes, but in every case the failure to perform must be beyond the
' control and without the fault or negligence of the Consultant. Upon '
request of the Consultant, the County shal) ascertain the facts and

G. Method of Appeal. If the Consultant disagrees with the County's �

� response shall be final and conclusive unless within thirty (30) days from the
; date of receipt of such response the Consultant submits the dispute to a

A. Once each four (4) weeks, or whenever convenient to both the County and
the Consultant or as otherwise provided in the contract documents, the

purpose of determining, by accepted accounting and auditing standards, compliance
