of Pitkin County,State of Colorado,a body corpwate and politic(hereinafter referred to as the :

� WHEREAS, the County and Contractor entered into an Infergovemmental � •
Agreement on the 22th day of January 1997,for the grant of funds by the Eag(e County �',? '
Regional Transportation Authority for the purchase of the Aspen Branch of the Denver and ;°ar
l2io Grande Westem Railroad Right-of-Way; and ,��s

- WHEREAS, the date of performance of the Contractor's fiscal agency obligation �'
under the original IGA was April 15,1997,after which dafe the funds were to be retumed
to Eagle County;and
• � WHEREAS,both the County and the Contractor wish to reaffirm its commitment to
the acquisition by extending the term of the grant to June 30, 1997.

� NOW THEREFORE, in consideration of the promises and covenants and
agreements contained in the IGA and herein,fhe parties agree as follows: �

' 1. That paragraph 1(B)(iv)is hereby amended to read as follows:
- 1 Granf funds must be retumed to Eagle County if the acquisition
i of the tiUe to the Aspen Branch does not occur 6etore June 30,
1997.
�
� 2. All covenants and conditions of the IGA which are not hereby expressly
amended shall remain in full force and effect.
