! This MEMORANDUM OF UNDERSTANDING,hereinafter referred to as an MOU, ; .�
iis made and entered into by and between the Town of Sasalt,Colorado(hereinaker
the"Town")and Pitkin County,Colorado(hereinafter the"Counry"). �

�; The purpose of this MOU is to outline the cooperative relationship between the �C.
'� Town and the County for developing the proper access to the Town from the main C
- arteriai highway in the valley known as State Highway 82. `

• �, III. Introduction
r
!n 1936,Pitkin and Eagle Counties agreed to reconstruct the Emma Bridge at a point
near Basait where the bridge would be bisected equally between the counties. The =
- E� purpose of this placement was to equally share in the costs of reconsiruding the
' bridge,which was washed away at iYs original placement upstream in the spring
_ - j. run-off of 1935. In 1989,the Coiorado Department of Transportation(CDoI)
i placed certain improvements to State Highway 82 known as the"Basalt Bypass".
' These improvements made the Emma Bridge part of the new route to the Basalt
{ business district from Highway 82. (n recent years,the Town has conducted
'�` annexations which have left the area adjacent to the Emma Bridge as an
unincorporated island surrounded on all sides by the Town or incorporated Eagle
_ � Counry.
i
� In 1992,Pitkin County inspected and rated the bridges on its roadways as a part of
• 6
� its bridge improvement program. The Emma Bridge was rated as deficient(48 out
. of a possible 100 points)and is now the last deficient bridge in need of replacement
• on the county road system. In 1995,Pitkin County was prepared to procure the
' services of an engineering firm to design and engineer the replacement of the Emma
Bridge. The 7own requested that the Counry delay action on the bridge
improvements so that an alternative location for a new bridge could be pursued.
' This new location would more directiy connect Midland Avenue with Highway 82 ��
over a new river crossing approximately 500-feet downstream(west)of the existing ' •
alignment(see Exhibit"A"). � _�

Now,THEREFORE,in consideration of the above premises,the parties agree as "

1. Act as the responsibie or"lead"party with respect to the construction of the

and approvals;designing and engineering the new structure and associated �. :�
' approaches; all contract administration,award of cantracts,management of '

igrant funds,grant compliance,audits and grant close-out; constructing the t': .
� bridge and road improvements necessary to provide for tfie new bridge at the
" Midiand Avenue location;and maintain and operate the bridge and roadway

- � ; � approaches once the project is complete.

� � 2. Take possession of the existing Emma Bridge,#PIT-002-00.1,either by •
j � agreement,annexation or other arrangement mutually acceptable to the County
and the Town no{ater than September t, 1998.
f � 3. Upon compietion of construction of the new bridge,the Town shall be
- � ' responsible for maintenance of the new replacement bridge on Midland
� ' Avenue,as well as the roads and approaches to the bridge. :
I 4. Comply with all provisions of the state bridge grant,including but not limited to
- � � closure of the existing Emma Bridge to vehicular traffic upon the opening of the �!
new Midland Avenue bridge. Said closure of the Emma Bridge does not
- S preclude the Town of Basalt from improving and re-opening the existing bridge
i. � consistent with state standards. However,if a reconstructed or replaced bridge
t i is opened at the Emma Bridge location in the future, it will be done at BasalYs
F ' soie expense and ownership.

� � 1. Work with the Town to administer the bridge replacement grant for the state. '
. � Said work will be primarily in an advisory role. �
� �
� 2. Upon the Town taking possession of the£mma 6ridge,the County shali release
• , � the Counry's share of the local match for the bridge grant,which is �
� approximately$84,000. 7his approximate figure may change and represents the
net of the original$90,000 minus any expenditures on emergency repairs for the
` existing Emma Bridge this spring. The County shall have no other financial
obligation for the bridge replacement project or related work. However,if the
County is reqtaired tv spend additio�al funds on emergency bridge repairs as a
� result of the 1998 spring run-off,the funds will come from the County's share of ;�-_:
