KNOW ALL MEN BY THESE PR�SENTS: :�
That the BOARD OF COUNTY COMMISSIONERS OF PITKIN COUN'PX, �-°'
COLORADO,a Home Rule County (hereinafter"Lessor"),does hereby lease, let
and demise unto Rocky Mountain Natural Gas Co. (hereinafter "I.essee"), a
Colorado corporation,its successors and assigns,for a ferm of ten years from and �

cecorde�at Book�68 Page 902,Reception#302106 of the Pitkin County real estate
rewrds.

� Pavment of Rent and Term
This Lease Agreement shall be for a term of ten(10)years. This agreement
' shall supersede that lease agreement between Ixssor and Rocky Mountain Natural
�F Gas Company recorded in Book 565 Page 631 of the real estate record of Pitkin II
` County.
}
� The rental amount for the entire ten year term shall be$3200.00,payable on
' � or before January 1,1998.

' Terms And Conditions

tLessee's leasehold interest in t6e referenced lands shall be subject to the
� following terms and wnditions:

i A. The referenced lands are solely for the installation and maintenance
3 of a meter and regulator facitity fo be used in conjunctien with the Lessee's natural
� gas transmission line. If at any time during the terms of this Agreement, Lessee
� i shait discontinue use of said line or of the facilities located on the referenced lands
i � for a period in excess of sixty(60)consecufive days,this Lease and all of Lessee's
t rights hereander shall automatically terminate and Lessee shall remove said
i ( facilities and resfore the iands to their originai condition at its sole cost.

kB. I,essee shall have the right of ingress and egress across the most direct
6 route through Wilton Jaffee Senior Park (formerly known as True Smith Park)
;; from the entrance thereto for the purpose of inspecting, repairing, maintaining,
renewing,or reptacing the property of Lessee located on the leasehold parcel and u
, shall have the right to remove any or all of such property at any fime. Upon the
f • termination of this Lease,Lessee shall remove all surface equipment and property
' and shall restore Lessor's premises as nearly as practica6le ta its original condition
at its own sole expense.

D. Lessee shall use and maintain all of its equipment and facilities on and
under the lands subject to this Lease and all associated equipment in good repair '��
and safe operating condition at all times and shall not engage in activities on such -
. ._�,
land which will unreasonabiy interfere with the use and enjoyment by the pnblic of ' �
adjoining park lands. ,
E. In the event that Lessee shatl be in default of its obligations under i�;1'.
paragraphs C or D hereof at any time during the term of this Lease, Lessor,by i -.
written notice delivered to Lessee's address as set out below,or as changed by notice �±" ,�
to Lessor from time to time,shall notify Lessee of such default. Thereafter,if said j ;
default is not remedied by Lessee within thirty (30)days of receipt of said notice, '
Lessor may, at is own option, declare this Lease and Lessee's further rights i '
thereunder terminated and forfeited. �

F..,. ' , F. At the end of the term set out above,this Lease shall automatically •
t renew for a period of one calendar year, unless either party by written notice,
' delivered to the other party at least thirty (30) days in advance of the expiration
? date,shall notify the other party of its election to terminate this Lease. Likewise,
this lease shall be extended automatically from year to year thereafter in the absence �
� ot a termination notice delivered at least thirty(30}days in advance of the date of
i expiration of the extended term. The annual rental for any renewal term shall be
� ' $320.00 payab►e on or before the anniversary date of this lease for the renewai year.

`. G. Lessee agrees to indemnify and hold Lessor harmless from any and all E
�� damages or claims which may arise out of Lessee's operations on the Ieased ��
- ;, premises,except those claims which arise out of Lessor's own negligence.

- f i Lessee agrees to investigate,process,respond to,adjust,provide defense for and
defend,pay or settle all claims,demands,or lawsuits related hereto at its sole expense
;� and shall bear all other wsts and expenses related thereto,even if the daim,demand
� or lawsuit is grovndless,false or fraudulent

i To fund this indemnity,in whole or in patt,the Lessee shall secure and main-
j tain for the term of its contraclual relationship with the County such insurance
� policies,from companies licensed in the State of Colorado or admitted surplus lines
E carrier, as will protect itself, the County (with the County named as additional
h insured) and others as specified, from claims for bodily in,juries, death, personal
injury or property damage,which may arise out of or result from the Consultant's .
acts,errors or omissions. The following insurance coverage, at or above the limits
indicated and including such endorsements as are indicated by an"X",are required:

Certitirates of Insurance with the County is agreed to be a materiai breach of any
contract and grounds for rescission or termination. These Certificates of Insurance u�
. shall contain a provision that coverage afforded under the policies will not be canceled �`!;
, or materialiy altered unless at Ieast thirty(30)calendar days prior written notice by ��)�

Lessee represents that it covers its primary property,motor vehicie,and general

' H. Lessee shall, at ifs expense, comply with al! applicable laws,

� 6 protection, waste disposal, and water and air quality, and furnish satisfactory
:` evidence of such compliance upon request of Lessor.

' Should any discharge, leakage, spillage, emission or pollution of any type .
occur upon or arise from the premises covered hereunder as a zesult of Lessee's use, � ;
presence, operafions or exercise of the rights granted hereunder, Lessee shall
