F WHEREAS,the County currently holds Five Hundred Thousand DolIars(�SOO,OOOAO)in ,
� the form of a Division of Local Affairs Grant to be urilized for the sole pLUpose of acquiring the '
Aspen Branch of the Denver&Rio Grande right-of-way(the"Railroad Corridor");and �

;i VVfiEREAS,the Authority and the individual governmentat entities forming that Auihoriry �'`
• � desire to utilize those funds for the purQose of acquiring that right-of-way.

� NOW,THEREFORE,in mutual considerarion of the covanants,condirions and promises .
{ set forth herein,the parties hereto agree as follows:

� 1. The Inter$2vernmental Apreement. 'The Authority herein agrees that it will
� Si incoiporate this entire Agreement into an amended intergovernmenta!agreement binding both the
i� Authority aad each member formin�that Authority to the teims and conditions of this Agreemeat
<i As long as�mendments to the existing Intergoverrunental A�eement stablishing the Authority
i i maintain the existence of the Authority in a manner consistent with alI provisions set forth herein,
i' the County has no objecrion ta amending the existing Intergovernmental Agreement. The County
�! shall not participate as a forming member of the Authority through the amended intergoveramental �
agreement; rather,it shalt canuibute the Five Hundred Thousand Dollars(�500,000.00)Yo the
� purchase of the Railroad Comdor under the teims and conditions of ttris Agreement. �
E , �� 2. The Grant. Attached hereto as Exhibit 1 is a true and accurate copy of the Con�act
between the County and the Department of Locai Affairs (DLA), State of Colorado, which I
agreement resuited in the receipt of Five Hundred Thoasand Dollars($500,000.00). The Authority R ,
' herein agees that it will undertake and fulfilI aII obligations imposed apon Garfield County through �
Extubit 1,including,but not limited to,fulfillment of all the conditions of purchase set forth in the �
Scope of Services attached to E:chibit 1,to the satisfaction of the DLA.

5. Consideration.

�� ' a. In consideration for the monetary payment set forth herein, the Authority -
� ag�ees that it shall purchase the Aspen Branch of the Denver&Rio Grande rightrof-way on
} or before June 3Q 1997,the terms and conditions of ttus Agreement shall bmd the Authority
. � and all members of the Authority through incorporation of the terms and conditions of this i
� ' Agreement in an Amended Intergovemmental Agreement. �

j i diverted to other putposes will be retumed to the Counry without deiay.

� ! b. The Authoriry shall maintain all records pertaining to this Agreement for a �
' ` m;r,;.�.um of five(5)years,unless a greater tune is required by Exhibit 1,and all such ' �
� ' records may be subject to an audi[by Federal,State or County aud'ztors,or their designees �
, as requested. If misuse of funds is discovered by the auditor,the Authority shall retum said i .
' funds to the Counry within thirty(30)days of notificarion by the County.

inspections during normal business hours at the c�nvenience of the Authority with forty-
