OF PITKIN COUNTY,COLORADO REGARDING THE SALE OF � ;"•`:
COUNTY PROPERTY KNOWN AS THE MASCOTTE 99 TO THE CITY OF ASPEN �`�' ',�'

1. Pitkin County owns property known as the Mascotte 99,as more specifically � ,- ..
described on Exhibit A attached hereto and incorporated by this reference.

- 2. Pitkin County has agreed to purchase the Hummingbird Lode property from ''
James and Merilee Auster pursuant to that contract dated April 9,1997,as amended July �
, :.
9,1997,with closing scheduled for January 2,1998. .
, .
3. Despite contributions from the public,Pitkin County Ogen Space and Trails !:
funds,and the City of Aspen,there is still a shortfall of funds necessary for closing. '

4. The City of Aspen,at the request of Pitkin County,has agreed to purchase ���.ji
the Mascotte 99 from the County at a price which is equal to the balance of the shortfall ��
needed to close on the Hummingbird,but in no event to exceed$394,000 and has agreed :�
- that it currently has funds available for the purpose on the following conditions: `'�

a. Pitkin County shall be the primary coordinating party
to take such actions as are necessary to utilize portions of the
' . Moore open space parcel for a transit facility, including the
negotiation for acquisition of an appropriate replacement
� ; property in anticipation of a 1998 ballot issue.
b. The City oF Aspen agrees to a restriction on the use of "
the Property for open space and park purposes except as stated
herein.
- c. The City of Aspen agrees to the reservation by the ;
County of the right to locate an access easement to the �
; Ardmore property currently owned by the United States Forest
Service no greater than 20 feet in width,within ten years from �
the date of the conveyance of the Property and that the right .
shall expire if not exercised within that time;provided that the
County agrees that it shall first use all reasonable efforts
including condemnation(but the County in its sole discretion :.
shall determine what constitutes reasonable efforts) to locate
access to the Ardmore property other than through the ���
Mascotte 99 and provided that if the County does locate the �` ' � -

• NOW THEREFORE BE IT ORDAINED by the Board of County Commissioners of �
Pifkin Counfy,Colorado that the Property be sold to the City of Aspen on the terms and
conditions set forth in paragraph 4,and that the Chairman is authorized to execute all
; documents necessary to finalize fhe transaction,including but not limited to a deed and
� � contract for sale,and/or an intergovernmental agreement with the City of Aspen
expressing the terms and conditions set forth herein,provided that any such document is
. ; first approved as to form by the County Manager and the County Attorney.

ADDENDUM TO VACANT LAND/FARM AND RANCH CONTRACT TO BUY
AND SELL REAL ESTATE BETWEEN THE CITY OF ASPEN AND PTCKIN
COUNTY FOR THE MASCOTTE 99 -

a. Purchase Price and Terms. The City shall make '
availabte at closing the total sum of$394,Q00.00. The
� County agrees that the contract price shall be the amount of
the shortfall needed to purchase the Hummingbird Lode,
which amount s6a11 not exceed$394,00.00.
b. The County is awaze that the owner of property at ,
180 West Smuggler Mountain Road,Charles Rowars,has �
illegally construcied a gazebo on this property. The County
is working with Mr.Rowars to assure that the gazebo and

any other property or improvements of Mr.Rowazs on this
' ° property will be removed by late spring. r

� c. Pitkin County shall be the primary coordinating
t party to take such actions as aze necessary to utilize
. portions of the Moore open space pazcel for a transit
