� 1. The County of Pitkin, on behalf of the Pitkin County '
Sheri:ff's Office, has submitted an application to the
Colorado Department of Transportatxon, OfFice of ,
Transportation Safety Por funding a project for
• prevention of drunken driving pursuant to Title 23 United
States Code, Section 410; and �
� 2. The County of Piticin has the authority and ,;
responsibility to fund the Pitkin County Sheriff's Office j
: and to sign contracts on behalf of the Pitkin County
Sheriff's Office; ahd
3. A resolution by the County of Pitkin fornally
approving the Contract, and authorizing the proper `
signature to be affixed to the Contract indicating such �
approval is required by the State of Colorado.
�- NOW THEREFORE BE IT 12ESOLVED by the Board of County '�
Commissioners of Pitkin County, Colorado,that the County of Pitkin �
hereby approves the term, conditions and obliqations o£ Alcohol
Incentive Grant Contract # 94-420-18-09, and hereby authorizes the
ap priate authority to sign the contract on behalf of the County

' WHEREAS, authority exists in the Law and Funds have been budgeted,
,. �propriated and atherwise made available and a sufficient
` nencumbered balance thereof remains available for payment in Fund
` umber 4Q0, Appropriation Code 312, Object Number 5120, Org Unit 9804, "
I.ontract Encumbrance Number 9597, GBL Number 09i8; and
WHEREAS, reauired a�proval, clearance and coozdination has
�een accomplished from and with appropriate agencies; and
� WHEREAS, the State is authorized under Sections 43-5-401 and Z4-
� 42-103, C.R.S., as amended, to coordinate with the federal govemment
and other entities to develop and implement plans and programs
� ;'', involving all aspects and components ot traffic safety in Colorado;
and

__ � WHEREAS, pursuant to Title 23 United States Code, Sections 402, ;
408, and 41Q, and to 23 Code of Federal Regulations, Parts 924, i204
and 1205, the SLate has received approval and faderal grant funding
� for impl.ementation of its Fiscal Year 1994 Highway safety Pl.an (HSP)
:
�--- . - from the U.S. Department oE Transportation, National Highway Traffic
_ Safety Administration; and
WH:cR�.AS, �he HSP contains programs and activities which the State '
. . � has determined, in accordance with appJ.icable criteria, are designed
, to reduce the frequency and severi.ty of alcohol and other drug related
j traffic crashes or imnrove the onerational efficiency of existing
{ traffic sa£ety programs regarding the alcohol and drug impaired driver
+ in Colorado; and � ;

WHEREAS, the State solicits and reviews Applications and _;
determines which agenczes or entities would be most appropriate in '
cornpleting the objectives, conducting the activities and providing the
<� services required by rhe HSP; and �
WHEREAS, the Cantractor has submitted an AppSication to conduct z -�;i:!
certain activzties aparoved in the HSP which Application has been ?'';'=
approved by the State; and ` G

WHEREAS, the Cantractor has the technical ability to properly � ;�.�
r complete the objectives and activiCies of the Application, as

The Contractor shal2 comply with all such terms and conditions in
the psrformance of the work.
, �' 2. Tf a conflict occurs between the terms and conditions of this
Contract propez and the attachments hereto, the priority to be used to
resolve such contlict shall be as £ollows:

3. The Contractor shall carxy out the pragram, conduct a17. the
activities and provide the services described in the Scope of Work
attached hereto as Attachment A artd detailed in Attachment A.
4. Tn the performance of the work, the Contractor shall comply :e
� wiCh a1Z applicable administrative procedures and contract '
- � requirements contained in the November 1, i992 Colorado Highway Safety
Contract Management Manual.
i+ 5. The Contractor shall submit periodic and final reports to the �
� State according to the requirements of the Contract Manual and the ?�
reporting criteria set forth in page 2 of Attachment A.
6. The Contractor shall comply with the budget fvr this contract
� as sat forth in page 3 of Attachment A. The Contractor shall be
: i solely responsible Eor all costs incurred in excess of this bu8get '

lphe State share shall be comprised entiraly of federal funds made
� �vailable to the State. The State share amaunt of this Contract shall
4 � not be exceeded. If the actual total program costs are less than the
estimated total program costs as a result of the contractor's faiZure
to supply al1 of the estimated cantractor share, the state's share
shall be reduced proportionately. The term "proportionately" means
" Che ratio of actual expenditures to total planned expenditures for
�� both State and contractor shares. The contractor may increase the
, contractor shars without further state approval, hut this increase
sha11 have no impact on the state share.
- 8. The State shall reimburse the Contractor for the satisfactozy
; performance of this Contract exclusively from funds made available for
i this contract under the Highway Safety Act, Title 23, U.S.C. Section
i 410. Such reimbursement sha11 be onl.y as provided in the Contract
Manual. Such reimbursement shall be conCingent upan the contribution
by the Contractor of its particioating share as provided herein, and
shall be contingent upon the con'tinuing availability of federal funds
- under the Highway Safety Act, Title 23, U.S.C. Section 410, tor the
purposes hereof.
9. The term of this Contract shall begin on the effective date
and shall terminate on Sentember 30, 1994. The effective date of this
Contract shall be the date the reqv.ired signature approval of the
State Controller is obtained on this Contract, as evidenced by the
_ - -- date first appearing above. Contractor agrees that any contract work
_ performed or costs incurred prior to the ef�ective date shall not be
compensated under the Carms of this Contract.
, l0. The Contractor agrees that any subcontzact entered into under
this Contract sha1.1 meet all applicable state and federal
requizements, including the requirements in Title 49, C.F.R. Section
18.36 concerning competitive procurements, and must be approved by the
J Director, Office of Transportation Safety, prior to execution.
! Contractor shall not assign this Contract without prior written �
approval ot the State: any assignment without such approvaZ shall be ,
void.
� 11. a) Termination Due �o Loss of Fundina. The parties hereto
expressly recognize the Contractor is to be paid, reimbursed, ar ;+�i�>
otherwise compensated solely with federal funds provided to the State �"`'_'
for the puzpose af contracting for the services provided for herein. '4
Therefore, the Contxactor expressly understands and agrees all zts ;j,:
rights, demands and claims to compensation arising under this Contraet
are contingent upon receipt o£ such Eunds by the State. In the event jf !
such tunds or any part thereof are not received by the State, the
' State may immediately terminate or amend this Contract. '' '

b) Terniination for Cause. If, for any cause, the Contractor
� Zall £ail to fulfill in a timely and proper manner its obligations
nder this Contract, or if the Contzactor shall violate any ot the
'ovenants, agreements or stipulations o£ this Contract, the State
hall thereupon have the right to terminate this Coneract for cause by
�°��iving written notice to the Contractor of such terntination and
pecifying the effective date thereof, at least 30 days before the
�:ffective date of such termination. In that event, all finished or
iinfinished documents, data, studies, surveys, drawings, maps, models,
��hotographs and reports or other materia2 prepared by the Contractor
-- �inder this Contract shall, at the option of the State, become its
� ��roperty, and the Contractor shall be entitled to receive just and
i;quitable compensation for any satisfactory work completed on such
� (3ocuments and other materials.
4 Not withstanding the above, the Contractor shall not be reliaved of
liability to the State for any damages sustained by the State by
virtue of a breach of the Contract by the Contractor, and the State
may withhold any payments to the Contractor for the purpose of setoff
J until such time as the exact amount of damages due the State from the
:'��•: ; Contractor is detexmined.
c? Tennination for Convenience_ The State may terminate this
. Contract at any time the State detex�nines the purposes o£ the
distribution of monies under the Contract would no longer be served by
completion of the Project. The State shall ef£ect such termination by
giving written notice of termination to the Contractor and specifying
• the effective @ate thereof, at least 2Q days be£ore the effective date
of such termination.
12. Inde�endent Contractor. The Contractor shall perform its
- duties hereunder as an indenendent contractor and not as an employee.
- Neither the Contractor nor any agent or employee of the Contractor
shall be, or shall lae deemed to be, an agent or employee of the State,
and tkxey shall have no authorization, express or implied, to bind the
State to any agreements, settlements, liability, or understanding
except as e�ressly set forth herein. The Contractor shaZl be
responsible to the State for the ultimate results oE performance
required hereunder but shall not be subject to the direction and
control of the State as to the means and methods of accomplishing the
results. The specifications in this Contract of particular
performance standazds the State deems essential to proper performance
' and Contract value ska12 in no event be deemed to alter this
relationship. Contractor shall pay when due all required employment
taxes and income tax withhoiding, incZuding aZl federal and State
income tax on any moneys paid pursuant to this Grant Contzact. The
� Contractor shall provide and keep in force worker`s compensation fand
show proo£ o£ such insurance) and unemployment compensation insurance
in the amounts required by law, and shall be solely responsible for
� the acts of the Contractor, its employees and agents. The Contractor
acknowledges that Contractor and its employees are not entitled to the
' benefits of worker's compensation insuranee ox unemployment insurance
unless the Contractor or a third party provides such coverage and that
the State daes not pay for or otherwise provide such coverage.
13. The Special Provisions attached hereto are hereby made a part
hereof.
