� RECITAIS ,
� � 1. Pitkin County, a Colorado home-rule county, is the owner,
sponsor and operator of the Aspen/Pitkin County Airport (Sardy
Field), located in the vicinity of Aspen, Colorado, and has the
� authority to regulate commercial activities and to lease and
license space at the Airport, pursuant to, inter al'a, 1973 C.R.S.
� _ � 41-4-101 et s. ea•, 30-35-202, Title IV of the Pitkin County Code,
and Section 8.7 of the Pitkin County Home Rule Charter; and
2. National Car Rental System, Inc., is a present on-Airport �
� rental car concessionaire under a License and Use Agreement dated
October 1, 1942, and terminating on April 30, 1995; and ":
�`„A- 3. National suspended operations at the Aspen-Pitkin County •
Airport as of October 31, 1993, and Section 27 of the Agreement
_.- between National and the County states that "Licensee shall
not...subZicense the Location or any part thereof...without the
� prior written consent of the County...which consent shall not be :
i unreasonably withheld..."; and
' 4. National has formally requested permission from the :Y
- -, -- County to sub-license the Agreement to Westrac, Inc_, d/b/a Thrifty �?
Car Rental; and
5. Westrac. Inc. has been a signatory off-airport rental car
operator since Maich of 1993 and has demonstrated its ability to �� r
timely report its airport related business and submit revenues owed �� _,
to Che County, and is willing to terminate the off-airport rental �
� car Agreement between Westrac and the County; and
� �
S 6. The County finds it in the best interests of the .
� residents and guests of the County to encourage tenant spaces at s
the airport to be filled with operating businesses; �;

ed, subject to completion of all payments and other responsibili-
" ties which arose out of the period of the off-airport Agreement. �

Based on our earlier phone conversation, please accept this letter as a formai.
request to approve a sub-Iicense agreement so that Westrac Inc., d.b.a. Thrifty
Car Rental, can occupy our space at the Aspen/Pitkin Countq Airport commencing
ss soon as possible and terminating April 30, 1995. National would continue to ,:* "
pay its rent to the Airport as Hell as the minimum annual guarantee through ' s
November 3D, 1994. Effecti-- ➢ecember 1, 1994 through April 30, 1995, Thrifty
� xill pay the rent including :he minimum annual guarantee directly to the
Airport. For the period of beneficial occupancy through November 30, 1994, �
Thrifty will pay i0X of its revenue generated at the Airport to National and
