1. On September 29, 1994,George M.Wilkinson and Fidelity Trust Building,Inc.
filed an action against the Counry based upon violation of the Section 1983 Federal Civil Rights
Act. In addition to naming Pitkin County, Wilkinson also several staff members of Pitk�n
�� ` County in their official capacity as defendants, including the County Attomey Tim Whiuitt.
2. Such included defendantistaff inembers may be called upon as witnesses in this
matter, which makes it impossible for the County Attorney's office to defend this lawsuit as
counsel for the Board.
3. Based upon the foregoing,there exists a need for outside counsel to be retained

to defend Wilkinson's lawsuit on behalf of the Coumy.
4. The firm of Shaw, Spangler and Roth has been suggested as the appropriate
outside counsel for this matter. The firm has been used by Pitkin County in the past and
� ;�, specializes in federal lidgation.

WHEREFORE, be it resolved by the Board of County Commissioners that the Board
approve the employment of outside counsel to defend Pitkin Counry in Wilkinson v. Silvia
Davis.et al.,United States District Court Case No. 94 K 2244,and that the law firm of Shaw,
SpangIer and Roth be retained as counseL
