County"), the Diane H. Smith Trust (hereinafter "Trust"), Fritz and t t,
Fabienne Benedict (hereinafter "Benedict") and AVR Realty The Aspen y:•
Preserve (hereinafter "AVR") . ��`:

WHEREAS, the Diane H. Smith Trust, as the successor in
interest to Diane Smith and James Smith, donated and contributed
' certain property and water rights for the creation of the Northstar ;;,;-
Nature Preserve located along the Roaring Fork River immediately
upstream from the City of Aspen; and' v
�;,.
;, WHEREAS, the intention of the parties in that transaction was '
' to convey certain property and water rights appurtenant to the ��
' � property for the creation of the Northstar Nature Preserve; and
��;.
WHEREAS, substantial value exists to all parties that maintain
existing riparian habitat, and the existing visual resources of the
ponds described as being located on the AVR and Benedict proper-
- ties; and
�;
� WHEREAS, the Trust is the owner of the U.S. Green Ditch �
-�� original construction water right decreed for 1.0 cfs in C.A. No. �.^
' `� 3082, Garfield County District Court on August 25, 1936. The '�
� Trust's predecesso; in interest was the sole claimant of and �;��
3 subsequently conveyed to The Nature Conservancy, the U.S. Green
_ � Ditch No. 2 water right decreed for 1.0 cfs in C.A. No. 4033,
Garfield County District Court, on October 24, 1952, with an
appropriation date of June 1, 1919. The Trust's predecessor in
^. interest was the sole claimant of and subsequently conveyed to The
; Nature Conservancy, an undivided one-third (1/3) interest in the
k U.S. Green Ditch First Enlargement water right decreed for 3.0 cfs .
; n in said C.A. No. 4033 with an appropriation date of June 1, 1948; 4
the Trust owns the remaining 2/3 interest in said water right.
---� Collectively, these water rights shall be referenced to herein as
� "the subject water rights". The County has succeeded to the �'
$' interests of The Nature Conservancy; and �;
� �
, � WHEREAS, U.S. Green Ditch and its enlargement historically {; ;
! irrigated up to 40 acres upon land now belonging to the Trust and �_• ,
the County and the U.S. Green Ditch No. 2 water right historically � . s
i irrigated up to 20 acres upon land now belonging to the County; and `
i �
� WHEREAS, certain aesthetic, recreational, fish propagation and !:.
j wildlife habitat ponds have been constructed by various means ,,,:�
i located upon property owned by AVR (known as the Preserve Subdivi- , , `."�+�•,
sion) which property is described in Exhibit "A" and Benedict which �^ -
_. property is described in Exhibit "B" hereto. Additional irrigation 4. �
• or aesthetic ponds may be created or benefitted by any water in �
excess of the amounts necessary to augment the evaporative losses
from the Preserve and Benedict Ponds from the water rights
described herein; and

� WHEREAS, the parties wish to set forth their understanding _y•:~':., �
� with regard to uses of the subject water riqhts consumptive use ' "
credits accruing by virtue of its historical use by this Agreement. ��;'" ��',�

NOW THEREFORE, for and in consideration of mutual promises and i-r';�.:,-;'

1. The Trust and the County shall be permitted to claim consump- ��4�"
; tive use credit for that portion of the U.S. Green Ditch and � .:;��!,, '
; its enlargement water rights historically utilized for � .f,�::;' "
irrigation upon property now owned by the County subject to ;.;:;;,:',r: ":.
' the terms of this Agreement.This Agreement does not address or
j concern itselP with the use and operation of the U.S. Green t� ''
No. 2 Ditch water right. By this Agreement the parties ,�•: '
memorialize their understanding and relationships concerninq `s' .k '
' ownership and use of the U.S. Green Ditch water right, s, ,

2. The Trust, or its designees, shall be solely responsible for �• -';
i all enqineering and legal costs associated with obtaining a ;:��
j judicial finding quantifying the historic consumptive use
l credits attributable to exercise of the U.S. Green Ditch

� original construction and enlargement water rights upon the • .�.
Trust and the County property. The Trust, or its designees,
shall employ such attorneys and engineers as they deem
advisable for purposes of accomplishing these goals; the Trust �
i or its designees shall not be responsible for the payment of
attorneys or engineering fees which may be incurred by the
� County. Provided however, the County shall be permitted to
I terminate this Agreement pursuant to paragraph 4, below, or :
I may intervene as a co-applicant in any WaCer Court proceedings
filed by the Trust, or its designees, pursuant to this Agree- � .;i;"�
ment. The par�ies shall retain all ownership of and ability
to assign any excess consumptive use credits attributable to
. the historic exercise of the U.S. Green Ditch water rights in
relation to the ownership interest in said water rights. �

3. The purposes for which any consumptive use credits quantified
for the historic operatian of the Z3.S. Green Ditch water � .�
� rights are as follows:

A. First to maintain land now irriqated by the Trust and
� County;
� B. Second , to augment or replace to the Roaring Fork stream :`
� regime out-of-priority depletions occasioned by the �:
evaporative loss occurring from any ponds located upon t
� the property of AVR described in Exhibit nA° or property � *!
owned or controlled by Benedict which is described in
Exhibit "B". �

5. Bindinv Aqreement. This Agreement shall inure to the benefit ��`�
of and be binding upon the heirs, executors, administrators,
successors, and assigns of the parties hereto.
6. E�tire Aareement of the Parties. This Agreement constitutes i_,
the entire agreement between the parties and supersedes all �
prior agreements, offers, acceptances and understandings of
the parties with respect to the subject matter hereof. All � '
prior and contemporaneous conversations, negotiations, �
possible alleged aqreements, representations, covenants and
- — warranties concerning the subject matter hereof are merged
herein.
7. Recordation.l Following execution of this Agreement by the �
parties hereto, either party may cause this Agreement or a •
' ! memorandum thereof to be recorded in the County Clerk and �"�
I Recorder's Office of any applicable county and in any other
applicable government office.
8. Authoritv of Sianatures. By signing this Agreement the 1�
parties acknowledqe and represent to one another that all ��5; �i,�,
procedures necessary to validly contract and execute this �.,
Agreement have been performed and that the persons signing for ���`
