WHEREAS, by Inter.governmental Agreement dated November 21, t'`��

;� 1983, as amended by that Supplemental Agreement dated November 21, �`
' 1983; as amended by that Amendment to Intergovernmental Agreement �
� dated January 23, 1984; and as amended by that Amended "��r,
''� Intergovernmental Agreement for Transit Agency dated June 9, 1986 ` �i"
(hereinafter all said Agreements and Amendments to be referred to ' ��
'-,� collectively as "Intergovernmental Agreement"), the City of Aspen, �
Colorado, and the Board of County Commissioners of Pitkin County,
:'; � Colorado, formed and constituted the Roaring Fork Transit Agency to
establish an organizational framework to provide public
``+ transportation throughout Pitkin County and its environs, to
`� provide an alternative to the private automobile, and to create and
operate a viable transportation service to assist in carrying out j7=�`
?K environmental and conservation policies for the benefit of the
; inhabitants, visitors and envirorunents of the City of Aspen and
� County of Pitkin.

` WHEREAS, State Highway 82 is the only state highway providing � ,��,
� access to the City of Aspen, which is the Pitkin County seat, and
Pitkin Counity is geographically established in relation to Eagle
� County such that State Highway 82 must traverse portions of Eagle �
E County, particularly in the vicinity of thQ Town of Basa].t,
_ - Colorado, to provide access to the City of Aspen from outlying
areas of Pitkin County. ;
i ,
WHEREAS, Eagle does not currently operate a transportation .4�
i service within the vicinity of the Towns of Basalt and E1 Jebel,
' � Colorado, and desires to enter into this Agreement as a means of � �
i inducing RFTA to provide transportation services on behalf of and ;
i for Eagle, subject to the terms and conditions o£ this Aqreement.

NOW, THEREFORE, in consideration of the mutual benefits to be + 'f

ARTICLE ONE t�
STATEMENT OF PURPOSE �.,..

The purpose of this Agreement is to set forth the �`� ;.
understandinq and intent of the parties with respect to the j�'. �
' provision of transportation services by RFTA to the inhabitants and ',r`i
visitors of Eagle County. ��

SCOPE OF SERVICES 't, r;

:� A. The County has awarded RFTA grant funds in the amount of '
:� TWENTY-SEVEN THOUSAND FIVE HUNDRID DOLLARS ($27,500.00) for the �
- purpose of providing public transportation services to the Basalt
�� and E1 Jebel areas of Eagle County_ '
� . B. Zn consideration for tlie monetary payment described in
�
the preceding paragraph, RFTA shall utilize aad spend the funds :,,-;�
?j provided solely for the purgoses of providing transportation and ��
=3 communter services which link Aspen, Snowmass Vxllage, � '
T'� Airport/Business Center, . WOOdy Creek, Basalt and E1 Jebel.

� ARTICLE THREE ,;'

a A. Upon the signing of the contract, the County shall pay
; monies for the first, second and third quarters and make the final
payment in October, 1994 in accordance with the regul.ar fiscal
� payment schedule. However, the County may terminate the contract r`
� between the County and RFTA (therefore terminating this Agreement)
� on thirty (3Q) days' notice if it is deemed by the County that the �4
, project is not fulfilling the program as specified in the project .
application or for other sufficient reasons. Any unexpended funds � �
may be required to be returned to the County as well as any funds �
not properly expended according to project objectives. ,�

B. Notwithstanding the above, in the event RFTA becomes ,
insolvent, or is declared bankrupt, or dissolves, then the County �I� ''

' may declare in writing that this Agreement is terminated, and al.l j;'.:.:.
LL:� rights of RFTA and obligations of the County shall thereupon ��; ,:+,r,
terminate and cease immediately. �;, ,','

C. This Agreement shall automatically be renewed for '`
successive one-year terms• on the anniversary date hereof provided r
,;; that mutually agreeable levels of support are appropriated by Eagle '(:'':-`-'r `
_ County for the year for which services are to be provided. Either "�';:.,::`-.
� — party hereto may terminate this Agreement upon thirty (30) days `r
prior written notice to the other.
- ARTICLE FOUR ;t;-
��' RFSA'S DUTZES
,'� A. RFTA shall comply with the following Requirements: ,
'r,':; i. All funds received under this Agreement shall be expended �',
f,_ .
• solely for the purpose of which granted, and any such 2�,
{n funds not so expended, including funds lost or diverted ��.
,, to other purposes, will be returned to the County.

`? ii, RFTA shall maintain adequate records of matching
5� : expenditures for reporting to the County. RFTA shall
maintain all records pertaining to this Agreement for a
_ minimum of three (3) years and may be subjected to an
;� audit by federal, state, or county auditors or their �
;'S. designees as requested. I£ misuse of funds is discovered ,�'�
-� by an auditor, RFTA shall return said misused funds to �7,,
�+ the County.
' � iii. RFTA authorizes the County to perform audits and to make
� inspections during normal business hours at the
convenience of RFTA, with forty-eight (48) hours written
is notice, for the purpose of evaluating performance under
� this Agreement-

_._:_-?j INSURANCE/INDEMNIFICATION �,
� ;,
�` To the extent permitted by Colorada, RFTA shall defend and �
� hold harmless Eagle County from and against any injury, claim or �'
damage to any third party arising out of or in connection with �,
� !� RFTA's operations under this agreement. Eagle County shall be 6._ '
added as an additional insured on RFTA's liability policy, and RFTA �
sha21, on or before the annual anniversary date of each term �_
- hereafter, provide Eagle County with a Certificate of Insurance
evidencing such insurance coverage. Nothing herein, however, is �'

D. Costs. In the event that a dispute should arise relating � -f
to the performance of the services to be provided under this
Agreement, and should that dispute result in litigation, it is "'"� r �
agreed that the prevailing party shall be entitled to recover all �;�k�
reasonable costs incurred in the defense of the claim, including � _ •
; staff time, court costs, attorney's fees, and other claim-related S'

E. Severabilitv. Should an art, term, '�x �
y p portion or
provision of this Agreement be finally decided to be in conflict i�<��
with any law of the United States or of the State of Colorado, or �
` otherwise be unenforceable or ineffectual, the validity of the
; remaining parts, terms, portion or provision shall be deemed ',yz
!i severable and shall not be affected thereby, provided such • v'.
remaining portions or provisions can be construed in substance to
constitute the agreement which the parties intended to enter into ,�
. `;
in the first instance.
� F. Integration of Other Aqreements. The transportation
;j services to be provided hereunder by RFTA shall be subject to the �:
�i Intergovernmental Agreement between the City of Aspen and the Board
� of County Commissioners of Pitkin County as hereinabove referenced, "',:i•*7'`
and subject to and in compliance with the terms and conditions of ;
�� the Urban Mass Transit Agency (UMTA) grant to RFTA referred to in
- ; said Intergovernmental Agreement_

7 G. Amendment. This Agzeement may only be amended by a
7, written agreement signed by the parties hereto and approved by the
< City Council of the City of Aspen and the Board of County
� C.ommissioners of Pitkin County.
� H. Adoption. This Agreement shall be approved by ordinance
of the Board of County Commissioners of Eagle County. '
� �� 2. Financial Obligations. The County's f inancial �
obligations under this agreement are contingent upon its receiving •
� and appropriating sufficient revenues within its budget. � �
