A. In accordance with that certain Record of Decision EA No. CO-078-2-58 dated '�?�•"
fFebruary S, 1993 the Bureau of Land Management("BLM")did in connection with the King �
_ � Mountain Land Exchange designate WRL or assigns as the patentee of three(3)parcels of land
? in Pittcin County,Cotorado described in Exhibit"A" attached hereto("Pamel 87", "Parcel 90"
€ and "Parcel 91"). On May 21, 1993,WRL received separate patents from the BLM for each
� of Parcel 87,Parcel,90 and Parcel 91. For purposes of this Agreement,Parcel 86, Parcel 87, 4
jParce[90 and Parcet 91 are collectively referred to as the "Parcels". �•
B. WRL is continuing efforts to acquire from the BLM a fourth parcel of land also
located in Pitkin County, Colorado and described in Exhibit"B"attached hereto("Parcel 86"}.
.� C. WRL is desirous of developing Parcel 90 as well as Parcel 86 if acquired.

� D. The County has asserted the position thai Parcels 87 and 91 should be sterilized
against separate development and that prior to any development Parcels 86 and 90 will require
Growth Management allotments as well as compliance with other applicable provisions of the
County Land Use Code(the "Code"). r��.

! E. WRL has agreed to make a binding commitment to assure compliance with the �4 ?=''"1

j �� Application and take such steps as may be reasonably practicable to expedite the processing of
�� said application. As a condition of the Plat Amendment and Rexoning Application approval, •

' � �> A. As a condition precedent to any separate deveIopment thereof,WRL agrees y,'

', �� described in Subparagraph 2B below) will be required to obtain a Growth Management `;
i r-� allotment. If acquired,WRL further agrees that Parcel 86,or any reconfiguration thereof,wiIl ���
? �' also be required to obtain a Growth Management allotment. For purposes of this Agreement, ''f,�
�` � the term"reco�guration" shall mean as to Parcel 90 or Parcel 86,that parcel of land resulting
_ ' from the addition or removal of lands so long as the reco�£igured parcel size is conforming in
i the RS-30 zone. The existing zoning for Parcel 90 and Parcel 86 is RS-30 and any
reconfiguration thereof will obtain such zoning. :�.

� B. WRT.has advised the County of an existing commitment to Gary Carlston -
("Carlston"), the current owner of Homestead 6, Wildcat Ranch, as evidenced by that certain
Property Exchange Agreement(the "Exchange Agreement")recorded in Book 683 at Page 552
of the records of Pitkin County, Coiorado, a copy of which is attached hereto as Exhibit"D". ;�
In accordance with the Exchange Agreement,WRL has agreed to convey[o Carlston a portion
� � of Homestead 7, Wildcat Ranch and portions of Parcel 90(which portions will be rezoned to
� i RS-160,Provision One)and Carlston has agreed to convey back to WRI.to be added into either
�� � Homestead 5, Wildcat Ranch or Parcel 90 a portion of Homestead 6. Any portions of
Homestead 6 to be added into Parcel 90 will be rezoned to RS-30. WRI,agrees to file a land
use application to obtain approval by the County of the conveyances and necessary rezoning in
connection with the Exchange Agreement and the County agrees to support such application and !:�
take such steps as may be reasonably practicable to expedite the processing of said application; �`�;� ,,..
provided however, the support of the County to the conveyances and land use application �} �"�

j � u� A. Either party shall have the right and power to bring suit in its own name �
i for any legal or equitable relief due to lack of compliance with any provisions of this
' Agreement. If any court proceedings aze instituted in connection with the rights of enforcement
and remedies provided in this Agreement,the prevailing party shall be entitled to reimbursement
of its costs and expenses, including reasonable attorneys' fees, in connection therewith.

B. The failure of either party to insist upon the strict performance of any
provisions of this Agreement or to exercise any right or option available to it, or to serve any
- notice or to institute any action, shall not be a waiver or a relinquishment for the future of any
such provision.
