1 i. Pitkin County is the owner of the former Community Center site,

' including all structures and facilities thereon.

2. Pitkin County (hereinafter the County) has entered into a Land

Lease for that property, including the remaining portion of the

' former Community Center building, with Common Ground Housi�g
�Association, Znc, jhereinafter Common Ground) for the purpose of ?�'
developing an affordable housing project on that site.

3. The County and Common Ground wish to establish guidelines, �
_ requirements and procedures whereby the public may continue to use
� some or all of the former Community Center building, under its new
status as Commoln House to the Common Ground Housing Project, for `

� approgriate purposes and to incorporate those quidelines, etc., as :
�--�1 enumerated in this Agreement, into the Land Lease.

� 4. The Parties wish to safequard and quarantee the availability of

the Common House as an amenity and convenience to Common Ground
residents and as an integral part of the Common Ground Project.

� I. GENERAL USE REGULATZONS
} A. LTMITATION ON NUMBERS: The number of persons allowed to use ,�

' i numbers of people allowed in those rooms or areas under the City '�
� � of Aspen Fire Code.
�� B. SCHEDULING: Users will be given access to the Common House :
j facilities on a first-come, first-served basis. Prospective public `

� users will schedule such use through Common Ground, which will be
� available for such scheduling during regular business hours at a

; telephone number listed in the Telephone Directory and available

i as well through County administrative offices. Prospective users �
_� � shall reserve the use of the Common House at least twa weeks, but '
' no greater than four weeks, in advance of the date of use. �

! following use and for supplying, transporting, setting up and
`� removing any chairs, tables, or other furniture or acoessories r

"� associated with their use of the room and not supplied by Common
` Ground. Roams will be left in a clean, safe and undamaged ,
condition upan completion of any allowed activity.

� II. USE OF THE MULTI-PiiRPOSE ROOM:
A. AVAILABILITY: The Multi-Purpose Room on the lower level of the
� Common House, as identified on Exhibit A, attached hereto, will be �

� (8:00 AM - 10:00 PM). The day set aside for public access will be �
`� } identified by Common Ground at the annual meeting of Common Ground, `

will also be bound by the terms of this agreement, by a majority t

purposes of groups from the public using the Common House over the

and unrestricted use of all parts of the buildinq.
� 3. A Capital Reserve Fund sufficient to repair or replace major
Common House systems or components will be funded and accounted for

in the Common Ground assessments separateZy from other accounts and '

House systems. The Capital Reserve Fund goal and cantributions to ,�,
`� the fund from Homeowners' assessments and Common House Renta3 will !

be set jointly by the parties upon occupancy of the Project and � ,
will be adjusted annually by agreement of the parties in
consideration of capital repair and replacement needs of the Common

D. REMEDY FOR N�N-PERFORMANCE: Upon a final finding of non-

� 1. Abrogate this Agreement� amend the Ground Lease on the

i property to remove the Common House from that Lease, and asswne

� full management responsibility for the Common House. County �;��
� ; management may be under a new Lease to Common Ground which allows
5 Common Ground continued use of the Coymnon House for purposes and
' activities essential to the continued operation and management of ;
� the Common Ground Housing Project. Should this action be taken by �%

i the County, Common Ground will provide to the County the funds held
'j in the Common Graund reserve fund as of the date of the action. �,

2. Amend this Agreement to clarify or amend the terms and
conditions of this Agreement.
