( WHEREAS, Meyer is the owner of certain property depicted in �='h_
iExhibit "A" and attached hereto; and

WHEREAS, Meyer has discussed the provision or sale of a trail c°� • .
i easement, or sufficient property to support trail development, to

4 Pitkin County through the Meyer Property upon the mutually �,:j
- agreeable conclusion of purchase negotiations to that end; and
WSEREAS, Pitkin County is the owner of a trail easement on the
� Arbaney-Kittle Property adjacent to the Meyer Property; and q�
WHEREAS, Pitkin County has designated a trail route through the `
Meyer Property and wishes to connect the eastern terminus of that '��
• - route to the western terminus of the easement on the Arbaney-
Kittle Property in a location designated in Exhibit "A" attached
hereto and of a design designated in Exhibit "B" attached hereto;
and
WHEREAS, the parties wish to set forth the terms under which `���
Pitkin County might gain access to and across portions of the Meyer
'� Property (as shown on Exhibit "A" and designated as "Travel and
- � Construction Area") for purposes of constructing the trail and
associated construction activity.
NOW, THEREFORE, in consideration of the mutual covenants, �'
agreements, representations and warranties herein contained, and
other good and valuable consideration, the parties hereto agree as
follows;

1. NAMED AS ADDITIONAL INSURED:
`� Pitkin County is forbidden by the terms of the Constitution of •
� the State of Colorado against indemnifying another party. .
Therefore, Pitkin County offers to name parties as additional �•'
insureds who might otherwise be liable due to acts of Pitkin County
or its contractors. Therefore, Pitkin County will name Guido P.
Meyer and Colorado Tree Ranch as additional insured under the terms
of Pitkin County's comprehensive liability insurance during the
term of construction, said coverage to be extended upon mutual _'ti:
agreement of the parties to incorporate the period of use of any

2, DESIGNATION OF ACTIVITY AREA:
Pitkin County and its contractors will limit their activity on .��<`;?•.. -

! Construction Activity Area" ("Activity Area") on Exhibit "A", ��;��'����~� .
I attached hereto. The travel route to and from the Meyer 'i�=% �'
i construction site will adhere generally to the 2ocation of the .�`:`` "'
� trail easement as designated on Exhibit "A". The boundaries of the
i Travel and Construction Activity Area will be staked by Pitkin ,:�:`-:` .
� County and Pitkin County's contractors will be instructed not to +; Y
� operate outside those staked boundaries unless under emergency s;,�i
� circumstances or unless the parties have been noticed by the ^
contractor of the necessity of operating outside those boundaries �,,: '

3. EOUIPMENT MATERIALS AND PERSONNEL: ..#��:

! Equipment and materials may be stored within the Activity Area
{ if necessary during the construction period. Equipment accessing •:
� the site from time to time durinq the construction period may +.
� include, but is not limited to, backhoes, pickup or flatbed trucks,
crane, cement trucks, dump trucks and bulldozers; provided, �;.
however, Pitkin County agrees to keep to an absolute minimum number ��j�
of trips across the Activity Area made by tracked vehicles. No ��"�.
- `� personnel will be on the site except during regular construction
, hours as noted below. No personal vehicles, campers, pets or other
personal property will be allowed within the Activity Area or any
{ other portion of the Meyer Property at any time. At no time will
i construction vehicles or equipment bloek access to or from The ���
Meyer Property in any other way with ttie use and enjoyment of 2he
Meyer Property by its residents or visitors or with emergency
access to and from The Meyer Property.

4. HOURS AND PERIOD OF ACTIVITY: �

Corps of Engineers, the Aspen-Pitkin Planning office, and the r

County, Upon completion of the trail construc6ott,an easement will be 5eld surveyed for •�``f�� `

j Beginning at the trailhead (eastem limit of the trail in Holiand Hills)and heading ; �� ;
( west, the traiI will be on the edge of an existing hay meadow. In this area clearing and ; ,:�,.j
� grubbittg will consisi of stripping the vegetation and topsoil. This will be in the areas of • s���
Station 1+00 to 12+00. �t-*. "
At Station 12+00 the trail begins to drop below the meadow. The trail from 12+00 `:��(;,
to 24+OU wiIl be along a side slope that varies from 1.5:1 to 10:1. The horizontal aligament } ',-
in this area has been selected to minimize the destruction/disturbance of existing mature � •k�'•'
• vegetation,specifically juniper trees along the route. There will be some service berry and �
� ' � other scrub vegetation grubbed and removed. Again,in this area the stripping process will
be similar to remove grasses and topsoil. _
At Station 24+00 the trail follows an existing abandoned irrigation ditch through to •
Station 36+00. The clearing and grubbing in this area wiII consist of removing extensive � �;f�
� standing dead cottonwood and willow vegetation alon� the abandoned ditch. A _ ` '
- J professional tree-cutter will be used through this area. Care will be taken to maintain
I existing live vegetation and only to remove that vegetation necessary to construct the traiI.
Both the Co]orado Degartment of Transportarion and Holy Cross Electric have been = .
contacted regazding the vegetation that could affect theiz respective facilities. `

• From 3tation 36+OD to ihe end of the trail(approximately Station 53+40)there is
_ a minor amount of vegetation, primarily grasses and low shrubs. This area is re]atively k
open.and will not require extensive grubbing.

Finally,the cut and grubbed materials will be chipped and stockpiled for use in the
�,, revegetarion process. ,
