of, the City Council of the City of Aspen, and the Soard of County ?��:::

WHEREAS, by Intergovernmental Agreement dated NovembeY 21, �
1983, as amended by that Supplemental Agreement dated November - �
21, 1463; as amended by that Ameridment to Intergovernmental �

hgreement dated January 23, 1984; and as amehded by that �lmended Y
� Intergovernmental Agreement Eor TransiC Agency dated June 9, Z986 :�
� (hereinafter all safd Agreements and Amendments to be referred to
collectively as "Intergovernmental Agreement"), the City of
' � Aspen, Colorado, and the Boazd of County Commissioners of Pitkin .
County, Colorado, formed and aonstituted the Roaring Fork Transit �`.� 1
� Agency to establish an organizational framework to provide public ':
• transportation throughout Pitkin County and its environs, to ��':
� provide an alternative to the private automoi�ile, and to create '
and operate a viable transportation service to assist in carrying
� out environmental and conservation policies for. the benefit of '
the inhabi�.ants, visitors and environments of the City of Aspen �,
and County oP Pitkin. ' -
WHERE�►S, political subdivisions and governmental entities in ''�}�
� � the St�� o� Colorado are authorized to contract and cooperate r �
with orie• another to develop, maintain and operate mass transit
sys�ems by virtue of Sections 29-1--201 et sea•, 3D-11-zQ1(1) (f),
i 31-15-711(1) (g), Colorado Revised Statutes, and Article XIV, ,
� Section 18 of the Colorado Constitution. _'

� WIIEREAS, pursuant to Section 30-i1-101(1j (f}, Colorado •
-----� Revised Statutes, Pitkin County and Garfield County have
regulatory authority with respect to mass transportation systems. � ''
By entering into this Agreement with RFTA, Garfield desires to
� ; both exercise its own authority and to deEer to Pitkin County's "� '"
� regulatory authority to the extent of this Agreement including, x[
� but not 2imited to, the authority of counties to establish fees, .
rates, charges, and to receive contributions and other support `
. from public entities to defray the cost o£ operating such �
systems. Further, by approving this Agreement, the City of Aspen
. also desires to acknowledge and defer to Pitkin County�s
authority pertaining to the provision of transportation services ��
within and to Garfield County by RFTA as set forth in this . �

In lieu of providing its own transportation services within , y ::<
the boundaries of the County of Garfield, Garfield hereby =�

if provided directly by Garfield) to visitors and inhabitants of
the County of Garfield,� includinq the inhabitants and visitors of '��
the City af Glenwood Springs on suCh tezms and conditions as may �
be agreed upon between Garfield and RFTA. Unless modified by
' written agreement, such services will be limited to servinq stops '�
at Cat}aerine's Store, Ranch at the Roaring Fork, CMC Road, and '�
Buffalo Valley. Zn additd,on, transportation services may be
. provided to serve the Aspen Glen PUD if and when a bus stop has �A:r

It is the intent of the parties that the transportatien ?' '-'�'.
services provided herein fall within the municipal exemption to �s� �

reguletion by the Yublic Utilities Commission. The garties agree ';�,sy
that if it is determined that the services provided herein are to �� `'
, be regulated by the Public Utilities Commission or any other , �.
� agency designated pursuant to Article XXV of the Colorado '
Constitution, this Agreement shall terminate and be of no further . ,�
force or effect. ' i ,

' VIII. ,
�nsurance/Indemnification �
To the extent permitted by Colorado law, RFTA shall defend � i.•
and hold harmless Garfield from and against any, injury, claim or
damage to any third party arising out of or in oonnection with i �e;
. � RFT1�'s operations under this Agreement. Garfield shall be added � ��'�
as an additional named insured, and RFTA shall, on ar before the ��!
i annual anniversary date of each term,hereafter, provide Garfield
f with a Certificate of Insurance evidencing such insurance
+ coverage. Nothing herein, however, is intended oz shall be
construed to constitute a waiver on the part pf RFTA or Garfield
� o£ the provisions of Section 24-10-101, Colorado Revised Statutes � ; _
commonly known as the Governmental Immunity Act. '

j � Termination or Dissolution

� This'•Agreei�tent shall be automatical�y renewed for successive

WHEREAS, pre-existing agreements establishing RFTA and

the several cooperating and participating jurisdictions; and
