WHEREAS,Pearce has obtained approval from the County for the Maroon Creek
Club project, which approval is evidenced by certain resolutions (the "Resolutions"),

subject to the terms and provisions hereof, to grant to the County and City, for the �7;

� and refer to the golf course as shown or the Final Plat excepting approximately 45.48 �. -
` acres thereof owed by the City, which is the "Zoiune Open Space Parcel."

; NOW, THEREFORE, for and in consideration of the mutvaI covenants and
? agreements hereafter set forth,and for other good and valuable consideration,the parties .
agree as follows:

? 1. Grant oF Easement. Subject to the terms,restrictions and conditions hereof, ''
:, 1 Pearce hereby grants to the Counry for use by members of the public a non-exclusive
�i nordic trail easement (the "Easement") across certain areas of the Golf Course. The
' County shall have the right,upon written notice to Pearce to assign its interest in this
Agreement to the Aspen/Snowmass Nordic Councii, inc. or any similar or successor '
organi2ation formed or to be formed to operate nordic trails fnr public purposes or to a
park and recreatian district[o be organized for puzposes of maintanung and operating � ` '
public trails;pmvided however,no such assignment as herein permitted shall release the �`
County from any of its duties or obijgations hereunder.

2. Use. Use of the Easement shatl be limited to winter daytime use for cross ;�:,; _�;,
country skiing. No lighted or night time use of the Easement shall be permitted. No ?".,;.�;
use of the Easement shall be permitted uniil such time as, in the reasonable judgment of -;x;. •'�•
Pearce, there exists adequate snow cover for the skiable and enjoyable passage by cross �.
country skiers. Under any circumstances no use of the Easement shall commence before ''�;-
November 15,or continue later that April I5,of each calendar year. Pearce shall notify ; i'r`'.
the County when snow cover on the Golf Course appears to be adequate to allow the ?��:`;%`..�-
County to commence use of the Easement. Usage of the Easement shall automatically j�;-;:�„�::
cease when Pearce determines that: (i) snow coverage is no longer adequate for the
skiable and enjoyable use by cross country skiers, or(ii) such cessation is necessary to '.:.��--.
avoid damage,actual or threatened,to the Golf Course. The County shallbe responsible f•: �1`�
for setting and maintaining cross country tracks by mechanized equipment or by hand; ��'�
the placement of informational trail signs and markers and keeping the trails free and
! clear of zefuse and trash ail of which shalt be performed only during dates and times ��i
when use of the Easement is allowed. While it is the right of Pearce to restrict nordic
skiing to daytime use, it shali not be the responsibility of the County, or the Nordic �
< i Counsel to enforce this restriction. Signage shatl be minimai and shall first be approved '��_
by Pearce, which approval shaIl not be unreasonably withheld or delayed. At its own �`
cost and expense,the County shall install and timely remove such gates,hridges or other t:��.'
' improvements (the "Improvements") that are necessary for the use and maintenance of
� the uail system and for the passage of track-setting equipment in the winter. The County ; `
will on an annual basis obtain the permission of Pearce prior to constructing any
Improvements, which permission shall not be unreasonably withheld or delayed. �,.;,,,
Snowmobiles and snowshoes, except for those utilized by the County or Pearce, shall ''j,�
�:
� be prohibited. No dogs shall be permitted on the trails. Use of firearms, including �
hunting, sha11 be prohibited. As to any use of the Easement,the County shali establish
j and enforce reasonable rules and regulations: (i) consistent with and in order to assure
i compliance with the terms and provisions of this Agreement,(ii)for safety purposes,and �.
(iii)as may be necessary to comply with any canditions of the Resolutions. Without limit ?
s to the foregoing,the County shall require that all skiers stay on groomed trails and shall, :
; if necessary,erect and maintain bamers to assure compliance with this requirement. This
—' Easement confers no rights,whatsoever,on the public to use the Easement for any other
purposes, except as expressly described herein. Pearce reserves the right to use and -'
't enjoy the Easement and the land beneath and the airspace above for all purposes and uses '�,
�� which do not unreasonably interfere with the use and enjoyment by the County or �

members of the public of the rights herein granted. '
3. S,�ecial Golf Course Restrictions. In addition to the restrictions set forth
above, use of the Golf Course shall be subject to the following: �

C. Each winter, the specific location of the nordic trails on the Golf �
Course shall be presented by the County to Pearce for approval, Locations may vary ��."`-'
'• from year to year based on snow conditions; physical changes that may be made to the '`"
� Golf Course,ttie need to avoid private residences and damage to the Golf Course,actual r'�
or threatened and any other appropriate circumstances.

4. Term. Use of the Easement shall commence the first winter following the ?�

year in which the endre Golf Course is used for playing golf. This Easement shall
' ternvnate if: {i)use of the Golf Course for playing golf shall cease, or(ii) the County �
� shall fail to set, operate or maintain the trails over the Golf Course for three (3) �:� .

: consecutive years. Except as provided in the preceding sentence, ttus Agreement shall
' automatically be renewed from year to year so Iong as the County sha11 comply with the !;_ .

- � 5. Non-Profit Pu oses. The purpose of this Agreement is to allow use of the
� Easement by members of the public for non-profit recreational purposes in accordance
; with the terms, provisions and conditions hereof. The Easement shall not be used for .�.
! profit or commercial pvrposes or any other purposes except as expressly allowed herein.

:� 6. Aold HarmIess and Insurance. The parties expressly acknowledge that
Pearce is entided to the benefits, protections and limitations on iiability afforded by ��
; Colorado law governing recreational easements, §33-41-101,et se�.,C.R.S. By granting �'�
�� ; the easements hereunder,Pearce shall have no obligation to repair or otherwise mainiain �
� the area within the Easement, or to insure or indemnify the County ar City For any •
injury, claim or damage to any person or property, whether alleged to have occurred
while using the Easement for any purposes or due to the eondition of any trails or
otherwise. By accepting the Easement granted hereunder, the County agrees: �'

A. To defend and hold harmless Pearce and its successors and assigns, .
to the fuli extent allowed under Colorado law, for any injury, claim or damage to any � -`;
person or property, whether alleged to have occurred whi2e�sing the Easement due to �"::'�
the condition of any trails or otherwise; '�•'.`.;;:

i B. To carry a pol'zcy insuring against such claims or losses and to add �:, �.
� Pearce as a co-insured on such policy. The County shall,on or before January i of each s-:.:; .

year and annually thereafter, furnish a Certificate of Insurance and a copy of the policy �

to Pearce as verification of the acquisition and maintenance of such insurance,the amount �-:.��4"
and adequacy of which shati meet with Pearce's approval, which approval shall not be
unreasonably withheld. The policy shall provide that, as to Pearce, the policy shall not -
lapse,be canceled,amended or modified in any way unless the insurance company shall � -
� have first given each of the parties thirty(30)days written nodce thereof at the address c;
of each insured as provided herein. For purposes of this Paragraph 7B. policies carried �
by the County with liability coverage of $250,000.00 per claim/occurrence and •
, : $750,000.00 excess iiability shall be deemed approved by Pearce; provided however,
Pearce may request the County to review the types and Iimits of coverage based on
coverage then canied by other governmentai units for like or similar risks.
; C. It is in ttze discretion of the County to allow Pearce the right,
+ excepting any portions of the Golf Course within the City of Aspen, to claim full credii
� for aii of the square footage contained within the Easement nnder the Pitkin County Land :
; Use Code in any future land use applieadon or approval relating to the Property.
. � ; 7. Enforcement. The County shall be responsible for enforcing the terms, �
ti�� provisions and conditions of this Agreement and in particular the use restrictions set forth
� in Paragraph 2 above. Pearce may, but shall not be obligated to, enforce any of the
�' terms,provisions and conditions of this Agreement and in furtherance thereof Pearce may
post signs or instali fencing for such purposes including notifying the public that private
; property is being crossed and to stay wiihin the Easement.
� 8. Notices. Notices and other communications which may be given, or are
required to be given hereunder, shall be in writing and shall be deemed given to a party
`ti ! when delivered personatly or when deposited in the United States mail with sufficient
` postage affixed and addressed to such party at the respective address shown below:

iA. Either party shall have the right and power to bring suit in its own f`��
name for any legal or equitable relief due to lack of compliance with any pmvisions of .
� this Agreement. If any court proceedings are instituted in connection with the rights of
enforcement and remedies provided in ttiis Agreemeni, the prevailing party,shali be
entitled to reimbursement of its costs and expenses,inci�ding reasonable attomeys'fees,
