2. TERMS OF CONVEYANCE. Al1 parties acknowledge that property �.y ' '�

� 4. NOT ASSIGNABLE. This contract shall not be assignable by
Grantee without Grantor's prior written consent. Except as so

bindinq upon the heirs, personal representatives, successors and r�

� 5. TITLE. (a) Title Review. Grantee shall have the right to
inspect the abstracts of instruments which affect the property.
Written notice by Grantee of unmerchantability of title or of any
other unsatisfactory title condition shown by the abstracts of
instruments which affect the property shall be signed by or on �
behalf of Grantee and given to Grantor on or before fifteen (15)
____i calendar days after execution of the Contract. If Grantor does not
receive Grantee's notice by the date(s) specified above, Grantee h•
shall be deemed to have accepted the condition of title as ��

11. CONDITION OF AND DAMAGE TO PROPERTY. The Property and I

In the event such damage is not repaired within said time or if the
! damages exceed such sum, this contract may be terminated at the -

� despite such damage, Grantee shall be entitled to credit for all
� the insurance proceeds resulting from such damage to the Property -
and Inclusions, not exceeding, however, the total purchase price.
Should any Inclusion(s) or service(s) fail or be damaged between �'
the date of this contract and the date of closing or the date of �;��
possession, whichever shall be earlier, then Grantor shall be
' liable for the repair or replacement of such Inclusion(s) or t;;;
service(s) with a unit of similar size, age and quality, or an
equivalent credit, less any insurance proceeds received by Grantee
� covering such repair or replacement. The risk of loss for any
damage to growing crops, by fire or other casualty, shall be borne �i'. `
by the party entitled to the growing crops, if any, as provided in

' 12. TIME OF ESSENCE/REMEDIES. Time is of the essence hereof. � �
. I If any note or check received as earnest money hereunder or any

� due, or if any other obligation hereunder is not performed or
i waived as herein provided, there shall be the following remedies. -4'
(a) IF THE GRANTEE IS IN DEFAULT:
Liquidated Damaqes. All payments and things of value received
; hereunder shall be forfeited by Grantee and retained on behalf of b
5 Grantor and both parties shall thereafter be released from all
- obligations hereunder. It is agreed that such payments and things
� of value are LIQUIDATED DAMAGES and (except as provided in �'�

failure to perform the obligations of this contract. Grantor
� expressly waives the remedies of specific performance and ,

(b) IF GRANTOR IS IN DEFAULT: Grantee may elect to treat this
contract as cancelled, in which case all payments and things off
value received hereunder shall be returned and Grantee may recover `.�
such damages as may be proper, or Grantee may elect to treat this �

6. Prorations: General taxes for the year of closing, based on
the mpst recent levy and the most recent assessments, rents, f'
water and sewer charqes, if any, shall be prorated to the date �
� of closing. Said proration shall be deemed to be a final �i :
_ settlement of taxes due, with any further tax charges or
credits, upon determination of final 1993 taxes, to be
� provided by or to the Grantee. Any sales, use and transfer
tax, including all real estate transfer taxes, that may accrue
� because of this transaction shall be paid by the Grantor.
`` 7. "COnditions of Title": If Grantee approves of condition of
! title, or any objection made is cured or subsequently waived
� by Grantee, then upon closing, title to the real property
subject only to the lien for current taxes, and approved or
iwaived exceptions shall be insured by a standard owner's
� policy of title insurance at the cost of the Grantee. Such
