AGREEMENT FOR RECLAhfATIOM ACTIYITIES

It is understood that the execution of this agreement does not and shal] not
be construed to create any interest in any of the subject properties.
Colorado has included sites on tracts of land owned or deeded to ?itkin County ,� �
in its Abandoned Mine Reclamation Plan ("P1an") approved by the �ffice of �� �
Surface Mining Reclamation and Enforcement of the United States Departrnent of ��i ;
the Interior on June 11, 1982 pursuant to Tit7e IV of the Surface Mining
Control and Reclamation Act of 1977. Colorado has offered to conduct, at no
. cost to Pitkin County, reclamation activities pursuant to the Plan on the
Project site. Colorado proposes to hire Contractor to perform the reclamation
activities.

the conditions described in this Agreement. _

Therefore, in consideration of the coasent and permission granted herein to ; �
Colorado and Contractor by Pitkin County, Colorado and Cantractor aaree with � �

7. Pitkin County grants permissiort to the full extent o` its authority to
Colorado, its agents, emp7oyees, and contractors, including Gantrac�r, to
enter upon the projett site for the length of time necessary (hut not
exceeding 24 months) to complete the wark described in the "Projec2 P�arrative"
(Exhibit A to this Agreement) which is attached to and made a part of this
Agreement {the "Work"). Co7orado sha11 give reasonable notice to Pitkin
County before �ts entry and its commencement of the Work. In giving consent
to this entry, Pitl:in Courrty waives no rights which are c�nferreG by virwe of
the lanpuage contained in Title IV of the Surface Mining ;,ontro7 and
Reclamation Act of 1977, 30 U.S.C. 4 1237 et seq., nr tne Golorado 5urface °

2. Contractor shall effect, at no cost to Pitkin County, the Work described
in Exhibit A in a good and workmanlike manner. The Work shall, once
cammenced, be diligently pursued to completion and without unreasonable
delay. Contractor guarantees that the Work shali be �re. from defects in �
materials and workmanship and that all materials incorporated into the Work
shall be fit for the use and purpose intended and shall not be subject to aqy •
chattel mortgage, security agreement, or other interest in a third party. -:�" '

3. In effecting the Work unde* this Agreement, Contractor, its agents, „��,j�
employees, and subcontractors, shall comply with all applicable federel, ,
state, and 1oca1 1aws, rules, and regu7ations. All Work required to be
performed by licensed personnel shall be carried out by personnel so licensed. __ . .
4. A71 persons performing any Work under this Agreement, including all ���.':
employees, agents, servants, and subcontractors engaged by Contractor shall be .'` `
at all times the sole employees of and subject to the control and direction of ���.:�i `
Contractor and shall not be the employees or subject to the direction or �: ;'�. ;�.:.
control of Pitkin County in any way. 'r'

5. Contractor shall pay all sales, occupational, gross receipts, � ,`�
compensating, business, excise, or other taxes of any kind levied or imposed
in connection with the Work. In addition, the contractor shall furnish the
landowner with valid lien waivers duly executed by the contractor and by a71
. other persons or other entities which might otherwise acquire liens upon the
lands described above pursuant to the Colorado General Mechanics' Lien Act,
section 38-22-101-133 C.R.S.
�" 6. Contractor shall assume the risk of all injuries, including death _ � �
resulting therefrom, to persons, (including employees and contractors of � •�
Contractor, Pitkin County or any third party) and damage to and destruction of �?
praperty resulting directly or indirectly, wholly or in part, from the
prosecution or omission of any work or obligation undertaken or required by �;
this Agreement or the occupation and possession of the premises, and shall
indemnify and save harmless Pitkin County (including its officers, employees, 'E�
agents, and affiliated companies) fran and against any and all liability �,
arising tnerefrom, including all expense, legal or otherwise, incurred by
Pitkin County in the investigation and defense of any claim or suit.
Contractor agrees to indemnify Pitkin County from and against any and all
liability arising from activities and work conducted pursuant to this
Agreement on the above-described Pitkin County property for the duration of
the actual period of work. It is mutually understood and agreed that the
assumption of liabilities and indemnification provided for in this Agreement �� ,
shall survive ar�y termination of this Agreement.

7. Contractor shall secure, or cause anyone entering upon the premises at
its request to secure, before caronencing and shall maintain or cause to be
maintained during tbe performance of the Work (a) Comprehensive General
Liabi7ity Insurance, combined single limit of liabitity of 51,000,000.00; (b)
5tatutory Workmen's Compensation and Occupational Disease Disability .
Insurance; (c) Employers' liability Insurance w9th limits of �500,000.00 each ,
occurrence; (d) Automobile Insurance with a combined single limit of 7iabiiity
of E1,OOO,D00.00. Prior to commencing work, Contractor shali also furnish to
Pitkin County evidence of the foregoing insurance coverage in the form of �t�=� •
Certificates of Insurance, together with evidence that the insurance carrier '�' �%'
has assumed the liability of Contractor hereunder and waives any of the terms, `-''t�' `
conditiorts or exclusions contained irt the insurance contract which might `•'�
affect or detract fram the coverage for assumed liability of the named insured
either by furnishing to Pitkin County a properly executed "Assumption of ��
Contractual Liability" endorsement or by Certificate of Contractual Liability �-: :
Insurance coverage endorsed to provide that the insurance carrier shall �";:.
provide fu71 coverage for liability assumed by the named insured under this
Permit. AT1 Certificates of Insurance shall stipulate that Pitkin County wi1T �' ,+ �::-

S. The duties and obligations of Contractor in Sections 2 through 7 above
are enforceable on7y against Contractor and not Colorado.

accordance with professional standards generally prevailing in Colorado.

17. This Agreement shall be effective for the period of time necessary for i.
Colorado a�d Contractor to effect the Work, but in no event shall the :
' permission for entry extend beyond 24 months after the date of this Agreement
, uniess Pitkin County has specificaiiy agreed to an extension in writing.
12. Ttie performance of the said reclamation activities upon the said lands
� sha71 in no way preclude or restrict Pitkin County, its successors or assigns,
� from utitizing the said lands for the purpose of investigating, prospecting,
exploring, developing, mining, operating for, producing, consuming,
transporting and marketing all grades and types of coal or any other type of
mineral situated and lying or being in, under or upon the said lands by arry _ „
method of inethods deemed desirable by Pitkin County, his successors or
assigns, whether the same 6e now or hereafter known, expressly including, but
� not limited to, mining by strip, open pit, underground, auger, solution, and x� �
in-situ combustion methods.
